WHEREAS, on December 23 , 1971, the City Council of � the City of Grapevine, Texas , passed an Ordinance authorizing � the issuance of interest bearing Certificates of Obligation, to construct a public swimming pool and bathhouse in the City of Grapevine, Texas , and for the purpose of paying all or a ' part of the Architec-�' s fees , Financial Advisor's fees , legal � fees , and inspection and testing fees ; and WHEREAS, the City has delivered Claims Numbers 1 through 4 in the principal amount of $2 ,600 in connection with the delivery of Certificates of Obligatiori to Mr. James Pattersori of International Building Systems , Inc . , and to Sikes Constructidn Company, Inc. ; and !, �w� WHEREAS, First Southwest Company has purchased the '� aforementioned Claims from both International Building Systems , � Inc. and Sikes Construction Company; and , WHEREAS , First Southwest Company has also performed financial services as the City's Financial Advisor in reference ' to the authorization, issuance and delivery of the Certificates of Obligation and is currently owed $2 ,400 as partial payment for the performance of such services ; and WHEREAS , Certificates of Obligation should now be issued to First Southwest Company for exchange and cancellation ' of Claims Numbers 1 through 4 , and to pay First Southwest Company as a partial payment for financial services . � � THEREFORE, Bi IT ORDAINED BY THE CITY COUNGIL OF THE � CITY OF GRAPEVINE, TEXAS : '� 1. That the City has caused to be delivered Claims Numbers 1 through 4 in the aggregate amount of $2 ,600 which are �' currently held by First Southwest Company, Dallas , Texas , �nd ; _1-- ;' the amount of $2 ,400 is currently due and owing First Southwest Company for financial services which have already been performed. 2 . That there shall be delivered to First Southwest Company Certificates of Obligation Numbers 101 through 105 , in �"'' the denomination of $1,000 each, aggregating $5 ,000 in partial � � payment of financial services performed, with the remainder to be `�'"' paid for in cash by the City and the exchange and cancellation of' Claims Numbers 1 through 4 , aggregating $2 ,600 . , 3 . It is further officially found and determined that the financial services of First Southwest Company have been ' satisfactorily performed and that the City of Grapevine , Texas , has received full value for such services . 4 . That the indebtedness above mentioned was incurred for a purpose for which said Certificates of Obligation are authorized, to-wit: constructing a public swimming pool and ' bathhouse in the City of Grapevine , Texas , and for the purpose I �M ' of paying all or a part of the Architect's fees , Financial Advisor's fees , legal fees , and inspection and testing fees , � in connection with said project. 5. That this Ordinance is hereby finally passed on one reading as an emergency measure , to be effective .immediately; such emergency being that the authorization of the Certificates ; ; of Obligation authorized by this Ordinance are required as soon . � � as possible for the immediate preservation of the public peace, � � � health, or public welfare. � � � 6 . That it is hereby officially found and determined � , that a case of emergency or urgent public necessity exists whichr i _ � requires the holding of the meeting at which this Ordinance is �� f � passed, such emergency or urgent public necessity being that the� � � proceeds from the proposed Certificates of Obligation are re- � e ; i�r quired as soon as possible and without delay for necessary and � urgently needed public improvements , and that said meeting was � _ R open to the public and public notice of the time , place, and � S purpose of said meeting was given, all as required by Vernon' s $ F Ann.
