GRAPEVINE, TEXAS AUTHORIZING THE MAYOR TO
ENTER INTC} AN INTER�4CA� AGREEMENT WITH TNE
TC1WN OF WESTLAKE, TEXAS FOR THE PURPOSE OF A
C40PERATIVE PURGHASING PRC}GRAM AND
PROVIDING AN EFFECTIVE DATE
WHEREAS, the City of Grape�ine is a local government in the Sta#e af Texas
and as such is empowered by the Texas Local Government Code, Section 271.102 to
enter into a coaperative purchasing program agreement with other qualified entities in
the State af Texas; and
WHEREAS, the Town of Westlake, Texas, is a qualified entity as authorized by
Section 271.102 of the Texas �ocal Government Cade; and
WHEREAS, the Town af Westlake, Texas, wishes to utilize contracts for
materials and services established by the City of Grapevine, such contracts having
been processed in accordance with the Texas �ocal Gavernrnent Code, Chapter
149S1.
NOW, THEREFORE, BE IT RESOLVED BY THE GITY COUNCIL OF THE CITY
4F GRAPEVINE, TEXAS:
Section 1. That all matters stated in the preamble are true and correct as if
copied herein in their entirety.
Section 2. That the City af Grapevine, Texas is authorized to enter into an
Interlocal Agreement with the Tawn af Westlake, Texas, a copy is attached hereto as
Exhibit "A".
Section 3. That this resolution shall take effect from and after the date of its
passage.

INTER-LOCAL AGREEMENT
WHEREAS, the City of Grapevine, Texas and the Town of Westlake, Texas wish
to enter into a Cooperative Purchasing Program Agreement as provided for by Texas
Lacal Government Code Section 271.IO2; and
VVHEREAS, the Town of Westlake, Texas, wishes to utilize the C`rty af
Grapevine, Texas cantracts for rnaterials and services.
NOW, THEREFORE, THIS MEMORANDUM OF AGREEMENT is hereby
made and entered into by the Town of Westlake, Texas and the City af Grapevine, Texas
upon and for the mutual r,ansideratian stated herein;
WITNESSETH
I.

"The Town of Westlake, Texas shall purchase from the City of Grapevine, Texas
cantracts for materials and services as established by the City of Grapevine, Texas in
'�``� accordance with the Texas Local Gavernment Code, Chapter 149S 1.
II.
The Town af Westlake, Texas shall pracess and issue all orders and payments
directly with selected contracted vendors.
III.
The Town of Westlake, Texas agrees ta be responsible for any vendar's
compliance with provisions relating to the quality ofthe iterns and terrns of delivery.
IV.
The 1�own of Westlake, Texas agrees ta indemnify and save harmless the City of
Grapevine, its agents, servants, emplayees and officers fram any liabi�ity af damages it
may suffer as a result of claims, demands, costs, or judgeinents because of this agreement
ar'rsing out of directly or indirectly from this agreement persanal injury, praperty damage,
agreement damage or arising from accident, injury or damage, whatsaever, to any person,
„��, or persons, or to the property af any person(s} occurring during the performance of this
; Agreement, except for any liability or damages caused by the gross negligence or
,�, intentian of the City of Grapevine, its agents, officers, and/ar employees.

,��,,:,, The Mayor is authorized to enter into this Inter-local Agreement for the City of
Grapevine, Texas. It is agreed by the Town of Westlake, Texas and the City of
Grapevine, Texas that no purchase will commence hereunder until this Inter-local
Agreement has been fully executed by the parties hereto. The Mayor is authorized to
enter into this agreement for the Town of Westlake, Texas.
VI.
This Inter-local Agreement may not be assigned and embodies the entire
agreement between the parties, and may not be amended except in writing.
