A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
� GRAPEVINE, TEXAS AUTHORIZING THE MAYOR TO
ENTER INTO AN INTERLOCAL AGREEMENT WITH THE
CITY OF DESOTO, TEXAS FOR THE PURPOSE OF A
COOPERATIVE PUCHASING PROGRAM AND
PROVIDING AN EFFECTIVE DATE
WHEREAS, the City of Grapevine is a local government in the State of Texas
and as such is empowered by the Texas Local Government Code, Section 271.102 to
enter into a cooperative purchasing program agreement with other qualified entities in
the State of Texas; and
WHEREAS, the City of DeSoto, Texas, is a qualified entity as authorized by
Section 271.102 of the Texas Local Government Code; and
WHEREAS, the City of DeSoto wishes to utilize a City of Grapevine vendor for
the purchase of a Telescopic Boom Excavator Gradall Model G3WD, pursuant to City of
Grapevine Bid No. 7055, awarded by the Grapevine City Council on September 16,
�-_� 1997, such bids having been processed in accordance with the Texas Local
Government Code, Chapter 149S1.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF GRAPEVINE, TEXAS:
Section 1. That all matters stated in the above preamble are true and correct
and are incorporated herein as if copied in their entirety.
Section 2. That the Mayor of the City of Grapevine is authorized to enter into a
Interlocal Agreement with the City of DeSoto, a copy of said agreement is attached
hereto.
Section 3. That this resolution shall take effect from and after the date of its
passage.

INTERLOCAL AGREEMENT �
WHEREAS, the City of Grapevine and the City of DeSoto wanfi to enter into a
CQOperative Purchasing Pragram Agreement as provided €or by Texas �ocal
Government Code Section 271.102; and
WHEREAS, the City of DeSoto wishes to utifize the City of Grapevine vendar,
for the purchase of a Teiescopic Boom Excavator, Gradall Nladel G3WD.
NOW, THEREF4RE, TNIS MEMORANDUM QF AGREEMENT is hereby made
and entered into by th� City of DeSoto and the City af Grapevine upan and for the
mutual consideration stated herein;
WITNESSETH

from the selected vendor from the City of Grapeuine's Bid Na. 7055.

City of DeSato wiil process and made all orders and payments directly with the
s�lected vendor,
III.
The City af DeSoto �grees to be responsible for any vendar's compliance with
provisions relating to the quality af#he items and #erms of delivery.
1V.
City of DeSato agrees to indemnify and save harmless the City of Grapevine its
agents, servants, employees and officers from any liabili#y of damages i# may suffer as
a result of claims, demands, costs, or judgements because of this agreement arising aut
af directly or indirectly from this agreemen# personal injury, property damage,

agreement damage or arising from accident, injury or damage, whatsaever, to any
person, or persons, or to the praperty of any person(s) occurring during the
perFormanc� of this Agreement, except for any tiability or damages caused by the gross
'�°'� negligence or intention of the City of Grapeuine, its agents, officers, andlor employees.

The Mayor�is authorized to enter 'snta this Enteriacal Agreement for the Ci#}r af
Grapvine. It is agreed by the City of DeSato and the City of Grapevine fihat no purchase
will commence hereunder unttl this In#erlocal Agreement has been fully executed by the
parties hereto. The Mayor is authorized to enter into this Agreement for the City of
DeSota `

agreement befinreen the parties, and may not be amended except in writing. �
