FOR THE LIBRARY
RECOMMENDATION:
Staff recommends the City Council approve Additional Services Proposal #3 with Barker
Rinker Seacat(BRS)for the design of the Central Utility Plant HVAC system for the Library
in the amount of $112,030.00, authorize staff to execute said proposal and take any
necessary action.
FUNDING SOURCE:
Funds are available in account 176-48840-009-CACDES-GO.
BACKGROUND INFORMATION:
The Council approved the design contract for the expansion and renovation of the CAC on
December 18, 2012. This design contract included a central utility plant to be constructed
within the CAC project limits that would provide sufficient capacltyfor both the CAC and the
Grapevine Library.
This design contract with BRS was focused on the CAC site and did not include the design
of the modifications to the Library heating and cooling system that would be necessary to
be compatible with a central plant.
Proposal#3 addresses the design of the mechanical, electrical, structural and architectural
elements from the schematic design phase to the construction document phase for the
replacement of the existing Library HVAC system to be compatible with the new central
utility plant.

This additional service proposal is submitted by BRS for the design and documentation services of the Grapevine
Library HVAC system.The work includes Mechanical,Electrical,Structural&Architectural design from SD-CA design
phases for the replacement of the existing HVAC system to be compatible with the new central utility plant provided
at the CAC.Commissioning of the HVAC system will also be provided matching the commissioning services of the CAC
HVAC systems.General scope includes initial site review,Architectural base CAD file development,Mechanical and
Electrical Design and documentation of the new systems,Structural design review confirming support for new HVAC
systems,and Architectural replacement of existing ceilings to generally match what is in place. No extensive interior
re-design will be provided.The construction cost for this work is roughly estimated at$1,110,000.00
Additional detail of design services is provided attached.

2. Basic mechanical design including roof mounted air handling equipment with
chilled water and heating water supplied from the CUP facility. Connecting new
RTLJ's to existing ductwork and new hydronic piping is included.
3. Multiple design alternates are excluded.
4. Demolition design work is included based on field verification of existing actual
conditions.
5. We have limited our site visits to(2)CA site visits per add services. However if
these sites could be included as part of the CAC project these add services could
be deleted.
6. Our site verification fee is included as an add service,we could eliminate and use
the existing drawings for our work,however modeling will be more of a guess.
7. The add service for commissioning is provide only if this project is separated
from the CAC project by commissioning agents or time.
8. A mechanical ComCheck will be provided at the end of CD's.
9. Energy modeling is excluded from this base fee.

G. STANDARD HOURLY RATES
Current standard hourly rates, guaranteed not to increase for six(6)months from date of
this agreement are:
Principal $140.00/hr. Project Engineer $85.00/hr.
Associate $105.00/hr. CAD Drafter $70.00/hr.
Senior Project Engineer $95.00/hr. Clerical $50.00/hr.
Troubleshooting/Forensic Troubleshoot/Peer Review $160.00/hr.
At the expiration date of the six-month guarantee,the standard hourly rate shall be
adjusted to the hourly rates in effect at that time.
H. EXTENSIVE REVISIONS OR SCOPE CHANGES:
Revisions after substantial completion of the construction documents will be paid for in
addition to the fixed fee at the standard hourly rates.
I. LITIGATION:
In any action brought to enforce or contest any provision of this contract or to collect
agreed upon fees,the prevailing party shall be entitled to collect all costs and expenses
incurred in connection with such action,including reasonable attorney's fees,
J. L ON OF LIABILITY:
The Client agrees to limit The Ballard Group,Inc. liability arising from any negligent
acts,errors or omissions so that the total aggregate liability shall not exceed$50,000 or
the total amount of fee for Engineer's services,whichever is greater.
Y. REIMBURSABLE EXPENSES:
Reimbursable Expenses are in addition to the Compensation for Basic and Addition
Services and include actual expenditures made by the Engineer in the interest of the
Project.
L. PUBLICATION:
Engineer shall not be responsible for the publication of plans and specifications except
those for in-progress coordination between Architect and other Engineers.

M. TERMINATION
In the event of termination of the project,Engineer shall be reimbursed for services
performed to termination date at the standard hourly rate.
N. DURATION:
This agreement may be withdrawn or amended if not accepted within thirty(30)days.

Dear Zach:
In response to your request, we submit this proposal for professional engineering services for
your consideration. Our services included in this proposal are defined as indicated below.
PARTIES TO THIS AGREEMENT
This Agreement for professional services will be entered into by:
Barker Rinker Seacat Architecture(hereinafter referred to as the Client) and Architectural
Engineering Design Group, Inc. (hereinafter referred to as the Consultant).
DESCRIPTION OF WORK
Provide electrical engineering design and construction administration services for the mechanical
upgrades on the 53,000 square-foot existing Grapevine Public Library. The anticipated scope of
work will include removal of(16) existing RTU's to be replaced with between 16 new
RTU's. The scope of work will also include the addition of control power wiring to existing
control panel, ,® ___ _ o
SCOPE OF WORK
Upon acceptance of this proposal, we will provide the following electrical design services:
A. Basic Design Phase Services

1. Planning and assistance in space utilization relative to electrical design services.
2. Field survey of existing electrical system conditions pertaining specifically to the
renovation scope of services listed above. Base scope of services includes a
single(1)day project site visit for the existing conditions survey. Excluded from
this scope is any documentation of existing site electrical conditions.
3. Conferences with the Owner's representative, other consultants,building
department officials, utility company and other government agencies to determine
the final design fundamentals.
4. Design meetings with Architect(s), Owner, and other Design Team members via
Go-To-Meeting style conference calls.
5. Design and construction documents including all phases of construction shall be
issued in a single distinct construction package for electrical systems.
6. Provide electrical systems infrastructure and branch circuit distribution design as
required to meet the electrical needs of the facility,
7. Coordinate electrical drawings with project phasing requirements and overall final
construction phasing schedule.
8. Coordination with mechanical systems equipment requirements.
9. Drawings will be provided in the following packages:
a. Schematic Design(SD) Phase:
1. Written narrative of electrical systems in PDF format.
2. Schematic one-line drawing of electrical distribution system in
PDF format.
b. Design Development(DD) Phase Drawings will be provided in PDF and
AutoCAD 2013 format:
1. Electrical room(s)layout and location.
2. Power plans with mechanical equipment locations indicated.
3. Mechanical Equipment coordination schedules.
4. Riser Diagrams.
5. Specifications—provide outline sections in PDF format.
C. Construction Documents (CD)Phase Drawings will be provided in PDF
and AutoCAD 2013 format:

I CD package to include completion of all drawings with full design
specifications.
2. Upon request,provide pdf and word documents in electronic form
of the 100% Construction Document set.
B. Bid and Negotiation Phase Services included are as follows:
1. Answer questions pertaining to the electrical documents. Questions to be posed
in writing to the Architect.
2. Prepare addenda documents,both in drawing and narrative form,pertaining to
clarifications to the electrical documents.
C. Construction Administration Phase services included are as follows:
1. Review shop drawings,manufacturer's information, and all submittals and
samples ished by the Electrical Contractor or Contractors.
2. Provide clarification to question I's from the Contractor. Questions from the
Contractor are to be issued to the Architect in written form.
3. Single observation of the quality of workmanship and the progress of construction
to determine general compliance with the electrical engineering design
documents. Written reports of each visit to the site will be provided, including
any recommendations that may be appropriate. One(1), two hour, final project
observation is included in the basic service. The proposed observation walk-
events shall occur concurrent with Community Activities Center observation site
visit.
NOTE: The Consultant shall endeavor to protect the Owner against defects and
deficiencies in the work of the Electrical Contractor,but he does not guarantee the
Electrical Contractor's performance.
4. Preparation of electronic record documents showing significant changes in the
work made during construction,based on marked up prints, drawings and other
data ftu-nished by the Contractor to the Architect.
D. Scope Exclusions:
1. Obtaining LEED certification. This scope of service can be provided as a lump
sum line item alternate to the base fee, as listed under the Additional Services
section below.
2. Major revisions occurring after the issue of construction documents for pricing,
bid,permit and/or construction.

3. Preparation of an estimate of probable cost. Review of estimates prepared by
contractors is included.
4. In depth system start-up and commissioning.Normal start-up procedures are
included.
5. Additional design, drawings or specifications providing for alternate systems,
equipment or arrangements.
6. DOE 2 energy analysis and other life cycle cost analysis programs.
7. Additional project observations, than the quantity listed under the Construction
Phase Services.
FEES
A. Fixed Fees:

NOTE: The Client agrees to pay the Consultant's fee as invoiced for this project based on the
fixed fees established above, and all, if any incurred, CHANGED CONDITIONS and
REIMBURSABLE EXPENSES.
B. Changed Conditions:
I. If, during the term of this Agreement, circumstances or conditions that were not
originally contemplated by or known to the Consultant are revealed,to the extent
that they affect the scope of services, compensation, schedule, allocation of risks
or other material terms of this Agreement,the Consultant may call for
renegotiation of appropriate portions of this Agreement. The Consultant shall
notify the Client of the changed conditions necessitating renegotiation, and the
Consultant and the Client shall promptly and in good faith enter into renegotiation
of this Agreement to address the changed conditions. If terms cannot be agreed to,
the parties agree that either party has the absolute right to terminate this
Agreement, in accordance with the Termination provision hereof.

C. Any services in addition to those specified above, shall be authorized in writing and shall
be compensated on an hourly basis at the following hourly rates:
Principal-in-Charge: $125.00/hr
Proj ect Manager $110.00/hr
Project Engineer: $ 90.00/hr
Designer: $ 70.00/hr
CAD Operator/Clerical: $ 60.00/hr
D. Additional Services:
1. The above items constitute the normal electrical engineering services proposed for
this project and are not necessarily intended to be all inclusive for services
rendered. Any changes that occur during the course of the project and are agreed
to be an expansion of the scope of the project shall be handled as additional
services upon written notification.
E. Reimbursable Expenses: Reimbursable expenses are in addition to compensation to the
Consultant for basic and additional services, and include expenditures made by the
Consultant, his employees or his consultants in the interests of the project. Reimbursable
expenses include, but are not limited to:
I In-house printing and costs shall be invoiced separately as follows: drawing
copies, $0.25/square foot; bond or vellum plot$0.33/square foot,inylar plot
$5.00/square foot, electronic drawing files$50/sheet.
2. All other reimbursable expenses are to be invoiced at cost. These reimbursable
expenses include,but are not limited to, the cost of deliveries,postage,out of
house reproductions and plots, and fees paid to other consultants for services
provided in connection with the project. Other consultants shall be retained by
the Consultant only with the Architect's prior written approval.
F Invoices shall be submitted by the Consultant monthly. Payments to the Consultant shall
be sent for these invoices within seven(7) days of receipt of payment from Owner.
ADDITIONAL TERMS AND CONDITIONS
A. Ownership: All reports,plans, specifications, computer files, field data,notes and other
documents and instruments prepared by the Consultant as instruments of service shall
remain the property of the Consultant. The Consultant shall retain all common law,
statutory and other reserved rights, including the copyright thereto,
B. Betterment: If, due to the Consultant's negligence, a required item or component of the
Project is omitted from the Consultant's construction documents, the Consultant shall not
be responsible for paying the cost required to add such item or component to the extent

that such item or component would have been required and included in the original
construction documents. In no event will the Consultant be responsible for any cost or
expense that provides betterment or upgrades or enhances the value of the Project.
C. In recognition of the relative risks and benefits of the Project to both the Client and the
Consultant,the risks have been allocated such that the Client agrees,to the fullest extent
perndtted by law, to limit the liability of the Consultant to the Client for any and all
claims, losses, costs, damages of any nature whatsoever or claims expenses from any
cause or causes, including attorneys' fees and costs and expert-witness fees and costs, so
that the total aggregate liability of the Consultant to the Client shall not exceed$50,000.
It is intended that this limitation apply to any and all liability or cause of action however
alleged or arising,unless otherwise prohibited by law.
D. Governing Law: This proposal shall be governed by the law of the principle place of
business of the Consultant.
E. Should litigation or arbitration occur between the two parties relating to the provisions of
this proposal, all litigation or arbitration expenses, collection expenses, witness fees,
court costs and attorney's fees incurred by the prevailing party shall be paid by the non-
prevailing party to the prevailing party.
F. The Consultant intends to render his services under this proposal in accordance with
generally accepted professional practices for the intended use of the project and makes no
warranty either expressed or implied.
G. Project Abandonment: If the project is abandoned, terminated or deferred for a
substantial period of time,upon five(5)days written notice, efforts will be made to keep
all costs minimal. The Consultant shall be paid for services performed subject to
maximum limits of compensation previously set forth herein,the sum equal to the hourly
rates indicated above times the number of hours incurred up to the end of the 5-day notice
of abandonment period,plus all reimbursable costs incurred in connection therewith. All
original documents will be retained by the Consultant.
H. Termination: In the event of substantial failure to perform in accordance with the terms of
this proposal,by either party,the proposal may be terminated by the other party upon
seven(7)days written notice. If terminated, the Consultant shall be compensated for
services performed to the termination notice date, at the Consultant's standard hourly
rates as outlined herein.
I. Dispute Resolution: Any claims or disputes made during design, construction or post-
construction between the Client and Consultant shall be submitted to non-binding
mediation. Client and Consultant agree to include a similar mediation agreement with all
contractors, subcontractors, subconsultants, suppliers and fabricators,thereby providing
for mediation as the primary method for dispute resolution between all parties.
J. Indemnifications: The Client shall,to the fullest extent permitted by law, indemnify and

hold harmless the Consultant, his or her officers, directors, employees, agents and
subconsultants from and against all damage, liability and cost, including reasonable
attorney's fees and defense costs, arising out of or in any way connected with the
performance by any of the parties above named of the services under this agreement,
excepting only those damages, liabilities or costs attributable to the sole negligence or
willful misconduct of the Consultant.
K. The Consultant shall put forth reasonable professional efforts to comply with applicable
laws, codes and regulations in effect as of the date of this proposal. Design changes made
necessary by newly enacted laws, codes and regulations after this date shall entitle the
Consultant to a reasonable adjustment in the schedule and additional compensation in
accordance with the Additional Services provisions of this Agreement
This proposal is offered by Architectural Engineering Design Group, Inc., as of the date written
at the beginning, and when approved by signatures below,will constitute a contractual
agreement for engineering services on the project.
