FIRST AMENDMENT TO
ECONOMIC DEVELOPMENT INCENTIVE AGREEMENT
This First Amendment to Economic Development Incentive Agreement (the "First
Amendment") is entered into effective as of April , 2007, by and between THE CITY
OF GRAPEVINE, TEXAS ("Seiler"), and Henry Schein, Inc. ("Company").
WHEREAS, Company and Seller entered into that certain Economic Development
Incentive dated effective as of April 1, 2007 (the "Agreement") providing for economic
development incentives, as more particularly described in the Agreement; and
WHEREAS, Company and Seller desire to amend the Agreement, as hereinafter set
forth.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, Seller and Company hereby agree to amend the
Agreement as follows:
The "Commencement Date", and references thereto, shall be revised to be May 1, 2007.
The "Effective Date", and all references thereto, shall be revised to May 1, 2007.
All references to "medical, dental and veterinarian supplies" should
be modified to "healthcare supplies."
Except as amended by this First Amendment, all other terms and provisions of the
Agreement shall remain unchanged and shall continue in full force and effect.
This Amendment may be executed in any number of counterparts, each of which shall for
all purposes be deemed to be an original, and all of which are identical. Facsimile signatures
appearing hereon shall be also deemed an original.
DATED effective as of the date set forth hereinabove.
