HomeMy WebLinkAboutRES 2000-007 RESOLUTION NO. 2000-07 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS, AUTHORIZING THE CITY MANAGER TO ENTER INTO AN INTERLOCAL AGREEMENT WITH THE CITY OF COPPELL, TEXAS FOR THE PURPOSE OF A COOPERATIVE PURCHASE PROGRAM AND PROVIDING AN EFFECTIVE DATE WHEREAS, the City of Grapevine is a local government in the State of Texas and as such is empowered by the Texas Local Government Code, Section 271.102 to enter into a cooperative purchasing program agreement with other qualified entities in the State of Texas; and WHEREAS, the City of Coppell, Texas is a qualified entity as authorized by Section 271.102 of the Texas Local Government Code; and WHEREAS, The City of Grapevine wishes to utilize a City of Coppell vendor for the purchase of twenty-six Kustom Eyewitness — Vault Video Cameras and required accessories from a bid established by the City of Coppell, such bid having been processed in accordance with the Texas Local Government Code, Section 252-021. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS: Section 1. That all matters stated in the above preamble are true and correct and are incorporated herein as if copied in their entirety. Section 2. That the City Manager of the City of Grapevine is authorized to enter into an Interlocal Agreement with the City of Coppell, a copy is attached hereto as Exhibit Section 3. That this resolution shall take effect from and after the date of its passage. PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS on this the 18th day of January, 2000. NO. 2000-07 2 THE STATE OF TEXAS § COUNTY OF TARRANT § INTERLOCAL AGREEMENT BETWEEN THE CITY OF GRAPEVINE AND THE CITY OF COPPELL WHEREAS, the City of Grapevine and the City of Coppell desire to enter into an agreement to permit the City of Grapevine to utilize the City of Coppell vendor, for the purchase of twenty-six Kustom Signal, Inc. Video Cameras; and WHEREAS, the Texas Interlocal Cooperation Act {Article 4413 (32C) Vernon's Annotated Texas Statutes) provides for the cooperation between local government bodies,the parties hereto in consideration of the mutual promises contain herein; Now, THEREFORE, THIS MEMORANDUM OF AGREEMENT is hereby made and entered into by the City of Grapevine and the City of Coppell upon and for the mutual consideration stated herein: I. The City of Grapevine to purchase twenty-six Kustom Eyewitness - Vault Video Cameras and required accessories from a bid established by the City of Coppell. II. City of Grapevine will process all orders and payments direct with Kustom Signal, Inc. III. The City of Grapevine agrees to indemnify and save harmless the City of Coppell from any liability of damages the City of Grapevine may suffer as a result of claims, demands, costs, or judgements against the work and services under this Agreement, or arising from accident, injury, or damage, whatsoever, to any person, or persons, or to the property of any person(s) occurring during the performance of this Agreement, except for any liability or damages caused by the negligence of the City of Coppell, it's agents, officers, and/or employees. IV. The City Manager of the City of Grapevine and the Mayor of the City of Coppell are authorized to enter into this Interlocal Agreement. It is agreed by the City of Grapevine and the City of Coppell that no purchases will commence hereunder until this Interlocal Agreement has been fully executed by the parties hereto. V. This Interlocal Agreement may not be assigned and embodies the entire agreement between the parties, and may not be amended except in writing.
