HomeMy WebLinkAboutItem 07 - CVB Headquarters and Museum ComplexIII'T1EI' w ,.__ �_ MEMO TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL FROM: BRUNO RUMBELOW, CITY MANAGER MEETING DATE: JUNE 7, 2011 SUBJECT: NEW CVB HEADQUARTERS AND MUSEUM COMPLEX CLOCK TIME AND TEMPERATURE APPARATUS RECOMMENDATION: The Convention & Visitors Bureau staff recommends that the City Council consider authorizing funds for the design, fabrication and installation of the clock and thermometer in the New CVB Headquarters and Museum Complex at 636 S. Main in the amount of $63,915 to The Verdin Company, Cincinnati, Ohio. FUNDING SOURCE: Funds are available from bonds issued in December, 2008 and May 2009 totaling $11,700,000. BACKGROUND: Over the past twelve months, we have worked with two companies, one in Lockport, New York and the other in Cincinnati, Ohio, to create this unique chain driven vertical clock and vertical temperature apparatus. Both companies recognized that this type of clock has not been built before. After numerous site visits by both companies and consultations with the architects, engineers and construction team, one company emerged with the least complicated and most reliable proposal. Verdin has been building clocks for five generations and has a strong presence in Texas with technical staff in Waxahachie, Austin and Houston. Their solution is simple, reliable and rugged enough to deal even with ice build up on the chain driver during a Texas ice storm. Their proposal is within the budget parameters of the project. See attached proposal and background on Verdin. June 1, 2011 (3:46PM) DESIGN, AND FABRICATION PROPOSAL FOR VERTICAL TOWER CLOCK AND THERMOMETER Vertical Tower Clock. Verdin agrees to supply and install for Purchaser a custom Vertical Tower Clock. The clock shall consist of twelve building mounted marks each having an approximately height of 12 inches, a time pointing indicator, and custom controller. The marks will be Arabic numerals and will be mounted to the building surface in such a way as to form an evenly spaced vertical column measuring approximately 18 feet in overall height. A single arrow type time indicator will become fully visible at the bottom 1:00 o'clock position of the marker column and continue to rise and indicate the current time based on its relative position to the column of time marks. The time indicating arrow will be linked to an exposed surface mounted sprocket and chain drive system. The chain drive system will consist of drive sprocket, spring tensioned sprocket, stainless steel drive chain and two time indicating arrows. The main drive sprocket will be connected via wall penetration to an interior mounted custom timepiece. It is anticipated that the exposed drive and tensioning sprockets will be approximately 12 inches in diameter. The chain drive system and time indicating arrow will be mounted in a parallel fashion to the marker column. The chain drive system will make use of two indicating arrows both of which will be outfitted with a custom gravity actuated deployment bracket. Both arrows and brackets will be mounted on either side and opposite ends of the chain drive system. In terms of operation, the ascending time indicating arrow will be held in the proper position and at a right angle to the time markers. The descending time indicating arrow will be held in a down and stowed position. Markers will be painted black and give the illusion of being hand forged. The chain drive system and time indicating arrow will give the look feel of hand made period dated machinery. 2. Vertical Tower Thermometer. Verdin agrees to supply and install for Purchaser a custom Vertical Tower Thermometer. The thermometer shall consist of twelve building mounted markers each having an approximately height of 12 inches, a temperature pointing indicator, remote temperature sensor, and custom controller. The marks will be Arabic numerals 0, 20, 30 40, 50, 60, 70, 80, 90, 100, 110 and will be mounted to the building surface in such a way as to form an evenly spaced vertical column measuring approximately 18 feet in overall height. A single arrow type time indicator will move up and down along the marks indicating the current temperature. The temperature indicating arrow will be linked to an exposed surface mounted sprocket and chain drive system. The chain drive system will consist of drive sprocket, spring tensioned sprocket, stainless steel drive chain and a single time indicating arrows. The main drive sprocket will be connected via wall penetration to an interior mounted stepper motor. The chain drive system and time indicating arrow will be mounted in a parallel fashion to the marker column. Page 2 Markers will be painted black and give the illusion of being hand forged. The chain drive system and time indicating arrow will give the look feel of hand made period dated machinery. 3. Clock Controller Verdin agrees to supply and install a clock control system designed to provide automatic control of above listed Vertical Tower clock. The controller will be a is a microprocessor based system comprising a high precision crystal- controlled time base, programming keypad, LCD display, The clock controller will be synced to an external GPS device. The controller will maintain accurate internal time in accordance with its internal crystal controlled time base or external GPS. In addition a separate register is maintained which constitutes an internal `pilot clock" for the tower clock. In case of power failure, the internal time base and actual time keeping are maintained via the back -up batteries. During times of power failure, when external movement is stopped, the internal "pilot clock" is also held at the time when power failure began. When power is restored this register is examined, and automatic correction of the Tower /street clock is made. In addition the controller will provide fully- automatic Daylight Saving Time set function 4. Limited Warranty. Verdin warrants the Vertical Tower Clock and Thermometer to be free from defects in materials and workmanship for the periods shown below after the date of installation, provided the Vertical Tower Clock and Thermometer and it components are maintained and operated in accordance with instructions provided by Verdin. To the extent permitted by applicable law, for each product, Purchaser's exclusive remedy and Verdin's exclusive liability for any loss, damage, or destruction resulting from any non - conformity of any shipment made by Verdin to Purchaser under this Agreement of from any defects in the Vertical Tower Clock and Thermometer within the warranty period will be limited strictly to the repair or replacement, at Verdin's discretion, of any nonconforming or defective materials upon examination of such by Verdin. Verdin shall have a reasonable time to repair or replace any nonconforming materials, including the time for the manufacture of replacement of such materials. THIS WARRANTY IS IN LIEU OF ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. a. Tower Thermometer: 1 year b. Tower Clock: 1 years 5. Verdin Installation. Verdin shall provide the labor and equipment necessary to complete installation, complete programming for all electronic control Products supplied by Verdin; and perform a final check -off of all Products to confirm proper working order; provided, however, that Purchaser shall provide at its own expense Purchaser Installation Responsibilities below. 6. Purchaser Responsibilities. Purchaser shall provide at its own expense the items and services listed below in connection with the erection and installation of the Vertical Tower Clock and Thermometer. a) Building Penetrations. Purchaser will be responsible for all wall penetrations required for the installation of the Vertical Tower Clock and Thermometer. Verdin will provide Purchaser with full size templates to facilitate this process. b) Electrical Wiring. Purchaser will be responsible for providing all electrical wiring and conduit to the Vertical Tower Clock and Thermometer (including all final connections, Page 3 mounting of electrical panels, or splicing of wires) from a source designated by the Purchaser and in accordance with specifications provided by Verdin. c) Cranes, Hoists, Man- Lifts. Purchaser will provide all necessary cranes, hoists, or lifts (including the operators of such equipment) that are required to: (i) offload the Vertical Tower Clock and Thermometer from the delivery vehicle: (ii) move it to the designated installation site for the Vertical Tower Clock and Thermometer; and (iii) erect the Vertical Tower Clock and Thermometer at such site. d) Licenses/Permits. Purchaser will obtain at its expense any necessary licenses, permits, engineering analysis or stamps for the construction and installation of the Vertical Tower Clock and Thermometer e) Access to Job Site. Purchaser will arrange to provide sufficient access to the job site to enable Verdin to deliver the Vertical Tower Clock and Thermometer and its components. 7. No Liability for Damages. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERDIN BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR ECONOMIC LOSS OR LOSS OF PROFITS SUFFERED OR INCURRED BY PURCHASER IN CONNECTION WITH ANY BREACH OF THIS AGREEMENT BY VERDIN EVEN IF PURCHASER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 8. Liability for Negligence. Neither party shall be responsible for personal injury or property damage or loss except that resulting from its own negligence or the negligence of those within its control or employ. 9. Frei ht. Verdin will be responsible for transporting the Vertical Tower Clock and Thermometer and all components thereof to the jobsite. 10. Delivery. Upon receipt of order, down payment in accordance with the terms delineated below and approved shop drawings, the above listed equipment shall be shipped within to 120 days. 11. Payment Terms. The total Purchase Price for the Vertical Tower Clock and Thermometer. shall be $63,915.00 (excluding taxes), and shall be paid to Verdin in accordance with the following schedule: a) $21,305.00 upon the execution of this Agreement. b) $21,305.00 prior to shipment c) $21,305.00 upon delivery of the Vertical Tower Clock and Thermometer 12. Change Orders. Verdin, in its discretion, may accept any additions, deletions, or changes to this Agreement without invalidating this Agreement, provided that all such changes are authorized by a written amended purchase order signed by Purchaser and Verdin (the "Change Order'). Such Change Order shall specify any additional charges (or credits) to the Customer and the payment terms for such charges. The Change Order shall become effective only upon acceptance by Verdin. Page 4 13. Force Mai eure. To the extent permitted by applicable law, Verdin shall not be liable for any loss or damage, including consequential loss, from the failure wholly or in part to fulfill the terms of this Agreement by reason force majeure, including labor strike, lock -out, trade dispute, fire, drought, flood, bad weather, interruption of transport, restriction by Government or other competent authority, destruction of premises, plant or machinery failure, shortage of power supplies, or inability to obtain adequate supplies. 14. Governing Law. The parties agree that any dispute or default arising from this Agreement shall be governed by the laws of the State of Ohio. 15. Entire Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations or representations, either written or oral. IN WITNESS WHEREOF, the parties hereto have caused this instrument to be executed on the date first above written.
