FROM: BRUNO RUMBELOW, CITY MANAGER MEETING DATE: DECEMBER 6, 2011 SUBJECT: APPROVAL OF A RESOLUTION TO ESTABLISH A COOPERATIVE PURCHASING AGREEMENT WITH NATIONAL JOINT POWERS ALLIANCE (NJPA) RECOMMENDATION: City Council to consider approval of a resolution authorizing a Cooperative Purchasing Agreement with NJPA. BACKGROUND: This request is for approval of a cooperative purchasing agreement which would allow the City of Grapevine to access competitively solicited contracts offering a broad range of products and services. The City is authorized by the Interlocal Cooperation Act Texas Government Code, Chapter 791 and Texas Local Government Code, Section 271.101 and 271.102, to enter into joint contracts and agreements for the performance of governmental functions and services. Witnesseth: That for a good and valuable consideration of the premises, mutual terms, covenants, provisions, and conditions hereafter set forth, it is agreed by and between the parties as follows: Whereas, the NJPA is created by Minnesota Statute §123A.21 (with membership further defined in M.S. §471.59) to serve cities, counties, towns, public or private schools, political subdivisions of Minnesota or another state, another state, any agency of the State of Minnesota or the United States including instrumentalities of a governmental unit and all non profits; and Whereas, NJPA's purpose as defined in M.S. §123A.21 is to assist in meeting specific needs of clients which could be better provided by NJPA than by the members themselves; and Whereas, the NJPA Board of Directors has established the ability for an "Applicant" desiring to participate in NJPA contracts and procurement programs to become a Participating Member; and Whereas, the NJPA Board of Directors has determined that Participating Members will have no financial or organizational liability to NJPA or to its organizational activities; Now Therefore, it is hereby stipulated and agreed that the "Applicant" Agency desires to be a Participating Member of NJPA with contract purchasing benefits, in accordance with terms and conditions of the applicable contract(s), and that NJPA hereby grants said Membership to said "Applicant." Term: This continuing agreement shall remain in force or until either party elects to dissolve the Agreement by written notice. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS, AUTHORIZING THE CITY MANAGER OR THE CITY MANAGER'S DESIGNEE TO ENTER INTO A COOPERATIVE PURCHASING AGREEMENT WITH THE NATIONAL JOINT POWERS ALLIANCE (NJPA) AND PROVIDING AN EFFECTIVE DATE WHEREAS, the City of Grapevine, Texas is a local government in the State of Texas and as such is empowered by the Texas Local Government Code, Section 271.101 and 271.102 and Interlocal Cooperation Act Texas Government Code, Chapter 791 to enter into cooperative purchasing agreements with other qualified cooperative organizations; and WHEREAS, National Joint Powers Alliance (NJPA) is a qualified entity as created by the State of Minnesota Statute Section 123A.21 to serve cities along with other agencies of Minnesota or another state; and WHEREAS, the City of Grapevine, Texas, has requested to enter into a cooperative purchasing agreement with National Joint Powers Alliance (NJPA) and participate in contracts established by NJPA. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS: Section 1. That all matters stated in the above preamble are true and correct and are incorporated herein as if copied in their entirety. Section 2. That the City Manager, or his designee, is authorized to take all steps necessary to consummate a cooperative purchasing agreement-with National Joint Powers Alliance (NJPA). Section 3.
