Once these lines ha been placed and the roadway pavement has been constructed, new concrete sidewal will be constructed on both sides of the roadway. I During the interim, pedestrian access thru the corridor will be severely limited anI& discouraged. As we have in past contracts for the construction of Hall Johnson Road and Pool Road, staff has developed a plan to bus the children from the abutting neighborhoods to their school destinations. The City of Euless has agreed to reimburse Grapevine for half of the expense. M 0:\agenda\2006k7-18-06\GClSD Interlocal Agreement — Glade Road Busing August 9, 2006 (3:26PM) A SPECIFIED SEGMENT OF THE GRAPEVINE ELEMENTARY SCHOOL This Interlocal Agreement ("Agreement") is for the provision of school bus services to a specified segment of the Grapevine Elementary Attendance Zone within the City of Euless made and entered into by and between the City of Grapevine, Texas, a municipal corporation located in Tarrant County, Texas (hereinafter referred to as "Grapevine") and the Grapevine-Colleyville Independent School District, a political subdivision of the State of Texas (hereinafter referred to as "GCISD"). WHEREAS, an extensive construction project will exist on Glade Road from Highway 121 on the west to Highway 360 on the east and affect Grapevine Elementary students residing South of Glade Road and cul-de-sac streets, Cambridge Court and Meritage Lane located north of Glade Road; and WHEREAS, it is not mandatory that the school children located in the noted attendance zones receive school bus service under Texas law; and WHEREAS, Grapevine and the GCISD desire to limit the need for school children to pass through the Glade Road construction zone on their way to and from school each day; and WHEREAS, Grapevine has requested GCISD make bus services available for students living in that segment of the Grapevine Elementary School Attendance South of Glade Road and cul-de-sac streets, Cambridge Court and Meritage Lane located north of Glade Road, and, WHEREAS, Grapevine shall provide funding for this school bus service as provided herein; and WHEREAS, the parties agree that this provision of school bus services shall not entitle any affected student to bus services beyond the completion of the construction in the Glade Road construction project; and WHEREAS, it is mutually advantageous to both parties to enter into this agreement; and WHEREAS, Texas Government Code, Chapter 791 (the "Act"), provides authorization for political subdivisions to contract with one another for the performance of governmental functions and services under the terms of the Act: �M NOW, THEREFORE, for and in consideration of the mutual covenants, terms and conditions set forth herein, and the mutual benefits to each party, the receipt and sufficiency of, which are hereby acknowledged, GCISD and Grapevine hereby contract, covenant, warrant and agree as follows: 0 All of the matters stated in the preamble of the Agreement are true and correct and are hereby incorporated into the body of the Agreement as though fully set forth in their entirety herein. K M 1. Grapevine shall provide funding in the amount of $88.00 per school day to GCISD for providing bus services to the students living in the specified segment of the attendance zone described herein during the construction of the Glade Road project. Such funding shall be paid quarterly in advance of services beginning August 1, 2006 in the amount of $2,904.00, December 1, 2006 in the amount of $4,488.00, March 1, 2007 in the amount of $4,840.00, June 1, 2007 in the amount of $3,256.00. Remittance will be made to the Grapevine-Colleyville Independent School District, at the attention of the Financial Services Department, located at 3051 Ira E. Woods Avenue, Grapevine, Texas 76051. Such funding shall be paid from current funds available to Grapevine. 2. GCISD agrees that Grapevine's payment is adequate consideration for providing the school bus services, and agrees to provide the school bus services to the students as described herein for the duration of the construction. 3. The term of this Agreement shall be for a period of eleven (11) months commencing on August 1, 2006, and shall not create any expectancy or claim of entitlement to bus services beyond the completion of the construction. The Agreement may be extended for any period after June 30, 2007, as needed to cover the duration of the Glade Road construction project. R1 N 1. The parties agree to indemnify and hold harmless each other from any claim by a third party for damages arising from or resulting from the use or operation of GCISD motor vehicles through provision of bus service by GCISD to the above described students, to the extent of GCISD's and Grapevine's ability under the Texas Tort Claims Act; provided however, that nothing herein shall require either party to indemnify and hold harmless the other party for acts for which it has no liability under Texas law. 2. GCISD shall maintain motor vehicle liability insurance in amounts determined by GCISD to be sufficient to fulfill its obligation herein. IV. I Any notice required to be given under this Agreement shall be deemed to have been adequately given if deposited in the United States mail in an envelope with sufficient postage and properly addressed to the other party as follows: City of Grapevine P.O. This Agreement shall be binding upon and insure to the benefit of the parties hereto and their respective successors and assigns. 2. This Agreement constitutes the sole and only agreement of the parties hereto and supersedes any prior understandings or written or oral agreements between the parties respecting the subject matter hereof. 3. No amendment, modification or alteration of the terms hereof shall be binding unless the same be in writing, dated subsequent to the date hereof and duly executed by the parties. 4. This Agreement may be executed concurrently in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 5. If, in case any one or more of the provisions contained in the Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision hereof and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 6. The obligations and undertakings of each of the parties to this Agreement are and shall be performable in Tarrant County, Texas. 7. Each party hereto warrants that it has received authority from its governing body to enter into this Agreement.
