Lin a Huff City Secretary STATE OF TEXAS COUNTY OF TARRANT CITY OF GRAPEVINE The City Council of the City of Grapevine, Texas met in Special Session on this the 29th day of June, 1998 at 7:30 p.m. in the City Council Chambers, Second Floor, 200 South Main Street, with the following members present to-wit: William D. Tate Mayor Ted R. Ware Mayor Pro Tem Sharron Spencer Council Member C. Shane Wilbanks Council Member Clydene Johnson Council Member Roy Stewart Council Member Darlene Freed Council Member constituting a quorum, with the following members of the City Staff: Roger Nelson City Manager Bruno Rumbelow Assistant City Manager John F. Boyle, Jr. City Attorney Linda Huff City Secretary Melisa Leal Assistant to the City Manager CALL TO ORDER Mayor Tate called the special meeting to order at 7:30 p.m. INVOCATION Council Member Johnson delivered the Invocation. ITEM 1 PUBLIC HEARING, GRAPEVINE HERITAGE FOUNDATION Mayor Tate stated the special public hearing meeting was being held in regard to the Grapevine Heritage Foundation and to consider the proposed resolution for recommended changes to the Heritage Foundation By-laws. He stated the City Council is interested in the comments of all those present to address issues of concerns regarding the Heritage Foundation. Mayor Tate declared the public h�aring open. City Manager Nelson stated the Grapevine Heritage Foundation (the Foundation) was created by Resolution No. 90-17 with a membership of seven, membership was expanded 06/29/98 by four by the adoption of Resolution No. 92-35, and Resolution No. 95-15 established the Convention & Visitors Bureau Director as the Chief Executive Officer with specific responsibilities to the Heritage Foundation. Mr. Nelson briefly reviewed the contract entered into on December 17, 1991 by the City of Grapevine and the Foundation whereby the City agreed to provide certain staff, office space, financial management support and specific services in conjunction with festivals and other Foundation activities. It was noted that the City also agreed that the City's hotel/motel tax funds would fund various festivals and similar activities of the Foundation. Mr. Nelson reported that the City currently supports the Foundation at approximately $583,000.00. It was stated that in return for the City's support, the Foundation agreed to coordinate festivals and other events promoting Grapevine's heritage, as well as agreeing to abide by the purchasing requirements of the City, to maintain funds in a separate account, to provide a fidelity bond and to have the financial records of the Foundation audited during the City's annual audit. He stated the contract is reviewed annually for an additional 12 month period by the submission of a proposed budget and it is considered renewed for a 12 month period with City Council approval of that proposed budget. City Manager Roger Nelson reviewed the proposed resolution that would clarify several issues surrounding the Grapevine Heritage Foundation and establish a clear reporting structure for the Heritage Foundation. The proposed resolution requests the Foundation Advisory Board to make the following changes to its by-laws: appoint the City Manager as the Chief Executive Officer, establish a permanent voting position on the Advisory Board for the Convention &Visitors Bureau Director, any changes to the Foundation by-laws will require City Council approval, the Foundation cannot be dissolved without City Council approval, the Foundation annual budget shall be reviewed and approved by the City Council, the Foundation will comply with all of the financial policies and procedures of the City and the City Manager will be a co-signer on all Heritage Foundation checks, all real estate transactions will require City Council approval and a property committee shall be created to advise the CEO on the management of all Heritage Foundation properties. City Manager Nelson introduced Mr. Tommy Lawler, partner of Weaver & Tidwell, independent auditors, who briefly explained the differences between a balance sheet audit and a full audit. Mr. Lawler stated the Foundation Board had determined the balance sheet audit would meet their needs at a more reasonable cost than a full audit. Both types of audits are governed by the same auditing standards and are divided into three components: planning, perFormance and reporting. Mr. Lawler stated his firm offered a clean opinion on the balance sheet audit of the Foundation. Mayor Tate stated the Heritage Foundation properties belong to the people of the community. The City Council appoints the Foundation Board of Directors, the Foundation Board of Directors adopts and amends their by-laws and the City Council makes recommendations to the Foundation Board for changes to their by-laws. He stated the Foundation Board is a governing board under 501 (c) (3) but serves as an advisory board to the City Council and Convention &Visitors Bureau. The Foundation serves to unite and support Grapevine in the understanding, research, preservation, restoration, promotion, 2 � .1 06/29/98 appreciation, care and use of Grapevine's physical and cultural heritage; promote preservation through appropriate business and visitor uses of historic structures and sites; and, demonstrates the importance of Grapevine's heritage to local citizens and visitors, both present and future. He stated that people do not have to be a Board member to support historic preservation of Grapevine. Mayor Tate noted there has been an army of volunteers over the years that have served to preserve Grapevine's heritage and he commended their dedication to their community. Mayor Tate stated the City Council has to represent the people of the community and has to be good stewards of its funds. One challenge will be the Foundation's contract negotiations during the annual budget process. He stated there are no guarantees festivals will continue to generate funds as they have in the past and there is no assurance that the pubic opinion in the City will allow funds and services to be contributed to the Foundation as they have in the past. He noted the Foundation has not presented a plan to the City Council as to how the Foundation could become autonomous and it appears to the City Council that the Foundation will become more dependent in the future. He stated that if there is a plan for autonomy, it should be presented to the City Council prior to renewing the annual contract. Mayor Tate requested the City Secretary to read the following letters into the record: ----------=---------------------------------------------------------------------------------------------------------------- Honorable Mayor Bill Tate Distinguished Members of the City Council City Manager and Staff Grapevine Citizens Members of the Press and Other Interested Parties: Good evening to each of you. As President, of the Convention and Visitors Bureau Board, I am very sorry that I'm unable to be with you at this public hearing. However a business commitment, out of the country, prohibits the same. Still my best wishes are with you to have a very successful and productive hearing. It's most important for the City of Grapevine. If I were present, there would be a couple of points that I feel should be made. So, in absentee, I'll do my very best to convey them to you in the form of this letter. 1. Long before the concept of the Foundation Board was ever presented to the City Council, the Convention and Visitors Bureau staff and board members worked on the basic idea, the concept, the goals and need for such a group. We realized that such a body would need to have community commitment and pride, to have respect and contacts within Grapevine and the surrounding municipalities, and to have a genuine interest in preserving 3 46l29/98 Grapevine's past with a clear vision to the future. Since we realized that the success or failure of such a board would depend iargeiy on CVB support (bath mone#ary and labor wise}, it was our original pian (and full intention}, that this new Board would report to the CVB Board through the CVB Executive Director. i.e. An advisory board which reported #a an advisorv board. You can't get much more advisory than that! At na time did we ever envision that this newly created board would have full autanomy. We recognized early an the need for a nonprofit, thus#he 501 (c} {3), but again, it was never intended ta operate as a stand alone or outside ofi the normal Ci#y of Grapevine channels. It's success depended on the suppart of the City of Grapevine as a full and highly visible backer. There were changes made to the status of the Foundation Board a few years later. However, just how ar who might be respansible for trying to taint the Crty of Grapevine to Foundation Board relationship, I can't say. It is unfartunate, but ' hopefully tonight you will be able to get back on the right track. ; 2. I mentian in the paragraph above, that we as a CVB Board, realized that the new Foundation Board wauld depend heavily on the CVB for monetary and staff support. We made a full presentation to our hotels (our funding source) to explain the Foundation cancept, our relationship wi#h this new board and ask for their support on the basic concept for a period of two years. We also advised our funding sources, that we anticipated that festivals, grants, memberships, etc., once estabiished, would allow us to reduce #he amount of money committed and have it returned to marketing pragrams. Much to my apprehension, the reverse is#rue. The CVB is now fur�ding the Foundation Board to record highs. To the opposite of what has been published lately, there are deep concerns with how some af the Faundation Baard Funds haue been spent. Not by individual baard members, nar the accounting af the same, but by an ex-employee and specifically to certain projects. Because the GVB Board is respansible ta aur funding sources and the City Council, we have appointed a task force on #he CVB Baard to review many af these expenditures and work performance per expenditure. We will have a report forth coming. As you can imagine, there are many arganizations, groups and good causes that would like to have access to additional funds we might have available if Foundation expenditures were reduced. To continue funding the Foundation at present levels, with several outstanding questions would not be fiscally respansible on our part. Further, the CVB is charged with selling the City of Grapevine, filling the roams of our hatels and bringing in out of town visitors. Some members of the Foundation Board, past and present, have chosen to criticize, find fault, tear down, destroy, disassemble, undermine and dissect what many have warked cauntless hours to build. Some have even written the press with half-truths or falsehoods for their own recognition or self pity at the expense of#he City of Grapevine. This childish regard of ones-self needs to stop. Candidly, 1 feel certain, that the Faundation Board taday, under the leadership of its president and its newly appointed council liaison, coupled with newly appointed and 4 .. `f�. 06/29/98 existing members, has what it takes to turn the polarization and destructive tide around. The Mayor and City Council have listened and spent time beyond reason on Foundation issues. With rare exception, the citizens of Grapevine love their city. It's time to put personal and often small minded malice behind us. We need to stand shoulder-to-shoulder and get on with the program. Neighboring cities who once envied our course now find humor in our discord. We are better than this and need to show it! Tate City Council Chambers 2"d FIOOr 200 South Main Street Grapevine, TX 76051 Re: Grapevine Heritage Foundation Dear Mayor Tate: As you are aware, TexasBank made a significant pledge in the 1997 Capital Campaign to raise funds for renovation of the Palace Theatre. Several parties, including members of the press, have asked me to comment on our level of commitment to that pledge given the recent publicity surrounding board and/or management changes at the Foundation. I would like the record to reflect that bank management has received no evidence at this time which would prompt us to second guess our financial support of the Palace Theater project. We, as any other donor, are concerned with three fundamental issues. First, will the Heritage Foundation's 501(c)(3) non-profit status remain intact. Second, are proceeds of pledges to the Capital Campaign being set aside specifically (i.e.. "designated") for use in renovating the Palace Theatre. Third, will the project be completed in a reasonable period of time. As long as the answers to these questions are affirmative I believe most, if not all, donors will remain true to the cause. I hope my comments will help clarify the position of TexasBank. The following persons sp�ke: Ms. Shannon Delaney, 2000 Champagne Boulevard, read the following letter into the record: --------------------------------------------------------------------------------------------------------------------------- Grapevine City Council 200 South Main Street Grapevine, Texas 76051 Dear Council Members: My apologies for being unable to attend tonight's meeting. I had previously scheduled unavoidable commitments. However, I felt it was urgent to address these issues, as recent events have cast a shadow over Grapevine, GrapeFest, the Texas wine industry, and Delaney Vineyards. Delaney Vineyards exists in Grapevine today due to the efforts of hundreds of people, but for the most part, the credit goes to Tommy Hardy, P.W. McCallum, and Mayor William D. Tate. Meetings with these individuals led to the acquisition of land on Highway 121 and the development of a dream. Without the hard work of them and many others, the Vintage District would not have been created, and our winery would not have been built. I think it is fair to say that all of northeast Tarrant County is very proud of the tasting rooms, wineries and vineyards in their neighborhood. I would like to see letters of support from each individual in the area sent to Mayor Tate and this Council. I ask that these letters reflect their approval of the leadership and vision of the city of Grapevine and Grapevine Heritage Foundation. I believe that the city and Foundation should put their differences aside and work together as before to complete the restoration and preservation of historic Grapevine. I have spent millions of dollars to be a part of this dream of having numerous wineries, tasting rooms, and vineyards in northeast Tarrant County. We must not forget the overall picture and what has been accomplished by the hard work of so many to fulfill a dream launched twelve years ago. P.W. McCallum has certainly been a driving force. He is a personable, dynamic and energetic individual who has made a huge contribution to this 6 � }1. . A UVl2�/�V city, but exercised poor judgement on one occasion. Who among us is nat guilty of that? Althaugh this problem originated with an error in judgement by P.W., the blame for the currer►t predicament does not lie with him. Because of one individual's choice to invalve local media in a situation that could have been handled quietly by city officials, the reputations of Grapevine, the Heritage Founda#ion, and Delaney Vineyards have been damaged. This is inexcusable. I recommend that this individual move from this city. Grapevine boasts of many assets inciuding outstanding leadership and admirable goais. It should rid itself of any elected or appointed official who would try to undermine another's achievements far personal gain. Irreparable harm has been done, and this is totaliy unacceptable. The loss of Mr. McCallum would leave a tremendous void in this city, and a change in the current arrangement between the Council and the Heritage Foundatian would only diminish the effectiveness of the partnership. We must unify tonight and allaw our elected officials, donors, and volunteers to con#inue the work started over a decade ago. My strong recommendations are as follows: 1} These issues be resalved and closed tonight. 2} We voice a unanimous shaw of suppart far P.W. McCallum and express our apalogies to he and his family for the undeserved humiliation they have suffered. Thank you for the opportunit}r to address this meeting. Respecifully submitted, Jerry R. Delaney President, Delaney Vineyards --------------------------------------------------------------------------------------------------------------------------- Mr. David Barnes, 2110 North Carroll, Southlake, past President of Grapevine AMBUCS, stated that during the last 1Q years, Grapevine has experienced tremendous economic growth, exciting historical preservation, and quality tourism that has led to the present quality of life. The AMBUCS requests the Cityr Council and Heritage Foundatian Board to resolve their differences and return ta their combined effarts to moue forward promoting Grapevine. Mr. Philip Morley, 920 South Main Street, Suit� 190, representing the Grapevine Chamber af Commerce, read a statement adapted by the Board of Directors of the Chamber of Commerce noting that aver the past several years Grape�ine has been a recipient of economic develapment and historic preservation. The success was a direct result of many citizens working tagether developing outstanding qualities that make this community the 7 06/29/98 best place to live and work. He stated the Board of Directors of the Grapevine Chamber of Commerce requested the City Council and the Foundation to resolve issues in a thoughtFul manner with careful consideration of the entire public involved and work together in a spirit of what is best for the entire community. Mr. Harlan Jewett, 421 West College Street, expressed his appreciation to the City Council, the Foundation Board and the Historic Preservation Commission for their accomplishments within the community and urged them to continue working together on projects such as the Palace Theater renovation and the Nash Farm project to continue to preserve Grapevine's heritage. Mr. Joe Tarver, 513 Dooley Street, expressed support for the City Council and the Foundation for their accomplishments. Ms. Melva Stanfield, 318 Pebble Brook, Chairman of the Foundation Board of Directors, briefly reviewed the concerns brought to the City Council regarding the Heritage Foundation's Chief Executive Officer's responsibilities and authority. There were concerns expressed by the Foundation Board that the CEO was not bringing items to the Board for consideration regarding certain activities, properties, and business of the Foundation. The Board felt this should be done according to the by-laws, 501 (c) (3) application, the City contract and the City's Boards and Commissions Handbook. It was noted that a majority of the Board felt that due to the 501 (c)(3) status and fiduciary responsibilities, the Board felt good business practices had to be reviewed and conducted. She stated there were questions as to the Board's responsibilities and it was determined that certain areas needed to be defined. She stated that Board Members have given unselfishly of their time and money, as have many others, to make Grapevine a better place to live. She commended the City Council for holding the public hearing that would help to resolve the issues of concern of citizens and Board members and would help to rebuild the community spirit of which all of Grapevine has been so proud. Mr. Eric Edson, 1200 South Main Street, Suite 2100, expressed his concern over the public comments regarding the financial management and ethical practices regarding the People's Choice Wine Tasting results during 1997 GrapeFest. He commented that an outside audit would resolve concerns relative to financial management of the Foundation and questioned why changes are being proposed to address the operating composition of the Foundation. He expressed concern that the proposed changes infer that there have been problems with the Foundation Board's ability to manage the Foundation. Mr. Bobby G. Smith, 416 East College Street, stated that the CounciPs vision for the City influenced him to bring his business to Grapevine. He encouraged the Council and the Foundation to work together to move forward as there are so many wonderful things happening in Grapevine. Mr. Bryan Klein, 1836 Meadow Crest Drive, stated that he felt as if he were the "messenger that got shot" for expressing concerns regarding the results of the 1997 People's Choice 8 ,y . ... � '.�i,�.Yy,:�• �srzslss Wine Tasting and revenues from the event. He commented that he had volunteered over 2,540 hours through the years for the Foundatian with over 200 hours given to the Palace Theater renovation project. He stated there are numerous peaple who are involved in the Foundation volunteer pragram and he expressed his appreciation to all of the volunteers and the Foundation Board for giving of their time, money and talents. He expressed appreciation to the City Gouncil for conducting the public hearing and stated the City Council and the Foundation need to work together, as the community needs to heal. Mr. Bob Garpentier, 2816 Timber Hill Drive, stated he believed the issues being discussed concern a matter of trust. He expressed concern regarding changing the results of the 1997 People's Choice Wine Tasting event with the comment that was made that the "event was aiways to promote Grapevine wineries first and Texas wineries second." He commented that wineries were not in Grapevine until long after GrapeFest was begun. Ms. Carol Williamson, 2724 Warwick Way, expressed her support far#he volunteers who donate their time to make the Foundation and festival events successful in Grapevine. She urged the Ci#y Caur�cil to begin the healing process within the City by stating the Foundation Board did nothing wrong in gaing to the City Council for assistance in dealing with their concerns regarding the operations af the Foundation. Ms. Marian Carpen#ier, 2816 Timber Hill Drive, stated she had served on the Foundatian Board with great pride and pleasure. She commented the Board had tried to resolve issues and concerns internally wanting the system to work between the Board, CEO, and Executive Director. She noted the community needs to resolve issues of concern and move forward with City prajects. Ms. Carolyn Sims, 3510 Hightimber, expressed concern that the issues before the Foundation Board, City Council and Conventian &Visitors Bureau are causing a negative impact on #he City and requested consideration of an audit of the Foundation and an au#side mediator to resolve the issues and communication concerns. Mr. Jim Williamson, 2724 Warwick Way, expressed appreciation ta the City Council #or citizens being abie to address their concerns directly to the Councii. He stated his concerns regarding the financia{ management of the Foundation and encouraged resolving the issues to continue on with the business of the Foundation and the City. Ms. Janeye McCallum, 1800 West Wall, stated her support of the Foundation and the numeraus historic preservation, tourism, and economic development projects begun and completed due to the visions of Gonvention & Visitors Bureau Board Director P. W, McGallum. Mr. Will Wickman, 651 Sauth Main Street, stated the City of Grapevine has been #he envy of cities of the metraplex for historic preservation efforts and tourism and festival events. He stated the issues of cancern are not about City raads or sewers, but about a luxury afforded to a community without using ad valorem tax dollars. He stated that trust, 9 06/29/98 forgiveness and community spirit must become the thrust of the City's agenda and : everyone return to peace, prosperity and preservation, and to continue forward. Mr. Mark Maness, 2107 Ballantrae Drive, Colleyville, addressed the City Council regarding volunteers and volunteer spirit. He stated he resigned the Foundation Board due to issues of feeling that his volunteer efforts were no longer of any value to the community. He commented that seven years of faithful stewardship by the Foundation Board and its members has been rewarded by the appearance that they have done something wrong and need to be under the control of the City Council. He stated that volunteers are the strength of the community and requested the City Council move forward to resolve the concerns being expressed. Mr. Cy Holley, 120 Oakmont Drive, Trophy Club, commended the City Council for conducting the public hearing. He requested the City Council and the Foundation Board focus on what is right for Grapevine, as there is a tremendous amount of volunteer talent in Grapevine that has not been brought to its fullest. Ms. Gayle Hall Hemingway, 1304 Mulholland Drive, President of the Grapevine Heritage AMBUCS, urged the City Council and the Foundation to resolve their differences, set aside personal feelings, and return to the combined efforts that has led the community, citizens and visitors to want Grapevine to continue to grow and prosper. She noted that Grapevine's economic growth has allowed historic preservation to take place which has created a quality of life everyone in the community enjoys. Mr. Gary Blagg, 520 Ridge Road, encouraged the City Council and the Foundation Board to go forward and heal their differences. Ms. Lisa Allen, Director of Texas Wine & Grape Growers Association, commented that the Texas wine industry would not be where it is today without the Grapevine Convention & Visitors Bureau, the Heritage Foundation and the City Council. She stated there is a good partnership and cooperative commitment between her organization and the City and that the Texas wine industry is looking forward to 1998 GrapeFest. Mr. Jason Gatts, business owner in Grapevine, noted that Grapevine citizens have worked together to create a good quality of life in Grapevine and expressed concern that issues are being discussed in press. Mr. Izak Gregory, 342 South Main Street, stated that comments to the press should be "no comment." Ms. Linda Oliver, 100 Cross Creek Drive, stated that she was a new Board member and attended the public hearing to evaluate all the information to be able to make good business decisions. She noted that if the Council felt they needed to replace her with a former Board member that would be more knowledgeable to complete projects and move forward, she supported their decision. 10 � ____ � '� # asl�slss Ms. Marion Brekken, 4 Echa Cove, current Baard member, agreed that it was Convention & Visitors Bureau Director P. W. McCallum's vision that started the histaric preservation program in Grapevine, and that the Foundatian Baard was delighted to follow #he productive ideas. She supported the comments of Ms. Stanfield and Mr. Williamson in that the City needs to now mave forward as the Foundatian has same wonderful projects planned. Mayor Tate expressed appreciation to all those participating and their attendance at the special public hearing. He noted the City Council has a responsibility under the Charter and as elected officials to manage the City°s maney and interests. He stated that the City Council and City Manager have been trying to address the concerns and it is the consensus that the proposed resolutian is designed ta meet thase needs and imprave the relationship between the City Council and the Foundation Board. RECESS AND RECONVENE Mayor Tate announced the City Council would take a brief recess. Upon recanvening in the City Council Chambers, all members of the City Cauncil were present. Mayor Pro Tem Ware, seconded by Council Member Freed;affered a motian to close the public hearing. The motian prevailed by the following vote: Ayes: Tate, Ware, 5pencer, Wilbanks, Johnson, Stewart & Freed Nays: None Each of the City Council expressed their appreciatian to the Foundation Board and volunteers for their work and dedication that have made the City's boards and commissians, historic preservation projeets and festivals a success within the City and an envy of cammunities in the metroplex. It was the consensus of the City Council that the proposed resolution presented by City Manager Nelson darifies the issues that need to be addressed between the Faundation Board and the City Council.
