SUBJECT: CONSIDER APPROVAL OF BID 119-2002 FOR PARK
IMPROVEMENTS AT MEADOWMERE PARK, A LAKE USE
AGREEMENT WITH LONESOME DOVE RANCH AND FUNDS
TO RELOCATE UTILITY LINES IN THE PARK
RECOMMENDATION:
City Council to consider award of a contract to Dean Construction for park improvements
at Meadowmere Park. The base bid for the project is $420,119.80 and staff is
recommending $55,378.00 in add/deduct items for a total bid of $475,497.80. A bid
tabulation is attached for review.
Staff also recommends the City Council approve a Lake Use Agreement with Lonesome
Dove Ranch for storage of irrigation water for Meadowmere Park.
Finally, staff recommends the Council approve the relocation of utility lines in the park in
the amount of $52,606.43 to Tri -County Electric. The existing lines are located within
the project area and need to be relocated to the perimeter of the park. An agreement
with Tri -County electric to relocate the electric service is attached.
The total cost of these recommendations is $528,104.23

BACKGROUND:
The City Council approved a concept plan of Meadowmere Park at the October 6, 1998
--meeting:- Phase 1 development -of Meadowmere Park was included on the -December 5,
1998 bond election and was approved by the citizens of Grapevine. Phase 1 includes
the development of baseball and soccer fields.

Bids were taken in accordance with Local Government Code Chapter 252, Subchapter
' B, Section 252.021, 252.0215, and 252.022.
This bid was advertised in the Fort Worth Star Telegram and the Grapevine Sun on
January 17, 2002 and January 24, 2002.
The purpose of this bid was to obtain competitive pricing for park improvements at
Meadowmere Park. This project consists of grading and irrigation for five soccer fields
and three baseball/soccer practice fields, construction of a water well, pumping system
for the irrigation, and establishment of turf.
Ten vendors submitted bids for this project. Pricing consisted of a base bid with seven
optional items. Dean Construction was the lowest bid received on both the base bid and
optional items. Dean's total for the base bid was $420,119.80 and $55,378.00 for all
optional items. The grand total of their bid (including optional items) was $475,497.80.

LAKE USE AGREEMENT BETWEEN ' CITY ,
INC.GRAPEVINE, TEXAS AND THE LONESOME DOVE RANCH,
WHEREAS, the City of Grapevine, Texas ("City"), a home -rule municipality of the State of
Texas, and Lonesome Dove Ranch, Inc. ("LDR"), an S Corporation authorized to do business in the
State of Texas, desire to enter into this Agreement (the "Agreement"); and
WHEREAS, there exists a lake known as Dove Lake, located at 2299 Lonesome Dove Road,
Southlake, Texas, owned by LDR and more fully described in the attached Exhibit 'A' (the "Lake");
and
WHEREAS, LDR utilizes the Lake for irrigation, fishing, and aesthetic purposes; and
WHEREAS, the City is constructing a park recreational area in an area adjacent to the Lake
and desires to utilize the Lake as an irrigation water storage facility; and
WHEREAS, both the City and LDR will benefit from the terms of this Agreement.
NOW THEREFORE, for the sum of ten dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, and the mutual promises
that are relied on by both parties, the City and LDR do hereby contract and agree as follows:
I.
All matters in the preamble are found to be true and correct and are incorporated into the
body of the Agreement as if copied in their entirety.
LIN
The City shall be granted an easement over and across the area described and/or shown on the
attached Exhibit `B" (the "Easement"), which is incorporated herein by reference. The Easement shall
remain in effect for the duration of this agreement and shall be used only for the purpose of the City,
its employees, contractors, and agents accessing the Lake, constructing water pumping and transfer
facilities, repair or reconstruction of said facilities, and testing.
The City shall be entitled to pump raw water into the Lake for storage purposes, via facilities
constructed within the Easement. Any raw water pumped into the Lake shall be measured by the City
—a it g a._.Mutually agreed_upon_metering system- T7pon request -the City shall provide_LDR an
accounting of its water use from its metering system. The City is entitled to withdraw from the Lake
an amount of water equal to the amount pumped into the lake by the City, subject to the reduction of
a mutually agreed upon amount to account for evapotranspiration losses, and conditioned upon it
being measured by the City.

The City makes no warranties and assumes no responsibility for the quality of the raw water it
is permitted to pump into the Lake, except to commit that the source of the raw water will be the
Paluxy Reservoir.
The City shall be responsible for all repair and maintenance of its piping and transfer facilities,
including, but not limited to, the pipeline.

LDR shall not be permitted to remove from the Lake more water than it has pumped into the
Lake or has entered the Lake naturally fromrunoff. In the event the City believes LDR is removing a
disproportionate level of water from the Lake, the City may demand an accounting from LDR, which
may include, but is not limited to, requiring the installation of a metering device for water pumped
into and/or out of the Lake by LDR.. LDR agrees, as a condition to being provided the aesthetic
benefits of the increased level of water in the Lake from the City, that use of the Lake by LDR shall
be limited to irrigation purposes, swimming, fishing, and the use of non -motorized watercraft. LDR
retains, reserves, and shall continue to enjoy the ownership and use of the surface of the Easement
area subject to the terms of this Easement.. Any additional or expanded use of the Lake shall be
subject to the prior written approval of the City.
No improvements, alterations, or repairs shall be made to the Lake or the Easement without
the agreement of both parties.
The term of this agreement shall be for fifty (50) years from the date of execution.

In the case of failures to timely address defaults under this section, the City reserves the right
to seek any and all remedies available to it under applicable law.
V.
INDEMNIFICATION
LDR agrees to release, indemnify, and hold harmless the City, its officers, employees, agents,
elected officials, attorneys and assigns from all liability for any such loss, damage, or injury, including
death or injury of other persons, arising from any claims, demands, or lawsuits of other persons or
entities concerning any such loss, damage, or injury, including death or injury of other persons, based

connected to the design, construction, operation or maintenance of the Lake, and associated
structures.
The City agrees to release, hold harmless, and indemnify LDR, its agents, employees, and
assigns from all liability for any such loss, damage, or injury, including; death or in'M of other

persons arising out of the negligence of the City in the use operation, or maintenance of its
equipment and pipe line and/or pumping of water into the lake.
VI.
In the event default occurs under this Agreement, the prevailing party shall be entitled to
recover its costs and reasonable attorney's fees.

Venue for enforcement of this Agreement shall lie in the City Courts of Tarrant County,
Texas, and shall be interpreted pursuant to the laws of the State of Texas.
This Easement shall be assignable with the approval of the LDR, which approval shall
not be unreasonably withheld. This easement, and its restrictions, shall run with the land. LDR shall
retain all its rights to sell, transfer, lease, or otherwise dispose of its property without prior approval
from the City.

LDR shall only assign this Agreement upon the prior written consent of the City, which
consent shall not be unreasonably withheld. The City will approve no assignment unless the assignee
executes an assignment and assumption agreement regarding this Agreement. The terms of this
Agreement shall run with the Lake. LDR shall provide notice of the conditions contained herein to
any subsequent purchaser or owner of the Lake.

This Agreement contains the entire understanding of the parties with respect to the subject
matter contained herein and there are no oral understandings, statements or stipulations bearing upon
the meaning or effect of this Agreement which have not been incorporated herein. This Agreement
may only be modified, amended, supplemented or waived by a written instrument executed by the
parties herein.

All notices, demands and communications hereunder shall be in writing and may be served by
regular mail, certified mail, return receipt requested, or via hand delivery at the address indicated
below. The address of a party may be changed by notice given pursuant to this Article.

Based on the plans submitted, the cost to extend overhead three phase electric utility
servlet to your proposed three phase load(s) at Meadowmere Park is $52,606.43. This
Contribution -In -Aid -Of -Construction is due before we commence construction and
excludes any costs associated with obtaining easements from private landowners. As
you are aware, current plans indicate that a permit from the Corps of Engineers is the
only "easement" necessary to extend our distribution facilities, This price is good for 30
days from letter date.
