MEMO TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL FROM: BRUNO RUMBELOW, CITY MANAGER MEETING DATE: NOVEMBER 16, 2010 SUBJECT: APPROVAL TO RENEW EMS MEDICAL DIRECTOR SERVICES RECOMMENDATION: City Council to consider approval to renew a contract for EMS medical director services with Dr. Roy Yamada, M.D., F.A.C.E.P. for a total annual amount of$21,000. FUNDING SOURCE: Funds are available in the FY 2010-2011 account 100-44540-210-1 Professional Services. BACKGROUND: Dr. Roy Yamada, M.D. has provided medical director services for the Grapevine Fire Department since March, 2009. In accordance with the Local Government Code, Section 252, Sub-Section 252.022 (a)(4), this contract is considered a professional service and therefore exempt from any bidding procedure. The State of Texas requires that all EMS systems operate under the direction of a licensed medical director. Dr. Yamada currently provides these services for Grapevine as well as ten other area cities and EMS providers including Bedford, DFW Airport, Euless, Hurst, North Richland Hills, PHI Air Medical Services, and Tarrant County College. The Grapevine Fire Department's experience with Dr. Yamada over the past years has proven to be exceptional and has significantly enhanced the level of service provided by paramedics. The Fire Chief recommends approval to renew the annual contract with Dr. Roy Yamada, M.D., F.A.C.E.P. to provide EMS medical director services for the Grapevine Fire Department in the amount of$21,000. November 10,2010(3:08PM) EMS Medical Director Agreement Memorandum of Agreement for EMS Medical Direction For the mutual promises and consideration set forth herein, Roy Yamada, M.D. and the Grapevine Fire Department do hereby agree as follows: Dr_ Yamada will assist the Grapevine Fire Department in satisfying certain requirements pertaining to the operation of Emergency Medical System (EMS). By law, each EMS is required to have a Medical Director who is responsible for all aspects of the operation of an EMS system concerning the provision of medical care. This person is referred to as the Medical Director(off-line). This Agreement is effective October 1, 2010 for a period of twelve (12) months ending September 30, 2011 unless otherwise terminated as stated within this document. Contract Termination Either party may terminate this agreement with or without cause with ninety (90) days prior written notice. If agreement termination occurs, a final prorated invoice may be submitted to the City of Grapevine for any unpaid and unbilled portion of a quarter. If termination should become effective within a quarter for which payment has been made in full, then that prorated portion of the unfulfilled quarter will be reimbursed to the City of Grapevine by Dr. Yamada. Medical Director Functional Responsibilities During the term of this Agreement, Dr. Yamada will provide off--line and on-line Medical Director requirements and all services required of a Medical Director by Chapter 197, State Board of Medical Examiner Rules. These include: 1. Current license as a physician to practice in Texas and registration as an EMS Medical Director with the Texas Department of State Health Services; 2. Familiarity with the design and operation of EMS systems; 3. Experience in pre-hospital emergency care and emergency management of ill and injured patients; 4. Active involvement in: a. The training and/or continuing education of EMS personnel operating in this department at their respective levels of certification or Iicensure; b. The medical audit, review and critique of the performance of EMS personnel operating in this department; C. Maintaining knowledge about local multi-casualty plans; d_ Familiarization with dispatch and communications operations of pre- hospital emergency units; and Page 1 EMS Medical Director Agreement e. Knowledge about laws and regulations affecting local, regional and state EMS operations, with active involvement in the Governor's EMS and Trauma Advisory Council (GETAC) and the North Central Texas Trauma Regional Advisory Council (NCTTRAC). The Medical Director is an independent contractor whose Agreement is administered by the Fire Chief on the authority of the City Council, by City Manager designation. The Medical Director serves as the clinical leader of the EMS System and has the following responsibilities: 1. Recommend to the Fire Chief, or proper delegated person, medically appropriate response time standards; 2. Approval of the level of prehospital care by credentialing processes which may be rendered locally by each of the EMS personnel employed by and/or volunteering with the EMS under the medical director's supervision, regardless of the level of state certification or licensure, before the certificant or licensee is permitted to provide such care to the public; 3. Develop, implement and revise protocols and/or standing delegation orders as appropriate governing prehospital care and medical aspects of patient triage, transport, transfer, dispatch, extrication, rescue and radio-telephone-telemetry communication by the EMS; 4. Maintenance of the standards of patient care for ambulance and first responder vehicles, and to establish and monitor compliance with field performance guidelines for EMS personnel; 5. Direction and oversight of an effective EMS system audit and quality assurance program; 6. Establish standards and monitor compliance with training guidelines which meet or exceed the minimum standards set forth in the Texas Department of State Health Services EMS certification/license requirements. This includes serving as a liaison with any contracted education providers and having oversight and final authority when necessary to assure the quality of education and compliance to medical direction and protocols. T Conducting inspections of vehicles, equipment and supplies at the request of the Fire Chief or assigned officers; 8. Serving as the primary liaison between the Grapevine EMS system administration and the local medical community, ascertaining and being responsive to the needs of each. Quality Assurance Standards Provision of quality assurance and performance improvement to include but not limited to_ 1. Monthly report reviews with the Field Trainers or EMS Officers; 2. Participation in scheduled Field Trainer meetings; 3. Review of the Medical Control Quality Management reports: a. Risk ManagementtSafety; b_ Appropriate assessment and management of patient care; c. Paramedic compliance with Protocol and CQl guidelines; and d. Evaluation of problem prone, high volume and high risk patient care cases_ Page 2 EMS Medical Director Agreement 4. Provision of feedback to include Performance Improvement Plans as determined by audit and/or consultation with Department officers; 5. Provision of further recommendations as needed in special cases such as sentinel events in accordance with the Fire Chief and/or officers assigned to the case. 6_ Routine visits to each shift to address the following areas: a. Chart Reviews; b. Questions and Answers; c. Concerns; and d. Protocol updates and clarifications. Fire Department Functional Responsibilities Fire Department support of the Medical Director will be provided, but not limited to: 1. Supporting attendance by the appropriate designees at meetings determined by both parties to be beneficial to the EMS function of the department; 2. Provision of scheduling and contact information for key personnel of the department, such as Field Training Paramedics; 3. Immediate notification of any quality assurance issue that presented a threat to the public safety; 4. Immediate notification of any disciplinary action that resulted in termination or suspension of any EMS certificant or licensee functioning under this medical direction within the department; 5. Access as appropriate to documentation and/or recordings related to this EMS medical control practice as agreed by both parties to support quality assurance processes. 6. Payment upon quarterly invoice of EMS Medical Direction fees in the annual aggregate of$21,000. Quarterly payments will be $5,250 and will be due in October, January, April and July. This is an independent contractor Agreement. It is the express intent of the parties that nothing in this Agreement shall be construed to create any employer-employee, principal agent, partnership, or joint venture relationship between the parties_ While this Agreement is in effect, Dr. Yamada shall carry professional liability insurance with a carrier rated at least A++ by AM Best and in amounts not less than one million dollars ($1,000,000) per claim and three million dollars ($3,000,000) aggregate for all claims in a policy period. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas_ This memorandum comprises the entire, fully integrated Agreement between the parties. Any additions or modifications to this Agreement must be in writing and signed by both parties.
