RESOLUTION REPEALING BOOSTER PUMP STATION PARTICIPATION RECOMMENDATION: TRA CONTRACT FOR WATER AND GROUND STORAGE COST City Council consider approval of a Resolution repealing a Contract with the Trinity River Authority of Texas for the funding participation in the design and construction of a Water Booster Pump Station and Ground Storage Project to serve the City of Grapevine, and take any necessary action. BACKGROUND: The City of Grapevine adopted a resolution on November 15, 2005 approving a contract with TRA to share equally in the cost of a water pump station and ground storage facility in south Grapevine to address the future water supply needs of Grapevine from the TRA. Subsequent to that contract, TRA has undertaken and completed infrastructure improvements in their delivery system that addresses the City's future needs from their two delivery points in south Grapevine. The pump station and ground storage facility is no longer needed. TRA has committed existing bond funds to the first phase of the pump station and ground storage project that they wish to apply to other projects in their CIP program and have requested that the City adopt the resolution repealing the contract. Box 95104 Grapevine, Texas 76099 Re: Tarrant County Water Supply Project Trinity River Authority of Texas — City of Grapevine Water Facilities Contract Dear Mr. Laster: In December 2005, the Authority and the City of Grapevine entered into an interlocal agreement referenced above whereby the Authority and City agreed to a joint participation in the construction and ownership of certain water transportation and storage facilities within the City's water system. The Authority agreed to fund fifty percent (50 %) of the cost for the proposed two phases of the project. The first phase of the project was estimated to cost $7,008,000 and the second phase $3,220,000. The Authority's share of the first phase was to not exceed $3,504,000. The Authority issued bonds for the Tarrant County Water Supply Project (TCWSP) in 2005 for various system improvements and a refunding of some specific outstanding bonds. This bond issue included the Authority's proposed participation amount for the first phase. The City has previously indicated that this project is no longer necessary. The Authority requests an official response to confirm that the project is no longer necessary so that the 2005 contract can be repealed. Attached is a copy of a resolution that the Authority's bond counsel, McCall, Parkhurst and Horton, LLP, has prepared for the City's action or approval to repeal the 2005 contract. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS, REPEALING THE TRINITY RIVER AUTHORITY OF TEXAS - CITY OF GRAPEVINE WATER FACILITIES CONTRACT (TARRANT COUNTY WATER PROJECT) AND PROVIDING AN EFFECT DATE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS: Section 1. That, pursuant to a resolution of the City Council of the City of Grapevine, Texas (the "City ") adopted on November 15, 2005, the Mayor of the City and the City Secretary heretofore executed and delivered the "Trinity River Authority of Texas - City of Grapevine Water Facilities Contract (Tarrant County Water Project)" (the "Contract "). Section 2.. That the Trinity River Authority of Texas (the "Authority "), the other party to the Contract, likewise duly authorized, executed and delivered the Contract. Section 3. That circumstances and conditions have changed in such material ways that the City and the Authority have determined that the Contract no longer meets any of their needs and purposes as originally contemplated. The City and the Authority have each independently determined that the Contract should be repealed, revoked and rendered of no effect as between the City and the Authority. Section 4. That, therefore, the Contract, by mutual agreement of the City and the Authority, is hereby terminated and repealed and shall be of no further force and effect between the City and the Authority. In connection therewith, the Mayor and the City Secretary shall be authorized to execute, deliver and file all deeds and documentation, and take all actions, deemed necessary or appropriate to accomplish the purpose. Section 5. That this resolution shall take effect and be in full force and effect from and after the date which is the later of (1) its adoption or (2) adoption of a similar resolution of the Authority to take such action, and it is so resolved; and all resolutions of the City Council of the City in conflict herewith are hereby amended or repealed to the extent of such conflict.
