RESOLUTION NO. 95-15
,��, A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS AMENDING RESOLUTION NO. 90-17,
AS AMENDED, RELATING TO THE GRAPEVINE HERITAGE
FOUNDATION ADVISORY BOARD; PROVIDING FOR THE
APPOINTMENT OF A CITIZEN CHAIRPERSON;
DELINEATING THE DUTIES OF THE CONVENTION &
VISITORS BUREAU DIRECTOR; AMENDING THE
RESOLUTION SUBSTITUTING GRAPEVINE HERITAGE
FOUNDATION IN LIEU OF THE HISTORIC PRESERVATION
AND CULTURAL RESOURCES FOUNDATION; AND
PROVIDING AN EFFECTIVE DATE
WHEREAS, the City of Grapevine authorized the creation of the Grapevine
Heritage Foundation Advisory Board on June 5, 1990 by the adoption of Resolution
No. 90-17; and
WHEREAS, the City Council deemed it necessary to expand the membership of
the Grapevine Heritage Foundation Advisory Board by the adoption of Resolution
�f "` No. 92-35 on October 20, 1992; and
�-�° WHEREAS, upon the initial creation of the Grapevine Heritage Foundation
Advisory Board ("Board"), the Mayor and City Council agreed to appoint the
Convention & Visitors Bureau Director as a member and Chairman of the Board to
ensure that the Board had a smooth beginning; and
WHEREAS, the City Council has concluded that since its creation in 1990, the
Board has had adequate time to develop its planning and activities in conjunction with
the Council goals and objectives for the continued development of Grapevine's
preservation, restoration and heritage education programs; and
WHEREAS, the City Council now deems it appropriate to appoint a citizen
Chairperson of the Board and to delineate the Convention & Visitors Bureau Director's
duties relating to the Board; and
WHEREAS, the City Council has deemed it necessary to amend Resolution
No. 90-17 throughout to substitute Grapevine Heritage Foundation in lieu of the
Historic Preservation and Cultural Resources Foundation; and
� , WHEREAS, the amendments are respectfully submitted to the Grapevine
Heritage Foundation for inclusion in its bylaws.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS:
�� Section 1 . That the above and foregoing preamble is true and correct and is
incorporated into this resolution as if copied herein in its entirety.

Section 2. That Section 4.B and 4.0 of Resolution Nos. 90-17 and 92-35 be
amended and restated as follows:
"4.B All eleven (1 1) members of the advisory board shall be appointed by the
City Council for two (2) year staggered terms, with one of the members being
a member of the City Council. All eleven (1 1) members shall be residents of
the City of Grapevine.
4.C. The Director of the Convention & Visitors Bureau is hereby appointed
Chief Executive Officer of the Grapevine Heritage Foundation and he shall
perform the following duties:
1 . assemble and distribute all Board meeting agendas and appropriate
notices;
2. oversee all Board financial transactions to assure that acceptable audit
measures are maintained at all times;
3. Convention & Visitors Bureau Director, or his designee, shall serve as
one required cosigner of all checks written by the Board;
����` 4. assign necessary duties to appropriate Convention & Visitors Bureau
Staff, as deemed necessary to assist the Board;
'���' 5. shall advise the Board on issues of City policy, festival policy and
operations, and other City management and/or City Council goals and
objectives;
6. shall assist and support the Board in all endeavors consistent with the
mission of the Grapevine Heritage Foundation."
' Section 3. That Section 4.D of Resolution No. 90-17 be amended to read as
follows:
"4.D The citizen chairman shall be appointed annually by the Mayor with the
confirmation by the Grapevine City Council."
Section 4. That throughout Resolution No. 90-17 the terms "Historic
Preservation and Cultural Resources Foundation" is hereby changed to "Grapevine
Heritage Foundation".
Section 5. That this resolution respectfully be submitted to the Grapevine
Heritage Foundation for inclusion in its by-laws.

Section 6. That this resolution shall be effective from and after the date of its
passage.
