A RESOLUTION OF THE CITY OF GRAPEVINE, TEXAS
PROVIDING FOR THE DISSOLUTION OF THE MAIN
STREET COMMITTEE AND FESTIVALS COMMISSION;
PROVIDING FOR THE ESTABLISHMENT OF AN
HISTORIC PRESERVATION AND CULTURAL RESOURCES
FOUNDATION; PROVIDING FOR THE PURPOSES OF
THE FOUNDATION; PROVIDING FOR APPOINTMENT OF
�� AN ADVISORY BOARD OF THE FOUNDATION; AND
PROVIDING AN EFFECTIVE DATE
�"' WHEREAS, it is the considered belief and opinion of the
Grapevine City Council that certain aspects of city government
function in a manner that best serves the needs of the community
when interested citizens participate and assist in the formulation
of policies; and
WHEREAS, the Grapevine City Council is of the considered
belief and opinion that such participation may be effectively
manifested through an Historic Preservation and Cultural Resources
Foundation; and
WHEREAS, the Grapevine City Council is of the considered
belief and opinion that an Historic Preservation and Cultural
Resources Foundation would benefit and be in the best interest of
the City of Grapevine and its citizens.
WHEREAS, The Grapevine City Council is of the considered
belief and opinion that the Historic Preservation and Cultural
Resources Foundation should perform the functions currently
performed by the City' s Main Street Committee and Festival
Commission, as well as other authorized functions and that,
� � therefore, the Main Street Committee and Festivals Commission
should be dissolved and abolished upon the establishment of the
Historic Preservation and Cultural Resources Foundation.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF GRAPEVINE, TEXAS:
Section l . That the City' s Main Street Committee and
Festivals Commission be and are hereby dissolved and abolished.
Section 2 . That an Historic Preservation and Cultural
Resources Foundation for the City of Grapevine, Texas, be, and is
hereby established.
Section 3 . That the purposes of the Historic Preservation and
Cultural Resources Foundation shall be:
A. To act in an advisory capacity to the City Council, to
the Convention & Visitors Bureau Board, to the
Foundation' s Director, and other members of the City
Staff in matters pertaining to historic preservation and
restoration, festivals, and cultural pursuits.
B. To unite and support our community in the understanding,
research, preservation, restoration, promotion,
�, appreciation, care and use of Grapevine ' s physical and
cultural heritage.
C. To promote preservation through appropriate business and
visitor use of historic structures and sites.
D. To promote visitors to Grapevine through festivals and
cultural events and recommend and coordinate dates,
location, and operational procedures for Grapevine' s
festivals and cultural events, while providing a quality
experience of our City' s heritage.
E. To demonstrate the importance of Grapevine' s heritage to
locals and visitors, both present and future.
F. To preserve, restore, maintain historic landmarks, sites,
objects, artifacts, documents, relics and other similar
items located within the confines of the City of
, Grapevine.
Section 4 . The the Historic Preservation and Cultural
�� Resources Foundation shall be operated and managed by the Historic
Preservation and Cultural Resources Foundation Advisory Board which
board shall be organized as follows:
� A. The Advisory Board shall consist of seven (7) members who
shall have a demonstrated interest in the preservation
and restoration of Grapevine' s heritage and historic
structures and sites and/or in the promotion of
Grapevine' s heritage and historic structures and sites
through festivals and cultural events.
B. Five (5) members shall be appointed by the City Council
for two (2) year terms which shall be staggered. Three
(3) of the initial appointments shall be for an initial
one (1) year term and, thereafter, appointments to said
three (3) positions shall be for terms of two (2) years.
Two (2) of the initial appointments shall be for a two
(2) year term and, thereafter appointments to said two
(2) positions shall be for terms of two (2) years. These
five (5) members shall be residents of Grapevine.
C. The other two (2) members shall be the Convention and
Visitors Bureau Director, and a member of the City
Council who shall be appointed annually by the City

Council.
D. The Chairman shall be appointed annually by the Mayor
with the confirmation by the Grapevine City Council.
E. The Advisory Board shall meet at least six (6) times per
year. The Chairman may call special meetings as
necessary.
F. Four (4) members of the Advisory Board shall constitute a
quorum. The Board shall act on a majority vote of those
members present.
G. Ex officio nonvoting members of the Advisory Board will
include the Foundation' s Director, Director of Community
Development, Director of Public Works and a member of the
Grapevine Historical Society.
Section 5 . That this resolution shall be effective from and
after the date of its passage.
PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS on this the 5th day of June, 1990 .
