EMERGENCY
HI�REAS, applications were made to amend the Official Zoning riap, City of
Grapevine, Texas, by making applications for same with the Planning & Zoning
Comnission of the City of Grapevine, Texas, as required by State statutes and
the zoning ordinances of the City of Grapevine, Texas, and all the legal
requirements, conditions and prerequisites having been canplied with, the case
having come before the City Council of the City of Grapevine, Texas, after all
legal notices requiresnents, conditions and prerec�uisites having been camplied
with; and,
Wf�RE1�S, the City Council of the City of Grapevine, Texas, at a public
hearing called by the City Council did consider the followi.ng factors in
making a deternLination as to whether these requested char�ges should be granted
or denied; safety of the m�toring public and the pedestrians using the
facilities in the area inmlediately surrounding the site; safety fran fire
hazards and measures for fire contxol, protection of adjacent property from
flood or water damages, noise producing elezreents and glare of the vehicular
and stationary lights and effect of such lights on established character of
the neighborhood, location, liqhting and types of signs and relation of signs
�-:�� to traffic control and adjacent property, street size and adequacy of width
for traffic reason�bly expected to be generated by the proposed use around the
site and in the imnediate neighborhood, adequacy of parking as determined by
requirements of this ordinance for off-street parking facilities, location of
ingress and egress points for parking and off-street locating spaces, and
protection of public health by surfacing on all parking areas to control dust,
effect on the promotion of health and the general welfare, effect on light and
air, the effect on the overcrowding of the land, the effect on the
concentraticn of population, the effect on the transportatien, water,
seweraqe, schools, parks and other facilities; and,
Wt�REAS, the City Council of the City of Grapevine, Texas, at a public
hearing called by the City Council of the City of Grapevine, Texas, did
consider the followir.g factors in making a detennination as to whether this
requested change should be granted or denied; effect on the congestion of the
streets, the fire hazards, panics and other dangers possibly present in the
securing of safety fran sa�, the effect on the prc�notion of health and the
general welfare, effect on adequate light and air, the effect on the
overcro�ling of the land, the effect on the concentration of population, the
effect on the transportation; water, sewerage, schools, parks and other public
�' facilities; and,
Wf�REAS, the City Council further considered among other things the
�n,� character of the district and its peculiar suitability for particular uses and
with the view to conserve the value of buildings, encourage the most
appropriate use of land throughout this city; and,
, W��RF'�I�S, the City Council of the City of Grapevine, Texas, does find that
there is a public necessity for the zoning change, that the public demands it,
that the public interest clearly requires the amendment, that the zoning
changes do not unreasonably invade the rights of those who bought or unproved
property with reference to the classification which existed at the time their
original investment was made; and,
WF�REAS, the City Council of the City of Grapevine, Texas, does find that
the change ir. zoning lessens the cangestion in the stxeets, helps secure
safety from fire, panic and other dangers; pranotes health and the general
w�lfare; provides adequate light and air; prevents the overcrowding of land;
avoids undue concentration of population; facilitates the adequate provisions
of transportation, water, sewerage, schools, parks ar�d other public
requir�ments; and,
WHEREI�S, the City Council of the City of Grapevine, Texas, has deteYmined
that there is a necessity and need for this change in zoning and has also
found and determined that there has been a change in the conditions of the
" property surrounding and in close �roximity to the property requested for a
change since this property was originally classified and therefore, feels that
�,,, , a change in zoning classification for the particular piece of property is
needed, is called for, ar,d is in the best interest of the public at large, the
citizens of the City of Grapevine, Texas, and helps pranote the general
health, safety, and welfare of this community.
NOW, THIItEF'ORE, BE IT ORDAINID BY THE CI'I'Y COUNCIL OF THE CITY OF
GRAPEVINE� TEXAS:
Section 1. That the City of Grapevine Ordinance No. 82-73, being the
Canprehensive Zoning Ordinance of trie City of Grapevine, 'I'exas, same being
also known as Appendix "D" of the City Code of Grapevine, Texas, be, and the
same is hereby amendec'. and changed. in that the use of the follawing described
property, to-wit:
Beinq a tract of land located in the Counties of Tarrant and Dallas, in
the City of Grapevine, Texas, more fully and ccgnpletely described in E�hibit
"A", attached hereto and made a part hereof, which was previously zoned
"PID" Planned Industrial District is hereby changed as follaws:
Tract 1 to "R-MF-1" Multi-Family Dwelling District,
Tract 2 to "R-MF-2" Multi-Family Dwelling District,
Tract 3 to "CC" C�nnunity C�rcial Zoning Bistrict,
"`�` Tract 4 tc "CC° C�ununity Cc�nanercial Zoning District,
Tract 5 to "HCO" Hotel/Corporate Office District,
Tract 6 to "CC" Cca�munity Caranercial Zoning District,
�.-� Tract 7 to remain "PID" Planned Industrial District,
Tract 8 to "CC" Cca�munity C�rcial Zoning District, and
Tract 9 to "LI" Light Industrial Zoning District,
as shown on Fxhibit "B", attached hereto and made a part hereof, all in
accorctance with C�rehensive Zoning Ordinance No. 82-73, as amended, and
providing for acceptance by the City of proferred voluntary deed restrictions
("Deed Restrictions") , attached hereto and made a part hereof as Exhi.bit "C",
and a letter agreement ("Letter Agreement") also volunteered by the owner,
attached hereto and made a part hereof as E�hibit "D".
Section 2. The Deed Restrictions and the Letter Agreement have been
proferred by the owner, 519 Grapevine Joint Venture, and duly accepted by the
City for filing, which Deed Restrictions and Letter Agreement uddress donation
of a park site and funds for park improv�nents, donation of a site for
location of a fire station, donation of a school site or funds for school
i�rovements, and the maximum number of and location of residential units,
amongst other matters.
Section 3. The City Manager is hereby directed to correct the official
� zoning map of the City of Grapevine, Te�s, to reflect the herein change in
zoning.
�� Section 4. That in all other respects the use of the tract or tracts of
land herein above described shall be subject to all the applicable regulations
contained in said City of Grapevine zoning ordinance and all other applicable
and pertinent ordinances of the City of Grapevine, Texas.
Section 5. That the zor.ing regulations and districts as herein
established have been made in accordance with the comprehensive plan for the
purpose of pranoting health, safety, morals and the general w�lfare of the
cca�munity. They have been designed with respect to both present conditions
and the conditioris reasonably anticipated to exist in the foreseeable future,
to lessen congestion in the streets; to secure safety fran fire, panic, flood
ar�d other dangers; provide adequate light and air; to prevent overcrowding of
land, to avoid undue concentration of population; facilitate the adequate
provisions ef transportation, water, sewerage, drainage and surface water,
parks and other public requirements, and to make adequate provisions for the
r�ormal business, commercial needs and develognent of the comnunity. They have
been made with reasonable consideration, among other things, of the character
of the district, and its peculiar suitability for the particular uses and with
a view of conserving the value of buildings and encouraging the most
appropriate use of land throughout the community.
Section 6. This ordinarice shall be c�ttnulative of all other ordinances of
"� ` the City of Grapevine, Texas, affecting zoning and shall not repeal any of the
provisions cf said ordinances except in those instances where provisions of
,� ,a those ordinances which are in direct conflict with the provisions of this
ordinance.
Section 7. That the terms and provisions of this ordinance shall be
deemed to be severable and that if the validity of the zoning affecting ar�y
portion of the tract or tracts of land described herein shall be declared to
be invalid, the san� shall not affect the validity of the zoning of the
balance of the tract or tracts of land described herein.
Section 8. That any person or corporation who shall violate any of the
provisions of this ordinance or fail to comply therewith, or with any of the
requirements thereof, or who shall build or alter any buildinq or use in
violatior_ of any detailed statement or plan sul�nitted and approved hereunder,
shall be guilty of a misde�neanor and shall be liable to a fine of not more
than cne thousand dollars ($1,000.00) , and each day such violation shall be
permitted to exist shall cor,stitute a separate offense. The awner or owners
of any building or premises, or part thereof, where anything in violation of
this ordinance shall be placed or shall exist, and any architect, builder,
contractor, agent, person, or cc�rporation employed in connection therewith,
and who may have assisted in the canmission of ar�y such violation, shall be
guilty of a separate offense and upon conviction shall be fined as herein
provided. The City of Grapevine, likewise, shall have the power to enforce
� the provisions of this ordinance through civil court action as provided by
state law.
� :..= Section 9. Z'he fact that the present zoning ordinance and regulations of
the City of Grapevine, Texas are inadequate to properly safeguard the health,
safety, morals, peace, and general w�elfare of the inhabitants of the City of
Grapevine, Texas, creates an emergency for the inm�ediate preservation of the
public business, property, health, safety and general welfare of the public
which requires that this ordinance shall bec�e effective frcan and after the
date of its final passage, and it is accordingly so ordained.

�- That 519 GRAPEVINE JOINT VENTURE, a Texas joint venture
( "Owner") , is the owner of certain property ( "Property" ) situated in
'�""°" Dallas, Denton and Tar%�ant Counties, Texas, as evidenced by a Deed
dated February 17, 1984 and recorded in Volume 84034, Page 155 in the
Deed Records of Dallas County, Texas, a Deed dated February 15, 1984
and recorded in Volume 1342, Page 819 in the Deed Records of Denton
County, Texas, and a Deed dated February 15, 1984 and recorded in
Volume 7745, Page 474 in the Deed Records of Tarrant County, Texas,
and more particularly described in field notes marked Exhibit "A"
attached hereto and made a part hereof for all purposes.
That the undersigned does hereby impress the Property with the
following deed restrictions, to-wit:
1. Multiple family uses are permitted only on the
� Buildable Areas as generally indicated on the site
plan attached hereto and made a part hereof and marked
Exhibit "B" (hereinafter "Site Plan" ) . ��The exact
� Y{ location of the Buildable Areas is more particularly
described in Exhibit "C" attached hereto and made a
part hereof.
2 . The maximum number of multiple family dwelling units
on the Property shall be limited to 2, 007 dwelling
� units.
3 . Multiple family structures must comply with the
acoustical requirements attached hereto and made a
part hereof and marked Exhibit "D" .
4. Buildings are not permitted on the hillsides and in
the flood plain ( "Open Space") as generally shown on
the Site Plan. The exact location of the Open Space
• will is more particularly described in Exhibit "E"
attached hereto and made a part hereof.
5. A public access easement is hereby created for the use
of the Open Space. The purpose of this public access
easement is to allow Grapevine residents to use the
� Open Space for jog�ing and hiking. This public access
easement shall not restrict the Owner' s use of the
Open Space.
'� � 6. Multiple family uses are prohibited in the industrial
and commercial areas which are described in Exhibit
"F" attached hereto and made a part hereof.

These restrictions shall continue in full force and effect for a
-period of twenty-five (25) years from the date of execution, and
shall automatically be extended for additional periods of ten (10)
years unless terminated in the manner specified herein.
These restrictions shall not be altered, amended or terminated

without a public hearing before the City Plan Commission and the City
Council of the City of Grapevine. Notice of such public hearings
�
shall be given as taould be required by law for a zoning change on trae
property described herein. The City Manager, or designee, through
authorization by majority vote of the City Council of the City of
Grapevine, Texas, and 519 Grapevine Joint Venture, its successors or
assigns must sign a document to be filed in the Deed Records of
Tarrant County, Texas, approving the amendment or termination of
these Deed Restrictions.
The restrictions contained herein are not in any manner intended
to restrict the right of the City Council of the City of Grapevine to
exercise its legislative duties and powers insofar as zoning of the
property is concerned. �
These restrictions inure to the benefit of the City of

Grapevine, and the City of Grapevine does hereby reserve the right to
prosecute, at law and in equity, against the person violating or
attempting to violate such restrictions, either to prevent him from
so doing and to correct such violation and for further remedy, the
City of Grapevine may withhold the Certificate of Occupancy necessary
for the lawful use of the property until such restrictions described
herein are fully complied with.
These restrictions are hereby declared covenants running with
the land shall be fully binding upon all persons acquiring property
within the above described tract, and any person by acceptance of
title .to any of the abc�ve described property shall the.reby agree and ,,,�
covenant to abide by and fully perform the foregoing restrictions and

Re: That certain real property located in the City of
Grapevine, Dallas, Denton and Tarrant Counties, Texas,
consisting of approximately 518 acres and being more
particularly described on Exhibit "A" attached hereto and
made a part hereof for all purposes (the "Property" ) .
�, Honorable Mayor and Members of the Grapevine City Council:
In connection with its proposed ownership and development of the
� A above-captioned Property, 519 GRAPEVINE JOINT VENTURE, a Texas joint
venture (the "Owner" ) and THE CITY OF GRAPEVINE, TEXAS (the "City" )
each desire to enter into this Letter Agreement regarding certain
aspects relating to the Property and the proposed development thereof
for multi-use purposes. The Owner and the City hereby agree as
follows:
1. Within six (6) months after the execution of this Letter
Agreement, the Owner and City shall execute the following
documents: (i) Quitclaim Deed and Agreement covering a
proposed park site to be dedicated to the City and
containing certain agreements for the City to maintain the
park and the swale adjacent to the park, and (ii) a second
Quitclaim Deed and Agreement relating to the dedication by
Owner to the City of a certain site for use by the City as a
fire station with construction of the fire station to begin
within ten ( 10) years from the date of the execution of the
deed.
2. The Owner agrees to file for record deed restrictions
limiting the maximum number of multiple family dwelling

units in the residential areas, designating the buildable
areas for residential development and prohibiting
buildings on hillsides and in the flood plain as generally
sYiown on the site plan, providing acoustical requirements
�=»� for multiple family structures, allowing public access to
the hillsides and flood plain for jogging and hiking and
prohibiting multiple family uses in the industrial and
commercial areas including that portion of the property
not currently within the city limits of the City of
Grapevine.

3 . The Owner further agrees to cause the construction of a
monument (the "Monument" ) on the Property identifying the
northern entrance of the City of Grapevine along State
Highway 121 in conjunction with Owner' s development of
that portion of the Property adjoining the proposed
- locati�n of the Monument. Owner shall propose certain
plans and'• specifications relating to its proposed
construction of such Monument for review by the City of
Grapevine prior to initiating construction thereon.
Notwithstanding the foregoing, Owner shall in no way be
liable for an amount in excess of TEN THOUSAND AND NO/100
DOLLARS ($10, 000.00) in connection with its obligation to
construct such Monument.
4. Owner agrees to pay the City FIVE HUNDRED THOUSAND AND
NO/100 DOLLARS ($500, 000. 00) for use by the City in its �
initial development of the park site described in the
Quitclaim Deed and Agreement referenced in paragraph 1(i )
above. It is expressly agreed that this sum shall be paid ���
by Owner to the City immediately after the issuance of any
building permit required by Owner in connection with the
development of the Property. The $500, 000.00 will be kept
in an interest-bearing account until it is used for park
improvements and all interest from the amount will be used
for park improvements. The funds may only be used to
construct improvements that are mutually acceptable to the
City and Owner. The park improvements will be completed
within two (2 ) years after the money is given.
5. The Owner further agrees to provide a school site which is
mutually acceptable to the Owner and the Grapevine
Independent School District (the "District" ) within one
( 1) year from the date of the execution of this Letter
Agreement. If a mutually agreeable school site is £ound
within one (1) year from the date of the execution of this
Letter Agreement, Owner shall retain a right of first
refusal to repurchase the school site for� $500, 000. 00 if
the District does not construct a school on that site
within five (5) years from the date of the issuance by the
City of the first Certificate of Occupancy as may be
required or requested by Owner in connection with its '�
residential development of that portion of the Property
described more particularly on Exhibit "B" attached hereto
� and made a part hereof for all purposes, or ceases to use ��
the school site for the location of a school. In the
alternative, if Owner and the District do not agree on a
school site within one (1) year from the date of the
execution of this Letter Agreement, Owner will pay a sum of
FIVE HUNDRED THOUSAND AND NO/100 DOLLARS ($500, 000.00) to
the District for use by such District in constructing or
operating new or existing school or schools. The sum

described in this paragraph shall be paid by Owner to the
District immediately following the issuance by the City of
the first Certificate of Occupancy as may be required or
requested by Owner in connection with its residential
development of that portion of the Property described more

District pursuant to this paragraph shall be used for
constructing or operating the schools that serve the
Property.
6. This Letter Agreement shall be binding upon the City, its
successors and assigns and Owner, its successors and
assigns to the Property, and shall be construed in
accordance with the laws of the State of Texas.

7. Owner and City agree that the obligations of the Owner are
in recognition by the Owner of the impact that the

system and the impact of the development on the Grapevine-
Colleyville Independer.t School District. Owner and City
recognize and agree that said agreement is legal, binding
