RESOLUTION NO. 87-29
A RESOLUTION OF THE CITY COUNCIL
AUTHORIZING THE MAYOR OF THE CITY OF
GRAPEVINE, TEXAS TO EXECUTE THE
AGREEMENT WITH THE CITY MANAGER
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE,
TEXAS :
Section 1 . That the Mayor of the City of Grapevine, Texas
is hereby authorized and directed to execute an agreement with
City Manager appointee, Dennis E. Dawson and said agreement is
hereby approved.
Section 2 . A true and correct copy of said agreement is
attached hereto and incorporated herein for all purposes as
Exhibit "A" .

I AGREEMENT
� For and in consideration of the mutual terms, conditions
and covenants herein contained, the following agreement is
entered into by and between Dennis E. Dawson, hereinafter
referred to as "Dawson" and the CITY OF GRAPEVINE, TEXAS,
hereinafter referred to as "City" :
I .
Dawson shall serve as City Manager for the City from day
to day beginning on the 18th day of August, 1986 at the will of
the City Council by performing the duties thereof as prescribed
by the Charter of the City and the policies and procedures
adopted by the City Council.
II .
In consideration for such services, Dawson shall receive:
1. Annual salary of $70,000.00 per annum paid
bi-monthly as are other City employees, which
salary shall be periodically reviewed.

2 . City shall furnish Dawson an automobile for
business and private use, all costs, gas,
�" insurance, repair and replacement shall be
furnished by the City. "
3 . All benefits received by other full time employees
of the City.
4. The following additional personnel benefits:
a. Four (4) weeks annual vacation.
b. Health insurance - one-hundred percent of
premiums paid to cover all family members
and dental insurance, including payments
for orthodontist.
c. Life insurance provided in an amount equal
to two (2) times annual salary.
5. Payments to be provided in the City' s annual
budget for all reasonably necessary membership
dues in professional organizations, seminars,
a+� annual meetings at State, National and local
municipal organizations .

6. Ten percent (10$) of Dawson's annual salary is to
be contributed by the City into a deferred
compensation plan provided by the International ��
City Management Retirement Corporation. �
7 . City shall pay all expenses for up to two (2 ) „�,
house hunting trips.
8. All moving and relocation expenses shall be paid
by the City.
9. $5,000 shall be paid to Dawson to cover all other
expenses incurred in relocating, including, but
not limited to costs in renting an apartment,
storage of furniture, closing costs, costs for
points incurred in obtaining a home loan.
10. City shall loan Dawson �40,000 for the purpose of
assisting Dawson in purchasing a home in the City
of Grapevine. The loan shall be secured by a note
and deed of trust evidencing a lien against the
home purchased. The term of the note shall be
five (5 ) years, 8� per annum. No principal and
interest payments shall be due until August 31,
1991, on which date the outstanding principal
balance of the note plus any and all accrued
interest shall be due and payable . The total
amount of the principal of the note plus all �-0'n�
accrued interest shall be due and payable in the
event Dawson shall no longer be in the employment ,,�,,
of the City within sixty (60) days of cessation of
employment or on August 31, 1991, whichever comes
first.
11. During the summer of 1988 the City shall make
available to Dawson an all expense paid session of
the Harvard JFK Public Administration School for
Executive Management Program.
12 . In the event Dawson is terminated from employment
as City Manager by the City, he shall receive in
cash as a lump sum severance pay, a sum equal to
six (6) months pay.
This instrument shall be the entire agreement of the
parties hereto and shall satisfy all obligations and duties of
the parties, including any rights or obligations created by law
as a result of the act of termination, such as, but not limited
to, any other notices or other necessary acts .
