SUBJECT: FIRST BAPTIST CHURCH PARKING LOT LEASE
RECOMMENDATION:
City Council considera rovin a lease with First Baptist Church of Grapevine for the use
of church property for public parking, authorizing the City Manager to execute said lease
and take any necessary action.
FUNDING
Pavement repair, overlay and striping at an estimated amount of $25,000 will be funded
from the Quality of Life Fund. Future Maintenance will be funded from the Annual
Permanent Street Maintenance Fund.
BACKGROUND INFORMATION:
The Church staff approached the City a number of months ago about the City repairing the
parking lot in the southeast corner of Wall Street and Jenkins Street. to responded that
we would only consider this request if the church was willing to lease it to the City for public
parking.
We have negotiated a lease agreement with the church fort is lot to serve as a public
parking lot fora period of 20 years with renewals in increments of 10 years if mutually
agreed upon. Provisions are included to reimburse the City for the unamortized value of
the planned improvements in the event that the church chooses to terminate the lease.
The parking lot will be open and available for public parking with the following exceptions:
• Sunday morning church services
• Wednesday evening church services
• Special events ®weddings and funerals
Parking is provided only for passenger vehicles and no overnight parking will be allowed.
The lot provides approximately 70 spaces.
Public Works to will repair the failed pavement areas in the lot and perform an asphalt
overlay with new striping. We will then continue to maintain the lot through the life oft e
lease.

GROUND LEASE
WHEREAS, the City of Grapevine, hereinafter referred to as Lessee, a
home rule city situated in Tarrant County, Texas is in need of space for public
parking.
WHEREAS, First Baptist Church of Grapevine, hereinafter referred to as
Lessor, is the owner of a tract of land situated at the intersection of Jenkins
Street and all Street, subject tract is depicted in Exhibit"A", attached hereto
and incorporated herein, and is agreeable to entering into a lease agreement
with the City of Grapevine,
NOW, THERFORE, Lessor does hereby for and in consideration of the
rents, covenants and promises herein contained to be kept, performed and
observed by Lessee does hereby lease and demise to Lessee and Lessee does
hereby rent and accept from Lessor, all that lot tract and parcel depicted in
Exhibit "A" (the "Leased Property").
1. TERM
The term of this Agreement shall be fort en (2 0) year period beginning
-, 2013, and be renewable in ten (1 0) year increments if mutually
agreed upon.
This lease is a right appurtenant to the Leased Property, is binding upon,
and inures to the benefit of Lessor, Lessee, and their respective successor(s)
and assign(s).
[I. RENT
Lessee shall not be obligated to pay an annual or monthly rental on said
property.

Ill. LEASEHOLD IMPROVEMENTS
Lessee agrees to improve and maintain the parking lot during the to of
the lease pursuant to plans approved by Lessor and Lessee.
The improvements shall be as follows:
Paving of parking lot and delineation of parking spaces according to plans.
IV. PUBLIC CONVENIENCE
During the term of the lease the lot shall be open and available for public
parking with the following exceptions:
Sunday Morning Church Services
Wednesday Evening Church Services
Special Events—Weddings and Funerals
Passenger vehicles only
No overnight parking
Lessee shall provide Church Special Event Signs to Owner for use during
Special Events as agreed to in this lease. Public parking does not include City
festivals and events, such as, without limitation, Main Street Days and Grapefest
for which parking is only available under separate agreement.
V. MAINTENANCE OF PROPERTY
Lessee agrees to maintain the property during the to of the contract.
Maintenance shall include repair and striping of the property and ensuring that
abandoned vehicles are promptly removed. In the event there has been damage
or destruction tote parking lot during a time of public parking, the Lessee shall
use its best efforts to repair or restore the property to its condition existing prior to
the damage, and shall keep the Lessor reasonably informed as to the repair
efforts.
VI. INSURANCE
Lessee agrees to provide General Liability Premises and Operations
insurance coverage for Lessee's operations during contract period, naming
Lessor as Co-Insured for all claims or incidents occurring on the property during
the time that Lessee is using the parking lot for fesfival and event activities.

VII. TERMINATION
At such time as this property no longer functions as a parking lot, at the
sole discretion of the Lessor, this lease shall be terminated.
Either party may terminate the lease upon expiration of the contract term.
Termination of the contract shall release Lessor and lessee from the terms and
agreements contained in the contract.
Owner may terminate the lease prior to the expiration date, City shall be
reimbursed the remaining unamortized value of the improvements made to the
tract by the City as a prerequisite to such termination.
VIll. LOCATION
This contract is performable in Grapevine, Tarrant County, Texas and is
subject to all applicable Texas law.
