I Per .......... a� FEB o 7 2005 1502 Thatcher Trail Oak Grove Park Site Verizon Wireless has negotiated a Site Agreement with TXU Electric Delivery Company ("TXU") in order to collocate on TXU's existing ninety foot (90') transmission pole located at this site. In addition, Verizon Wireless has negotiated a Land Lease Agreement with Mr. William W. Thatcher in order to locate its equipment building on Mr. Thatcher's property, near TXU's transmission pole. Verizon Wireless plans to place its antennae at a point approximately three (3) feet below the top of TXU's transmission pole. According to Section 49B. I (a) of the Code of Ordinances for the City of Grapevine, the Director of Development Services may administratively review and approve an antenna that is attached to an existing tower, provided (i) there is associated cabinetry/equipment located underground or on/within existing cabinet area/structure, and (ii) there is no increase in height regarding the existing tower. Type of Tower The existing ninety foot (90') transmission pole will not be extended. Verizon Wireless will attach its antenna structure to a point that is eighty-seven (87) feet in height on this existing transmission pole. The antenna structure is shown in the photo simulation attached to Tab B, which shows before and after shots of the proposed antennae. Verizon Wireless will attach its antennas to the existing transmission pole. Diagrams and specifications of the antennas (including dimensions) are attached to Tab A. Setbacks According to Section 49B.1(e) of the Code of Ordinances for the City of Grapevine, setbacks from residentially zoned property do not apply to the antennae attached to utility structures exceeding seventy-five (75) feet in height. As indicated, the existing TXU transmission pole is ninety (90) feet in height. Equipment Shelter As shown on the site plan (Tab A) and photo simulations (Tab B), Verizon Wireless will use a stucco exterior surface for the walling of its equipment building that matches in color and pattern, the materials for the proposed home of Mr. Thatcher. The equipment building will be attached to the garage of Mr. Thatcher's home. Attached to this affidavit and incorporated herein by reference as Exhibits A and B are propagation studies depicting simulated radio frequency coverage in the area of the Proposed Site both before (Exhibit A) and after (Exhibit B) the Proposed Site is constructed and activated. Exhibit A is a true and accurate simulation of existing radio frequency coverage in the area of the Proposed Site and shows varying degrees of less than optimum coverage in the general vicinity of the Proposed Site, including, without limitation, existing significant gaps in coverage. To further explain, please review Exhibit A. The colors indicate the following]: Black = No coverage Tan = Coverage outdoors Blue = Coverage inside vehicles Dark Pink = Coverage inside residences Green = Coverage inside commercial buildings This evidence conclusively demonstrates Verizon Wireless' need for the Proposed Site. As shown in Exhibit B, following construction and activation of the Proposed Site, Verizon Wireless' coverage and capacity needs in the immediate area of the Proposed Site will be substantially satisfied. 3. "This Proposed Site will provide optimal coverage for the residential areas surrounding the Proposed Site and will serve both coverage and capacity needs for a 3/4 mile radius around the cul-de-sac of Thatcher Trail, which is approximately one hundred (100) yards west of N. Utility Easement. Licensor does hereby grant to Licensee a non-exclusive, unimpaired right-of-way, in and over the real property depicted or described on the attached Exhibit "B", for the limited purpose of providing Licensee with a right to and means of ingress and egress to install, maintain, repair, service, replace, and remove utility wires, poles, cables, conduits, and pipes, so as to provide utilities to the Licensee Equipment and any Storage Facility to which this Site License Agreement applies. 3. Ingress and Egress. Licensor does hereby further grant to Licensee a non-exclusive easement, in and over the real property depicted or described on the attached Exhibit "C", for ingress and egress from public roads, on foot or motor vehicle, to the Licensee Equipment and any Storage Facility to which this Site License Agreement applies, or in furtherance of, and at such times as are permitted under, the Facilities Agreement. 4. License Premises. The equipment or property depicted or described on Exhibits "A", "B", or "C" shall be collectively referred to herein as the "License Premises". K%10, U 1, 5. Term. Subject to the foregoing rights and limitations, Licensor shall not revoke the license granted hereunder prior to the termination of this Site License Agreement. 6. Approvals. It is understood and agreed that Licensee's ability to use the License Premises is contingent upon its obtaining after the execution of this Site License Agreement all of the certificates, permits, and other approvals that may be required by any federal, state, or local authorities, which will permit Licensee use of the License Premises. Licensor shall cooperate with Licensee in its effort to obtain such approvals and, subject to its rights as specified in the Facilities Agreement or this Site License Agreement, shall take no action which would adversely affect the status of the License Premises with respect to the proposed use thereof by Licensee. In the event that any such applications shall be finally rejected or any certificate, permit, license, or approval issued to Licensee is canceled, expires, lapses, or is otherwise withdrawn or terminated by governmental authority, or the Licensee determines that the License Premises is or has become no longer compatible for Licensee's intended use, Licensee shall have the right to terminate this Site License Agreement upon thirty (30) Business Days notice. 7. Rent. Licensee agrees to initially pay Licensor for the license granted hereunder, including, as applicable, for the lease of any portion of any Storage Facility, in the amount of $- per year, such rent thereafter being adjusted pursuant to the terms of the Facilities Agreement. Rental payments shall accrue, and be calculated and invoiced, as provided for in the Facilities Agreement. 8. Use. Licensee may use the License Premises to install, replace, modify, repair, service, maintain, operate, attach and remove Licensee Equipment necessary for or in furtherance of Licensee's operation of its PCS Business in the Trading Area. The terms, conditions, and requirements of the Facilities Agreement are incorporated herein by reference, and apply fully to Licensee's use of and obligations relating to the License Premises or License Equipment, except to the extent that such terms, conditions, or requirements are inconsistent with this Site License Agreement. In the event of a conflict between the Facilities Agreement and this Site License Agreement, the Facilities Agreement shall prevail unless the conflicting provision is in an addendum or Exhibit hereto explicitly stating that each conflicting provision shall govern over the Facilities Agreement. The installation and attachment of Licensee Equipment, as authorized hereunder, shall be at the sole expense, discretion, and option of Licensee. 9. Access to the License Premises. Subject to the requirements and limitations provided for in the Facilities Agreement, Licensee shall, as of the execution date of this Site License Agreement, have access to the License Premises at any time it desires, to use the License Premises for the purposes provided for herein, and shall have no obligation to notify Licensor prior to accessing or occupying the License Premises. nv Per ............ .. 10. Compliance with Law. Except as otherwise expressly provided for in the Facilities Agreement, including, without limitation, the provisions relating to Environmental Matters, each party agrees, at its own expense, to comply with all laws, orders and regulations of federal, state and municipal authorities, and with any lawful direction of any public officer, which shall impose any duty upon such party with respect to the use of the License Premises or Licensee Equipment. 11. Utilities. Licensee shall provide or arrange for the provision of utilities services to the License Premises, as and to the extent Licensee determines that such services are necessary or desirable. To the extent practicable, such services shall be established and maintained by Licensee as separately metered, or under separately designated, accounts. Licensee shall pay or cause to be paid all charges for water, sewer, gas, electricity, light, heat, power, telephone and other utility services rendered or supplied to the License Premises, and used or consumed by Licensee, accruing during any lease term. In the event any public utility is unable to use the rights-of-way described in Paragraph 2 above, Licensor agrees to promptly grant an additional right-of-way, sufficient to allow the public utility to provide utility service to the License Premises, to either the Licensee or public utility, at no cost. 12. Condition of License Premises. Subject to representations contained in this Site License Agreement or the Facilities Agreement, the License Premises are made available to Licensee hereunder "as is" and Licensee hereby accepts the License Premises in such condition. Licensee shall, at its own expense, maintain Licensee Equipment, and such other of Licensee's property or equipment as it may maintain or use on the License Premises, in as good and clean a state or order, condition, and repair as exists at such time as Licensee initially occupies or uses the License Premises, including, without imitation, and as applicable, any roofing, structural support, foundation, exterior walls, floors, electrical and mechanical systems, plumbing, heating and air conditioning; provided, however, that Licensee shall not be obligated to repair or clean portions of the License Premises to the extent such repair or cleaning is necessitated by the actions of Persons other than Licensee, or its agents or invitees. 13. Restoration of License Premises. Licensee, upon termination of this Site License Agreement, shall, within, the time and to the extent specified in the Facilities Agreement, remove Licensee Equipment and its personal property from and restore the License Premises to its original condition, reasonable wear and tear expected. 14. Improvements. Licensee may, at its own expense, make alterations and improvements to the License Premises as are provided for in, and are made in accordance with, the Facilities Agreement. Licensee shall not have the authority to, and shall not, permit any lien, charge or encumbrance of any kind whatsoever to be placed upon License Premises. 15. Assignment. Licensee may assign its rights or obligations under this Site License Agreement as and to the extent provided for in the Facilities Agreement. 16. Default. The events of default applicable to this Site License Agreement, and the parties' rights and remedies with respect thereto, shall be as provided for in the Facilities Agreement. 17. Separability. Each and every covenant and agreement herein shall be separate and independent from any other and the breach of any covenant or agreement shall in no way or manner discharge or relieve the performance of any other covenant or agreement. Notice. All notices hereunder shall be given and deemed effective as provided for in the Facilities Agreement. 20. Complete Agreement. Verizon Wireless issued a "search ring" for this site in 2004 (attached hereto as Exhibit A). This area is surrounded by residential development, limiting the possible options for construction of a communications tower. I contacted the owner of the convenience store located at the intersection of Dove Rd. and Dove Loop Rd. The owners' plans were to expand their location, and therefore, they were not interested in entering into a lease agreement with Verizon Wireless. I then contacted the Corps of Engineers. The Corp of Engineers own the park property, the baseball fields and the land under the Marina just east of Dove Loop Rd. After several discussions, the Corps of Engineers determined it was not interested in leasing land for the construction of a communications tower. 3. The water tower located Northwest of the TXU transmission line was not suitable for Verizon Wireless' needs. 4. Other than the proposed TXU transmission tower, there are no existing structures in the immediate area that are suitable for Verizon Wireless' needs.
