Mr. Gaither,
The Third Amendment to Employment Agreement date on the 4th day of June, 2002, states that
our current lease agreement between the City of Grapevine and PRP Food Service, Inc. DBA
Mulligan's Grill will expire on December 31, 2007. Please consider this letter as our formal
request to extend our agreement another five (5) years.
I am very proud of our relationship with the staff at the Grapevine Golf Course, the Customers
and the City of Grapevine. Over the course of our relationship at the Golf Course, Mulligan's
has made a great effort to enhance our customers' experience. We have always looked to
improve our service, food, menu and the atmosphere. In 2005 in conjunction with a
remodeling of the interior of the Pro Shop building, PRP Food Service, Inc. took the opportunity
to purchase new Oak tables, chairs, barstools and added a beautiful oak back bar display, as
well general redecorating, to further enhance our new paint and carpet provided by the City.
Mulligan's has added a new 52" Plasma TV and we feel the whole package gives the feel of an
upscale golf facility and the compliments from our golfers just affirms that the facility has never
looked better. I firmly believe that our restaurant and our outside cart service is superior to
what you would find at any municipal golf course and compares with the most upscale of
courses. It is with this continued mindset of always trying to find ways to improve ourselves
and the City's continued commitment to have one of the finest golf courses in the country, that
we wish to continue our relationship as the Golf Course Concessionaire.
With regards to the Grapevine Concourse Agreement with PRP Food Service, Inc., we would
also like to renew our agreement for five (5) more years. Although the Concourse has seen
some rough times this last five years mostly in response to 9/11, there has been a bounce back
in interest for booking events. The physical building is in some disrepair especially in the areas
of flooring, paint and its general appearance and it has made it a little harder to sell these last
few years. However, we have been working with P.W. McCallum and his staff to rectify the
Concourse's shortcomings. The Concourse has a niche in our community especially in weddings.
It is a great complement to the Golf course in attracting large golf tournaments and general
business meetings. We are confident, with P.W.'s assurances on updating the facility, that we
can return the Concourse to a great asset to the CVB and the city.
My father and I take great pride in being 3rd and 4th generation Grapevine citizens, as well as,
our relationships with the city. We look forward to you renewing our lease agreements and
continuing our relationship for many years to come.

THIRD AMENDMENT TO GOLF COURSE CONCESSION AGREEMENT
This Third Amendment to the Golf Course Concession Agreement dated (November
17, 1992,) the Amendment dated February 4, 1997, and the Amendment dated June 6, 2002
(hereinafter referred to as the "Agree ment"), is made as of the day of
2007, by and between the City of Grapevine, Texas (hereinafter
referred to as the "City") and PRP Food Service, Inc. (hereinafter referred to as the
"Concessionaire").
WHEREAS, THIS Amendment shall amend the Agreement and any amendments
thereto which are attached hereto as Exhibit "A" and incorporated herein.
NOW, THEREFORE, in consideration of the above premises, the Agreement is
amended as follows:
1. The term of the Agreement is hereby extended by one (1) additional five (5) year
period, which period shall expire on December 31, 2012.
All other terms and conditions of the Agreement not hereby amended shall remain the
same and in full force and effect.

AMENDMENT TO GOLF COURSE
CONCESSION AGREEMENT
This Amendment to the Golf Course Concession Agreement dated November 17,
1992 and the Addendum dated February 7, 1995 (hereinafter referred to as the
"Agreement") is made as of the _ 4th day of Fe b r u a ry , 1997 by and
between the City of Grapevine, Texas (hereinafter referred to the "City") and PRP Food
Service, Inc. (hereinafter referred to as the "Concessionaire").
WHEREAS, this Amendment shall amend the Agreement which is attache hereto
as Exhibit A and incorporated herein.
NOW, THEREFORE, in consideration of the above premises, the Agreement is
amended as follows:
Paragraph 4, pate 2 - Concession Fee/Report of Revenues sub paragraph Golf
Course Facility, is hereby amended to read as follows:
Golf Course Facility -
Ten percent (10%) of the gross receipts from all concession income (exclusive of
sales and mixed beverage tax).
2. Paragraph 5, page 2 and 3 - Period of Operation, is hereby amended to read as
follows:
Except for times the City has ordered the clubhouse or course closed, or unless
City or its authorized representative shall in writing ordered the closing of the
Concession operations, Concessionaire shall operate the concession from January
1, 1993 through December 31, 2002. The hours of operation of the restaurant will
be approved by the Director of Golf. The operations of the Concourse Facility
shall be on as scheduled basis.
In the event access is denied to the Concession Premises due to natural disaster or
Corps of Engineers preemption, monthly rent for Concourse Facility will be
negotiated to mutual agreement of City and Concessionaire.
Failure of the Concessionaire to conduct business for more than one (1) day during
the times required above shall constitute a breach of this Agreement, and, in any
event, City may initiate the termination provisions of the Agreement immediately.
3. Paragraph 8, page 4 - Maintenance Repairs, is hereby amended by adding an
additional provision to read as follows:
Should the City provide written notice to Concessionaire of any needed items of
maintenance, repairs, cleanliness or safety, Concessionaire shall have ten (10) days
therefrom to satisfactorily correct said problems); provided, however, the
Concessionaire shall have the ability to prepare a written appeal to the City
Manager within ten (10) days of Concessionaire's receipt of said notice stating
reasons why such maintenance, repairs, cleanliness or safety requests are not
appropriate. Upon such a written appeal, the City Manager will review the appeal
within a reasonable period of time and his decision shall be final.
4. Paragraph 10, page 5 - Utilities is hereby amended to read as follows:
City shall be responsible for the payment of water and electric bills at the Golf
Course Restaurant. Concessionaire shall be responsible for electric bills at the
Concourse Facility.
All other terms and conditions of the Agreement not hereby amended shall remain
the same and in full force and effect.
