OPRYLAND HOTEL—TEXAS LIMITED PARTNERSHIP
AND
THE CITY OF GRAPEVINE, TEXAS
PURPOSE. The purpose of this Memorandum of Agreement (MOA) is to provide a
mechanism for funding the payment of environmental permit processing services
proposed by the U.S. Army Corps of Engineers, Fort Worth District (USACE) and the City
of Grapevine (COG).
2. OBJECTIVE. The objective of this MOA is to establish the financial obligations between
Opryland Hotel—Texas Limited Partnership dba Gaylord Texan Resort & Convention
Center on Lake Grapevine (GT) and the City of Grapevine to support the environmental
process review specified in a counterpart MOU between USACE and the City of
Grapevine.
3. REFERENCE. The counterpart document to this MOA is the Memorandum of
Understanding between the City of Grapevine and the U.S. Army Corps of Engineers,
Fort Worth District dated , 2007.

a. The City of Grapevine will act as agent for this MOA in processing of documents
with USACE.
The USACE has estimated the cost of $ 81,000.00 to conduct the EID option of
the environmental process, which is the alternative the City of Grapevine has
selected. That amount is based upon the USACE best estimate, while reflecting
the scope of effort and other factors involved. Funding to support this effort will
be in the form of a single lump sum dispersed as check made payable to the City
of Grapevine.
Within ninety (90) days after conclusion of the efforts described in the
USACE/COG MOU, the government will conduct a final accounting of project
costs. Within thirty (30) days thereafter government will reimburse the COG for
any excess funds. Within an additional thirty (30) days thereafter the COG will
refund to GT the entire amount of funds reimbursed.
C. In the event additional funding to complete the work is required, the COG and GT
will discuss the implications and reevaluate the services provided by USACE and
all associated costs.

5. EFFECTIVE DATE. The final MOA will become effective when signed and dated by
both parties and shall remain in effect until either modified, or the project has been
completed.
