Website Design Contract Imaginuity The registration management system and advanced e-mail management system will allow the Grapevine Convention & Visitors Bureau to collect traditional addresses and e-mail addresses in one central database that can be sorted and used for promotions by mail or internet. The article/document/form management system will streamline the newsletter writing process. As updates are made to the site content, they are cued to be reviewed and edited for a periodic newsletter that can be distributed using the registration/e-mail management system. The form management system will allow users to fill out online comment forms and surveys. An interactive map and on-line hotel booking will assist visitors with all their planning needs prior to visiting Grapevine. Staff sent out a request for qualifications and interviewed three firms based on the written proposals. Imaginuity was selected for their outstanding graphic design ability as well as their technical expertise, which is all provided in-house. Imaginuity Interactive has an extensive background in web design that includes site design for the Nasher Sculpture Center, the Staubach Companies and the American Airlines Center to name a few. In addition to serving as a wealth of static information, the web site will feature several key elements to enhance the user experience. First of all on every page a "booking icon" will be available allowing the user to interface with our local hotels' primary online booking source to reserve their rooms allowing users to purchase travel products through our online system. The GCVB site will have an interactive map that the user will employ to add points of interest to the map and build their itinerary then print it in pdf file. The site will use sweepstakes and promotions to harvest a pure email database. Based upon the most recent web updates, a periodic newsletter will be generated for email distribution. The site will serve as a portal for all Grapevine festivals and include an e-commerce area for ticket sales. The festivals area of the site will have interchangeable backgrounds for each respective event. The GCVB website design will contain a dynamic content management system that will allow the GCVB administrator the ability to update content immediately, add/remove pages, build response forms, create events, and update navigation. The site will be driven by a database that will allow highlighting of Grapevine points of interest throughout the site. Additional Information • GCVB will provide photographs, and testimonials as necessary. • The design of the site will allow maintenance to be completed in-house by the GCVB administrator. • Current GCVB website is located at www.grapevinetexasusa.com. • Current GCVB advertising campaign is Destination Grapevine / Vintage Texas. • GCVB expects that each bidder will use the most recent technology available to create the website. • Bid will include a professional Internet Architect. • Hosting of the GCVB site will be determined by GCVB depending on server needs. In addition to outfitting the venue with today's technology, the owners and designers spent considerable time creating a platform that will allow for migration to tomorrow's technologies with minimal disruption. The client needed a Web presence that educates and entices a variety of audiences, maintained brand consistency and was easy to maintain. To begin, we investigate the situation. The first step in brilliant design is brilliant strategy. These assumptions are considered very carefully in estimating the project scope. It is assumed that the client agrees to the estimated timeline for the project and the final timeline will be presented by the Project Manager and approved by the client. The success of this project is based upon Imaginuity and the client meeting delivery dates. All resources are available in a predetermined window; therefore, not meeting dates impacts our ability to deliver the project on time. Clients may be charged an additional fee for delaying the project. This proposal of services is based on existing information. This does not cover the cost of additional custom application development, stock photography, copywriting, copyediting, or other programming needs. Methodology GCVB agrees to use the Imaginuity project management approach for this engagement. By accepting this approach, GCVB accepts responsibility for the requirements needed to utilize this approach, will promote the use of the approach, and will provide necessary internal support for the duration of the project. Management GCVB will provide a project sponsor who will work with the Imaginuity project manager to ensure information is provided in a timely and accurate manner. For this project, the major portion of the work will be completed at the Imaginuity offices in Dallas. If the project location is changed or other sites are included, the impact of the change will be assessed at that time. Changes in the Project Scope Imaginuity's current understanding of the scope of work has been defined by this estimate. Any changes to the scope of this project will require the client to fill out a Change Order. The alteration of the scope of a project can cause changes in the project plan, delivery schedule, and costs. Due to the issues involved with such changes, it is an industry standard, that a client completes a written Change Order. That way, we are required to inform you of added costs or delays, and you are required to authorize them in writing. Please be aware that it is important for the client to process change orders in a timely manner so as not to delay or endanger the project timeline. We will make this process as simple as possible using e-mails, FAX, or overnight mail so as not to delay the project any more than necessary. This person (people) must have knowledge of the GCVB process. GCVB will attempt to ensure that project decisions are made on a timely basis so as to preclude negative impact on the project schedule. GCVB will review deliverables and acknowledge approval within three business days. If there are issues to be resolved, both Imaginuity and GCVB will attempt to resolve them within those three days. A steering committee will be formed by GCVB to resolve project and process issues that may arise throughout the project. Increased executive involvement may be required to ensure key business decisions are made in a timely fashion as needed throughout the life of the project. GCVB will ensure that all personnel assigned to the project have sufficient expertise to undertake the identified tasks. GCVB will immediately notify the Imaginuity Project Manager of any concerns or noted deficiencies of work performed by Imaginuity personnel to facilitate correction or adjustment to the work. The current GCVB business plan will be used as the basis for the requirements identification. Any delivered documentation will be used as the foundation throughout this project. These project management services will encompass all GCVB and Imaginuity staff involved. Imaginuity will provide a detailed project plan that will outline the tasks needed for each phase as well as identify necessary resources from both GCVB and Imaginuity. Imaginuity will provide required weekly status reports and other administrative reports to GCVB. GCVB and Imaginuity will agree to a project plan at the beginning of the engagement and then employ a strict change management discipline. The change management process is to seek agreement with GCVB for any required changes in the scope of the project related to tasks, deliverables, resources, software modifications, etc. The process clearly identifies the costs and project impact arising from the proposed changes. Execution of a Change of Scope Request between Imaginuity and GCVB will be required to initiate any changes to the original scope of the project and allow work to commence. Quality Assurance Reviews will be conducted at strategic points during the project. An Imaginuity quality assurance reviewer not associated with the daily conduct of the project conducts these reviews. At the conclusion of each review, findings will be discussed with the Imaginuity project manager and GCVB's management team. During the review process, corrective action may be required to keep the project on schedule. Imaginuity and GCVB will agree upon a mutual approach as to the best method of resolving issues raised. Once an agreement is reached, timeframes will be determined and an individual will be assigned responsibility for taking the appropriate corrective action. Imaginuity Obligations Imaginuity will provide reasonable notice in advance to GCVB on forecasted overruns of estimated budget for tasks or deliverables, to facilitate discussion or redirection from GCVB. Imaginuity will notify GCVB of lost time in the project due to environment problems or access to GCVB personnel. Imaginuity will identify to GCVB time billed due to these problems. ("Imaginuity") and GCVB (the "Client") known jointly as the Parties, this October 06, 2005. In consideration of the mutual promises contained herein, the Parties agree as follows: Imaginuity agrees to provide you the Client with the services ("Services") described in the Proposal of Services ("Proposal of Services") attached to this Agreement and made a part hereof for all purposes. Subject to the terms and conditions described herein, Imaginuity will use reasonable commercial efforts to perform the Services set forth in the Proposal of Services in accordance with the schedule specified thereon. Billing Procedures and Compensation Client agrees to pay Imaginuity for the Services in accordance with the rates listed within the Proposal of Services. Imaginuity shall submit invoices to the Client in accordance with the schedule listed therein or, if no schedule is listed, then invoices shall be submitted monthly. Client shall pay first payment upon signing. Client shall pay Imaginuity all applicable taxes, fees and other amounts incurred and described on such invoices within ten (10) days of the receipt of the invoice. As necessary, upon submission of a report detailing Imaginuity's actual out-of-pocket expenses incurred in connection with the Services, Client shall reimburse Imaginuity for reasonable travel and other incidental expenses, together with an administrative fee equal to 10% of such costs, incurred in connection with the Services within ten (10) days of receipt of such report. Term/Termination This Agreement shall commence on the Effective Date (as defined below) and continue thereafter, unless terminated earlier as described in this contract. If either parry materially breaches this Agreement (including but not limited to the failure to make any payment hereunder), the other party may terminate this Agreement by giving the breaching party thirty (30) days' written notice of such breach, unless the breach is cured within the notice period; provided, however, that in the event Client shall fail to make any payment hereunder, Imaginuity shall have the right to terminate this Agreement as provided below and suspend performance of all services hereunder on five (5) days' written notice of such failure. Subject to the terms of this Agreement, so long as Client is not in default of any obligation of Client under this Agreement, Imaginuity grants Client a non -transferable, royalty -free, perpetual, worldwide license to use in the conduct of Client's business the work produced by Imaginuity for Client as set forth in the Proposal of Services; provided, however, that notwithstanding anything to the contrary contained herein, such assignment does not include Underlying Imaginuity Technology (as that term is defined below). "Underlying Imaginuity Technology' shall mean Imaginuity's proprietary technology and methodologies, including Imaginuity's product(s), software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), and any related intellectual property rights throughout the world existing at the Effective Date, and also including any derivatives, improvements, enhancements or extensions of Underlying Imaginuity Technology conceived, reduced to practice, or developed during the term of this Agreement. Upon any default by Client and failure of Client to cure such default within the time period for cure set forth above, then the license granted in this contract 1 shall automatically terminate and expire. General Skills and Knowledge. Notwithstanding anything to the contrary in this Agreement, Imaginuity shall not be prohibited or restricted at any time by Client from utilizing any "skills or knowledge of a general nature" acquired during the course of performing the Services specified under this Agreement. For purposes of this Agreement, "skills or knowledge of a general nature" shall include, without limitation, information publicly known or that could reasonably have been acquired in similar work performed for another client. Dispute Resolution. All disputes related to or arising out of Services performed pursuant to this Agreement shall attempt to be resolved by mediation. If the disputes cannot be resolved within 120 days either party may proceed with litigation. Non -Solicitation of Personnel. During the term of this Agreement, and for a period of one (1) year thereafter, Client will not directly or indirectly solicit the employees of Imaginuity without the prior written consent of Imaginuity. Warranty and Disclaimer. IMAGINUITY AGREES TO PERFORM SERVICES IN A PROFESSIONAL MANNER. EXCEPT FOR THE FOREGOING, IMAGINUITY DISCLAIMS ALL WARRANTIES, IMPLIED OR EXPRESSED, INCLUDING WITHOUT LIMITATION ALL EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, NON -INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. IMAGINUITY IS RELYING ON CLIENT FOR ALL SPECIFICATIONS AND REQUIREMENTS EMBODIED IN THIS AGREEMENT AND THE WORK TO BE PROVIDED HEREUNDER AND CLIENT HEREBY ASSUMES FULL RESPONSIBILITY FOR ALL LEGAL COMPLIANCE ISSUES RELATED TO THE MATTERS COVERED BY THIS AGREEMENT AND THE WORK PRODUCT PRODUCED. Excusable Delay. Neither party shall be liable to the other for any delay or failure to perform, which is due to causes beyond the control of said party, including, but not limited to, acts of God, acts of the public enemy, acts of any governmental authority in its sovereign capacity, fires, floods, power outages, hurricanes, earthquakes, epidemics, quarantine restrictions, strikes or other labor disputes and freight embargoes; provided, however, that failure to make any payments provided for herein shall not be excused for any of the foregoing reasons. Relationship of Parties. For all purposes under this Agreement, each party shall be and act as an independent contractor and shall not bind nor attempt to bind the other to any contract. Assignment. Neither party shall have the right to assign this Agreement to another party, except that either party may assign its rights and obligations to a successor to substantially all its relevant assets or business. Governing Law; Disputes. This Agreement and any dispute arising hereunder shall be governed by the laws of the State of Texas, without regard to the conflicts of law provisions thereof. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover reasonable costs and attorneys' fees. Venue for any action hereunder shall be in Tarrant County, Texas. Limitation of Liability. Notwithstanding anything else herein, except in the case of intentional or willful acts neither party shall be liable to the other party with respect to any subject matter of this Agreement under any contract, tort (including, but not limited to negligence), or any other legal or equitable THEORY, for any: (a) special, indirect, incidental or consequential damages; OR (b) damages resulting from loss of data. Either Party's liability with respect to any subject matter of this Agreement will be limited to the amount actually paid to or owed to Imaginuity UNDER THIS AGREEMENT IN THE LAST SIX (6) MONTHS PRIOR TO any such CLAIM. Conflicts; Modification or Waiver; Notices; Illegality. If there is a conflict between this Agreement and the Proposal of Services, then the Proposal of Services shall govern. No waiver, change, or modification to this Agreement will be effective unless in writing signed by both parties. Any notices in connection with this Agreement will be in writing and sent by first class US mail, confirmed facsimile or major commercial rapid delivery courier service to the address specified below for notice or such other address as may be properly specified by written notice hereunder.
