Consider a resolution amending membership for the Heritage Foundation Advisory
Board.

During the June 29, 2015 Special City Council meeting to interview Board and
Commission applicants, City Council discussed reducing the membership of the
Grapevine Heritage Foundation Advisory Board by one member. There are currently ten
voting members on the board,
On July 7, 2015, City Council appointed four people to the Board, which resulted in one
vacancy.
This resolution proposes changing the membership to nine voting members, thereby
eliminating the position that is currently vacant.

WHEREAS, the Grapevine Heritage Foundation (the Foundation) (initially
referred to as the Historic Preservation and Cultural Resources Foundation) was
authorized for creation and operation pursuant to City Council Resolution No. 90-17
approved June 5, 1990; and
WHEREAS, subsequent to the charter for a non-profit corporation being issued
by the Texas Secretary of State's Office on July 18, 1991 and adoption of original by-
laws, the City and the Foundation entered into an agreement dated December 17, 1991
concerning the operation of the Foundation and the City Council approved
Resolutions Nos. 92-35, 95-15, 98-30, 2003-20, 2005-48, 2010-19 and 2014-59 altering
the make-up of the Foundation Advisory Board; and
WHEREAS, the City has provided personnel, funding, and office space for the
Foundation since its inception; and
WHEREAS, the City Council believes it is in the best interest of the citizens, the
City and the Foundation that certain additional changes be made as to the make-up of
the Foundation Advisory Board; and
WHEREAS, all legal prerequisites for the adoption of this resolution have been
met, including but not limited to the Local Government Code and the Open Meetings
Act; and
WHEREAS, the City Council hereby declares that the approval of this resolution
is in the best interests of the health, safety, and welfare of the public.

Section 1. That all matters stated in the preamble are found to be true and
correct and are incorporated herein in their entirety.
Section 2. That Section 4, Subsections a and c of Resolution No. 90-17, and
as amended by Resolution No. 92-35, Resolution No. 95-15, Resolution No. 98-30,
Resolution No. 2003-20, Resolution No. 2005-48, Resolution No. 2010-19, and
Resolution No. 2014-59 are hereby amended to read as follows:
Section 4. The Grapevine Heritage Foundation shall be governed by the
following criteria:
"a. The Advisory Board shall consist of nine (9) members, two (2) who shall
represent area businesses regardless of residency.
C. All nine (9) members shall be appointed by the City Council for two (2)
year terms. A non-voting member of the City Council shall be appointed
by the Mayor to act as a liaison to the board. All other nine (9) members
shall continue for the term previously appointed to, seven (7) shall be
residents of the City of Grapevine and two (2) shall be area business
owners, regardless of residency, and shall serve at the will of the City
Council."
Section 3. That this resolution respectfully be submitted to the Grapevine
Heritage Foundation for inclusion in its by-laws.
Section 4. That this resolution shall take effect from and after the date of its
passage.
PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS on this the 21st day of July, 2015.
