GROUND LEASE RENEWAL
WHEREAS, the City of Grapevine, hereinafter referred to as Lessee and the First United
Methodist Church of Grapevine, hereinafter referred to as Lessor entered into a then (10) year lease
agreement of property described in attached Exhibit `A' located at the intersection of Church Street
and Franklin Street for lessee to use the property for parking purposes when ten (10) years lease
commenced on May 6, 1986 and ended on May 6, 1996 and renewed an additional ten (10) year lease
ending on May 6, 2006; and
WHEREAS, the parties to the original lease agreed to renew the existing lease for an
additional ten (10) year period up mutually aizypkve terms; and s
WHEREAS, the lessee and the Lessor do hereby agree to renew said lease for an additional ten
(10) year period upon the terms and conditions contained in the ground lease.
NOW, THEREFORE, Lessor does hereby for and in consideration of the rents, covenants and
promises herein contained to be kept, perf6rmed and observed by Lessee does hereby lease and demise
to Lessee and Lessee does hereby rent and accept from Lessor, all that lot tract and parcel described in
Exhibit 'A'.
Term of lease is for ten (10) years beginning on the 6`h day of May, 2006 and ending on the 6`h
day of May, 2016 subject, however, to earlier termination as hereinafter provided. At the end of the
contract term, this contract shall be renewable upon mutually agreed upon terms for a period of ten
years.
Lessee shall be obligated to pay a monthly rental of $1/month on said property so long as it
remains tax exempt. Should it become taxable, Lessee shall pay annual rent in an amount equal to the
taxes.

III. LEASEHOLD IMPROVEMENTS
Lessee constructed a parking lot and improvements during the initial ten (10) year term. Lessee
agrees to maintain the parking lot during the term of the lease to a standard that satisfies all City
ordinances and requirements.
The improvements previously placed on the subject property are as follows: Paving of parking
lot, construction of landscaping, lighting of parking lot, and delineation of parking spaces according to
places, attached hereto and incorporated herein as Exhibit `B'.
During the term of the lease the property shall be open and available for public parking
providing, however, that the City of Grapevine may utilize parking spaces between the hours of 8:00
a.m. and 5:00 p.m. during each regular working day and during all times that the Senior Citizens
Center is open to the public. The Lessor shall have the right to exclusive use of the property during
Sundays and the other religious occasions, including, but not limited to, Good Friday, and Christmas
Day.
V. MAINTENANCE OF PROPERTY
Lessee agrees to maintain the property during the term of the contract. Maintenance shall
include sweeping, watering and care of landscaping, re -surfacing, and striping of the property.
Maintenance of lighting will be the responsibility of the Lessee.
VI. INSURANCE
Lessee agrees to provide liability insurance naming Lessor as co-insured for all claims of
incidents occurring on the property.
VII. TERMINATION
Either party may terminate this lease upon expiration of the contract term or upon thirty (30)
days written notice. Termination of the contract shall release Lessor and Lessee from the terms and
agreements contained in the contract.
VIII. LOCATION
This contract is performable in Grapevine, Tarrant County, Texas and is subject to all
applicable Texas law.

Ground Lease Renewal Legal Description
A tract of land in the WILLIAM DOOLEY SURVEY, being part of Block 3, CITY OF GRAPEVINE,
Tarrant County, Texas, described as follows:
BEGINNING at a stake in the corner of a fence 28.5 feet North and 19.5 feet West of the Northeast
corner of the J.P. Lipscomb lot, same being the Northeast comer of Lot 4, Block 4, City of Grapevine,
Tarrant County, Texas;
THENCE with the North line of Franklin Street as used, North 89 degrees 34 minutes West 261 feet to
a stake;
THENCE North 105.94 feet to stake;
THENCE East 260.5 feet to a stake in a fence, the West line of Barton Street, as used;
THENCE South 0 degrees 18 minutes East 107.94 feet to the PLACE OF BEGINNING.

This agreement made by and between the City of Grapevine, Texas, a municipal corporation
t duly organized as a home rule city under the laws of Texas, hereinafter referred to as "CITY",
and the First United Methodist Church of Grapevine, hereinafter referred to as the "CFR RCH",
For and in consideration of the mutual covenants and agreements contained, it is mutually
agreed as follows:
The City hereby agrees to lease to the Church, meeting rooms and the parking lot at the
Grapevine Senior Citizens Center, 421 Church Street, Grapevine, Texas, each Sunday of the
year from 9:00 A.M. to 12:00 P.M. for the purpose of hosting Sunday School classes for
members of it's congregation.
- The Church hereby agrees to pay the City to sum of $25.00 per month for the purpose of
contracting janitorial services to clean the. facility after each use. The Church also agrees to
allow citizens to park in the Church parking lots for downtown shopping and festivals.
11. TERM
The term of this agreement shall be firom today's date until further written notice.
1II, INDEMNITY
The Church shall indemnify, hold harmless, and defend the City, its officers and employees
from and against any and all liability or alleged liability including but not limited to, liability
without fault and liability by virtue of the obligations that the Church assumes under this
agreement and including cost of suit, attorney's fees and all other related costs and expenses of
whatever kind. Specifically, the Church agrees to indemnify, hold harmless, and defend the
City from and against any and all liability, which is alleged to be attributable to any condition
of or upon the property covered by this agreement.
