APPROVAL OF A RESOLUTION TO ESTABLISH AN
INTERLOCAL AGREEMENT WITH THE CITY OF COPPEL
City Council to consider an interlocal agreement with the City of Coppel to allow the City
of Grapevine to purchase video cameras in the amount of $122,865.00 from Kustom
Signal, Inc. through a cooperative purchasing program.
FUNDING SOURCE:
Funds are available in the FY2000 budget in account:
325-48910-000-0-0003 Lease Fund/Motor Vehicles .................. $122,865.00
BACKGROUND:
The Police Department requested the purchase of 26 police video cameras to be
installed in patrol vehicles for the purpose of video surveillance during various police
activities. These cameras are manufactured specifically for integration into patrol
vehicles. Council approved funding for this purchase during the current budget year.
This purchase will be made through an interlocal agreement with the City of Coppel
which recently established a contract with Kustom Signals, Inc. The City of Coppel took
sealed bids, which satisfied State requirements under section 252.021 of the Local
Government Code. Kustom Signals, Inc. has agreed to extend this pricing to the City of
Grapevine.
Staff recommends approval.

WHEREAS, the City of Grapevine and the City of Coppell desire to enter into an agreement to
permit the City of Grapevine to utilize the City of Coppell vendor, for the purchase of twenty-six
Kustom Signal, Inc. Video Cameras; and
WHEREAS, the Texas Interlocal Cooperation Act {Article 4413 (32C) Vernon's Annotated
Texas Statutes} provides for the cooperation between local government bodies, the parties hereto
in consideration of the mutual promises contain herein;
Now, THEREFORE, THIS MEMORANDUM OF AGREEMENT is hereby made and
entered into by the City of Grapevine and the City of Coppell upon and for the mutual
consideration stated herein:
The City of Grapevine to purchase twenty-six Kustom Eyewitness - Vault Video Cameras and
required accessories from a bid established by the City of Coppell.

City of Grapevine will process all orders and payments direct with Kustom Signal, Inc.
The City of Grapevine agrees to indemnify and save harmless the City of Coppell from any
liability of damages the City of Grapevine may suffer as a result of claims, demands, costs, or
judgements against the work and services under this Agreement, or arising from accident, injury,
or damage, whatsoever, to any person, or persons, or to the property of any person(s) occurring
during the performance of this Agreement, except for any liability or damages caused by the
negligence of the City of Coppell, it's agents, officers, and/or employees.

The City Manager of the City of Grapevine and the Mayor of the City of Coppell are authorized
to enter into this Interlocal Agreement. It is agreed by the City of Grapevine and the City of
Coppell that no purchases will commence hereunder until this Interlocal Agreement has been
fully executed by the parties hereto.

This Interlocal Agreement may not be assigned and embodies the entire agreement between the
parties, and may not be amended except in writing.

RESOLUTION NO.
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS, AUTHORIZING THE CITY MANAGER
TO ENTER INTO AN INTERLOCAL AGREEMENT WITH THE
CITY OF COPPELL, TEXAS FOR THE PURPOSE OF A
COOPERATIVE PURCHASE PROGRAM AND PROVIDING
AN EFFECTIVE DATE
WHEREAS, the City of Grapevine is a local government in the State of Texas and
as such is empowered by the Texas Local Government Code, Section 271.102 to enter
into a cooperative purchasing program agreement with other qualified entities in the State
of Texas; and
WHEREAS, the City of Coppell, Texas is a qualified entity as authorized by Section
271,102 of the Texas Local Government Code; and
WHEREAS, The City of Grapevine wishes to utilize a City of Coppell vendor for the
purchase of twenty-six Kustom Eyewitness — Vault Video Cameras and required
accessories from a bid established by the City of Coppell, such bid having been
processed in accordance with the Texas Local Government Code, Section 252-021.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS:
Section 1. That all matters stated in the above preamble are true and correct and
are incorporated herein as if copied in their entirety.
Section 2. That the City Manager of the City of Grapevine is authorized to enter
into an Interlocal Agreement with the City of Coppell, a copy is attached hereto as Exhibit
"A".
Section 3. That this resolution shall take effect from and after the date of its
passage.
PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF
GRAPEVINE, TEXAS on this the 18th day of January, 2000.
