BACKGROUND: Vehicular, pedestrian, and utility ingress and egress, parking garage, and access easements on the Gaylord Texan Hotel site were initially approved by the City Council on May 16, 2000 and subsequently recorded with Tarrant County. Since that time, modifications to the various elements of the hotel complex have been incorporated. These adjustments have included the construction of a ground level parking lot on the north side of the hotel in lieu of the originally planned parking garage, revised routes for the main roadway to the hotel entrance, and final alignments for water and wastewater lines surrounding the complex. The amended easements reflect the changes that have been implemented during the development of the hotel. City Staff and Gaylord Staff decided to defer any modifications to the original easements until the project was nearing completion to insure that the necessary features would be encompassed in the amended easements. JLH/jsl 0:\agenda\3-23-04\Gaylord Amended Easements March 16, 2004 (3:01 PM) AMENDED ANb RESTATED VEHICULAR AND PEDESTRIAN INGRESS -EGRESS PARKING AND ACCESS EASEMENT THE STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF TARRANT § CITY OF GRAPEVINE § That OPRYLAND HOTEL — TEXAS LIMITED PARTNERSHIP, hereinafter called "Grantor," whether one or more, for and in consideration of TEN AND N01100 DOLLARS ($10.00) and other valuable consideration to Grantor in hand paid by the City of Grapevine, Texas, a Texas body politic and home -rule City, hereinafter referred to as "Grantee," has granted, sold and conveyed and by these presents does grant, sell and convey unto said Grantee, and its successors in title, a non-exclusive easement for vehicular parking, travel, and ingress and egress, over, across and upon all that certain tract of land located in Tarrant County, Texas, more particularly described as follows: all that certain parcel of land, lying and being situated in the County of Tarrant State of Texas, more articular) described in Exhibit "A" ' particularly (hereinafter the "Easement") attached hereto and made a part hereof for all purposes to which reference is here made for a more particular description of said Easement. The Easement shall be for use by the public, Grantee and its successors, and their respective contractors, agents and :employees, but shall not be assignable by Grantee. Grantor shall have the right to: (1) charge fees for parking within the Easement consistent with its practices at other properties owned by its parent, Gaylord Entertainment Company, or its affiliates; and (2) establish gates and other security devices, either within the Easement or on other land of Grantor, to administer the collection of such fees. The Easement is limited to the horizontal and vertical dimensions described in Exhibit "A." The space overlying and beneath the Easement, as so described, is expressly excluded from this grant. Grantor has the right to use excluded such space for any purposes, including without limitation the construction, maintenance, operation, repair and replacement of buildings, structures and utilities ("Improvements"). Grantor also reserves from the Easement the right to locate and construct structural supports, utilities and other elements of such Improvements or other improvements provided that the use of the Easement for its stated purpose shall not be materially impaired thereby. Grantor and its successors in title warrant and forever defend the Easement against every �i person whomsoever lawfully claiming or to claim the same or any part thereof by, through or under Grantor. The Easement shall be in gross but shall burden the Easement tract and be binding upon Grantor and all successors in title thereto. Nothing in this Easement agreement shall be construed to make the Grantee and the Grantor partners or joint venturers or render any of such persons or entities liable for the debts and obligations of the other such persons or entities_ This Easement agreement amends and restates in its entirety that certain Vehicular and Pedestrian Ingress -Egress, Parking and Access Easement dated May 16, 2000 and recorded March 3, 2003 with the Office of the County Clerk for Tarrant County, Texas as Instrument No. D203074818.
