AGREEMENT
RECOMMENDATION
City Council consider:
• adopting an ordinance adjusting the common boundary line between the City of
Grapevine and the City of Southlake in the vicinity of Northwest Highway and
State Highway 114;
• approving an Interlocal Agreement addressing the joint participation between the
two cities for the construction of Kimball Road between State Highway 114 and
Dove Road;
• approving an Interlocal Agreement addressing the City of Grapevine providing
sanitary sewer service to the Simmons Forest area of Southlake;
• authorizing the City Manager to execute the agreements;
and take any necessary action.
BACKGROUND
City Staff has been in discussions with the Southlake City Staff for the past few months
regarding adjustments to our common boundary in the vicinity of Northwest Highway and
State Highway 114.
The goal of this adjustment is to clean up an erratic boundary line, thereby eliminating
potential confusion of emergency responders to the respective cities' limits. The
agreement to adjust the boundary is comprised of a number of elements listed below
that benefit the two cities.

Sanitary Sewer Service
Grapevine currently provides sanitary sewer service to two areas of Southlake under
agreements that have expired.
The 1999 original agreement with Southlake to serve the Simmons Forest Addition area,
located south of Dove Road and west of Winding Creek Addition, established a limit of
40 homes in exchange for Southlake serving 40 homes in the Lonesome Dove area of
far northwest Grapevine. This service was never used by Grapevine because we
subsequently constructed a sanitary sewer network and new lift station in the area.
Southlake has the potential for 50 homes in the Simmons Forest Addition area under its
current zoning and this agreement will provide for that service.
Grapevine currently provides sanitary sewer service to the 3 lot Grapevine Plaza
addition in the northwest corner of Park Boulevard and Northwest Highway. This area
was initially served by a holding tank that was periodically pumped out. This system
caused us a number of problems from leaking and overflows into the neighboring
streams in Grapevine so we agreed to provide sanitary service to the site in 1990. This
agreement has since expired, but we continue to provide service.
Kimball Road
The Cities agree to participate in the construction of Kimball Road from State Highway
114 to Dove Road. City of Grapevine's cost is approximatety $2 million for one half of
the project cost from Dove Road to Shady Lane.
Water System
The City of Grapevine will reimburse the City of Southlake for the depreciated value of
the existing 8" waterline that serves the area to be transferred to Grapevine and the two
cities will share the cost of a new 8" valve to provide an emergency connection point
between the two water systems.
Nolen Drive Connection
The cities agree to the future connection of Nolen Drive between the two cities to
provide an improved route between FM 1709 and State Highway 26.
Boundary Adjustment
The agreement adjusts the boundary along State Highway 114 in the vicinity of
Northwest Highway. Approximately 6.87 acres of private property, including the three-lot
Grapevine Plaza Addition, and approximately 11.35 acres of TxDOT right-of-way will fall
within the city limits of Grapevine with this adjustment.
Staff recommends approval.

WHEI�EAS, '�otl� tlle City of Southlake anci the City of Ga-a�evine are nome nile
cities located in Tarrant County, Texas; and
WHEREAS, Southlake and the City of Grapevine share a common boundary;
and
WHEREAS, Section 43.031 of the Texas Local Government Code authorizes
adj acent municipalities to make mutually agreeable changes in their boundaries of areas
that are less than 1,000 feet in width; and
WHEREAS, an area of property north of Highway 114 which contains the
Grapevine Plaza shopping center currently is located in the City of Southlake, but is
isolated from the rest of the City by Highway 114; and
WHEREAS, the geographic isolation of that tract from the rest of the City of
Southlake makes it more difficult and expensive for the City of Southlake to provide
municipal services to that area; and
WHEREAS, the current city limits of the respective cities bisect a building,
resulting in confusion and create the possibility of delay in the providing of emergency
services; and
WHEREAS, the City of Southlake and the City of Grapevine now desire to enter
into an agreement to adjust their corporate boundary lines, whereby the City of Southlake
will release from its corporate limits that certain area described herein, and the City of
Grapevine will incorporate said land as part of its corporate limits; and
WHEREAS, the area subject to this boundary adjustment is less than 1,000 feet
in width; and
NOW, THEREFORE, BE IT ORDAINED AND MUTUALLY AGREED BY
THE CITY COUNCILS OF THE CITY OF GRAPEVINE AND THE CITY OF
SOUTHLAKE:
SECTION 1.
AGREEMENT TO ADJUST COMMON BOUNDARY
Pursuant to Section 43.031 of the Texas Local Government Code, the City of
Grapevine and the City of Southlake hereby agree that the boundary between the cities

�ECTIQN 2.
RELINQUISHMENT OF TRACT OF LAND �Y SOUTHLAKE
AND ACCEPTANCE AI�D II�CORPORATION OF LAND B�' GI2APE�INE
In accordance with the terms of this Joint Ordinance and Boundary Agreement,
the City of Southlake hereby relinquishes approximately 18.22 acres described on
"Exhibit A" attached hereto and depicted on "Exhibit B" attached hereto, to the City of
Grapevine and discontinues such property as a part of the City of Southlake corporate
limits, and the City of Grapevine accepts said Tract into its corporate limits.
SECTION 3. ADDITIONAL PROVISIONS
In addition to the terms and provisions set forth above, the City of Southlake and City of
Grapevine agree as follows:
l. Grapevine agrees to purchase the remaining value of the 8-inch water line extending
eastward from a point located at the west right-of-way line of Austin Oaks Boulevard
located in the Austin Oaks Addition, Grapevine, Texas, a approximate distance of 1,750
L.F. and a 6-inch water line extending eastward from the termination point of the
- aforementioned 8-inch line for an approximate distance of 700 feet to provide service to
the Grapevine Plaza addition. The approximate equity value remaining in the
aforementioned lines is shall be agreed upon by the two cities.
2. Furthermore, it is understood that Grapevine will assume the full cost of connecting the
lines described in paragraph 1 to its water system and will assume full ownership and
maintenance of these lines for the benefit of its citizens.
3. Grapevine and Southlake will share the cost (50% - 50%) of installing an 8-inch gate
valve located at approximately the west right-of way line of Austin Oaks Boulevard to
provide each city with emergency access to the other city's water supply should it
become necessary under existing protocols.
4. The City of Southlake and City of Grapevine hereby agree to execute an Interlocal
Agreement under a separate document for the construction of Kimball Road between
Shady Lane and Dove Road.
5. Grapevine agrees to the connection between the two separate (closely aligned but not
abutting) roadways known in both cities as Nolen Drive at no cost to the City of
Grapevine. Grapevine will attempt to acquire the necessary right-of-way for this
connection within its City Limits at no cost. However, any costs that may be incurred for
this acquisition shall be reimbursed by Southlake to Grapevine; provided that Southlake

7. Grapevine agrees to reimburse Southlake for all property (and sales) taxes for Southlake
properties, which have been misappropriated to the City of Grapevine since January l,
1998. This amount shall be agreed upon by the respective cities' financial officers. The
location of the city limit boundary is determined by the attached map, Exhibit B. In
addition a text description is attached as Exhibit A to this document. For clarification
purposes, the westbound SH 114 frontage roads shall lie within the city limit boundaries
of Grapevine upon execution of this document.
8. The provisions of paragraphs 1 through 7 of this Section 3 create binding obligations,
however, Grapevine and Southlake hereby agree that the performance of such obligations
is not a condition precedent to the boundary adjustment provided for in Sections 1 and 2
of this Joint Ordinance and Boundary Agreement and that such performance does not
affect the validity or enforceability of the boundary adjustment.
9. When either party is required to make a payment under the provisions of this Section 3,
that party shall make the payments from current revenues available to such party.
SECTION 4.
PROVISIONS CUMULATIVE
This ordinance shall be cumulative of all provisions of ordinances of the City of
Grapevine and the City of Southlake, except where the provisions of this ordinance are in
direct conflict with the provisions of such ordinances, in which event the conflicting
provisions of such ordinances are hereby repealed.
SECTION 5.
PROVISIONS SEVERABLE
It is hereby declared to be the intention of the City Councils of the City of
Grapevine and the City of Southlake that the phrases, clauses, sentences, paragraphs and
sections of this ordinance are severable, and if any phrase, clause, sentence, paragraph or
section of this ordinance shall be declared unconstitutional by the valid judgment or
decree of any court of competent jurisdiction, such unconstitutionality shall not affect any
of the remaining phrases, clauses, sentences, paragraphs and sections of this ordinance,
since the same would have been enacted without the incorporation in this ordinance of
any such unconstitutional phrase, clause, sentence, paragraph or section.

SECTION 7.
NO DIMINISHMENT OF RIGHTS TO CHALLENGE
The City of Southlake and the City of Grapevine agree and ordain that the
adoption by both cities of this Joint Ordinance and Boundary Agreement, and the
boundary change resulting therefrom, do not mitigate, diminish or lessen in any way the
rights that either party may have, at law or in equity, to challenge or contest any other
annexations, attempted annexations or extraterritorial jurisdiction claims made by the
other party.
SECTION 8.
RIGHTS AND REMEDIES SAVED
All rights and remedies of the City of Southlake and the City of Grapevine are
expressly saved as to any and all violations of the provisions of the cities' ordinances and
codes amended or revised herein, or any other ordinances affecting the matters regulated
herein which have accrued at the time of the effective date of this ordinance; and, as to
- such accrued violations and all pending litigation, both civii and criminal, whether
pending in court or not, under such ordinances, same shall not be affected by this
ordinance but may be prosecuted until final disposition by the courts.
SECTIOl�T 9.
EFFECTIVE DATE
This Joint Ordinance and Boundary Agreement shall become effective and shall
become a binding agreement upon the City of Grapevine and the City of Southlake by the
adoption of same in regular open city council meetings of the City of Grapevine and the
City of Southlake.
SECTION 10.
DUPLICATE ORIGINALS
This Joint Ordinance and Boundary Agreement, upon adoption by both cities,
shall be executed in duplicate originals by the Mayor of each city.

AND THE CITY OF SOUTHLAKE, TEXAS FOR CONSTRUCTION OF
KIMBALL ROAD FROM SFlADY LANE TO DOVE ROAD
This Interlocal Agreement (the "Agreement") for the Construction of
Paving, Drainage, Water, Wastewater, Traffic Signalization, Street Lighting and
Landscaping Improvements on Kimball Road from Shady Lane to Dove Road is
made and entered into by and between the City of Grapevine, Texas, a municipal
corporation located in Tarrant County, Texas ("Grapevine"), and the City of
Southlake, Texas, a municipal corporation located in Tarrant County, Texas
("Southlake"). (Southlake and Grapevine shall hereafter be collectively referred to
as the "cities").
WHEREAS, Grapevine and Southlake mutually desire to enter into an
interlocal agreement to construct roadway and infrastructure improvements to
Kimball Road from Shady Lane to Dove Road (the "Project"); and
WHEREAS, Chapter 791, Texas Government Code, as amended (the
"Act"), provides authorization for municipalities to contract with one another for

WNEREAS, Grapevine and Southlake have need to cQrstruct these
roadway improvements, which shall be located in part in Grapevine and in part in
Southlake; and
WHEREAS, Grapevine and Southlake shall provide financing for the
Project as provided herein; and
WHEREAS, Grapevine and Southlake are willing to cooperate with one
another to accomplish the construction and maintenance as provided in this
Agreement; and
WHEREAS, each party paying for the performance of governmental
functions or services under this Agreement must make those payments from
current revenues; and
WHEREAS, it is mutually advantageous to both parties to enter into this
Agreement:

I. ADOPTION OF PREAMBLE
All of the matters stated in the preamble of this Agreement are found to be
true and correct and are hereby incorporated into the body of the Agreement by
reference as though fully set forth in their entirety herein.
II. OBLIGATIONS OF THE PARTIES
- 1. The City of Southlake has contracted for Consulting Engineering
Services related to the design of the Project.
2. The cities agree that the City of Southlake shall construct, in
accordance with the approved set of construction plans, the Project, the eastern
one-half lying in Grapevine from Shady Lane to Dove Road and the western one-
half lying in Southlake from Shady Lane to Dove Road.
3. The cities agree that Grapevine shall have an opportunity to review
and approve the construction plans and specification submittals.
4. The cities agree that Grapevine shall approve Southlake's award of
construction contract to the lowest responsible bidder prior to Southlake taking
action and Grapevine shall have an opportunity to review and approve all change

Performance and Payment Bcnds in the full amaunt of the contract cost issued to
Southlake and Maintenance Bonds in the amount of 25% of the contract cost
issued to Southlake and Grapevine.
6. The cities agree to funding of the project as follows:
a.) Grapevine shall reimburse to Southlake one half of the cost
of all construction on Kimball Road from Shady Lane to
Dove Road including paving, drainage, traffic signals, street
lighting, landscaping, and material testing based upon the
lowest responsible bid, estimated to be $ 2,000,000. The
final participation amount shall be determined from the
actual construction contract unit bid items and prices.
b.) Grapevine shall reimburse to Southlake its share of the
design cost as a percentage of the total design cost based
upon the percentage of the construction costs for the
Grapevine portion of work compared to the complete
construction contract cost. Grapevine shall reimburse
Southlake within 30 days of the date of award of the
construction contract for its share of the design costs
incurred as of the award of construction date for the
segment of Kimball Road within the Grapevine City limits.

Southlake shall fund ti�e fuil cost of Southlake water and
wastewater Improvements constructed with the Project.
7. The cities agree that Southlake will submit monthly bills to
Grapevine for reimbursement of the construction costs of the project as well as
the engineering design costs associated with the construction phase of the
project.
8. Grapevine agrees to make payment to Southlake within a
reasonable length of time, but not more than 30 days after receipt of the monthly
bill from Southlake.
9. The cities agree that Southlake will provide all construction
inspection and construction management for the Project at its sole cost.
10. The cities agree that each respective city will be responsible for
pursuing the relocation of franchise utilities within their city and each city will
acquire the necessary rights-of-way and easements for the construction of the
Project.
11. Southlake and Grapevine agree that the construction to be done
within Grapevine shall be in accordance with Southlake's Code of Ordinances
including, but not necessarily limited to, providing proper barricades, traffic

roadway and drainage facilities, incfu�irrg signage and pavement markings, lying
within the corporate boundaries of the Gity of Southlake as welf as maintenance,
repair and/or replacement of all traffic control devices on Kimball Road. The City
of Grapevine will provide maintenance on all roadway and drainage facilities,
including signage and pavement markings, lying within the corporate boundaries
of the City of Grapevine as well as maintenance, repair and/or replacement of all
traffic control devices.
13. In addition to the agreement in Section 12 above, the cities agree
that Grapevine will provide maintenance on traffic signals at the intersection of
Dove Road and Kimball Road should they be warranted and constructed.
14. The cities of Southlake and Grapevine agree that Southlake will be
responsible for the construction and maintenance of the median landscaping and
median streetlights constructed with this project at its sole cost.
15. The cities agree that each city will be responsible for maintenance,
repair, relocation and/or replacement of water and wastewater lines within their
city constructed with this project.
16. The cities agree that a newsletter will be produced and distributed
to inform the surrounding neighborhoods of the proposed improvements.
Furthermore, a neighborhood meeting(s) will be conducted by the cities to further

agreement} is anticipated to begin between January of 20'�0 and December
2013. Southiake and Grapevine further agree that Southlake shall communicate,
in writing, to Grapevine the intention to construct the project twelve months prior
to construction of the aforementioned roadway.
IlI. INDEMNIFICATION AND HOLD HARMLESS
1. To the extent allowed by law, Grapevine agrees to indemnify and
hold Southlake harmless from any claim by a third party for damages arising from
or resulting from the construction or maintenance, in accordance with terms set
forth in this agreement, of any portion of the Project lying in the City of
Grapevine.
2. To the extent allowed by law, Southlake agrees to indemnify and
hold Grapevine harmless from any claim by a third party for damages arising
from or resulting from the construction or maintenance, in accordance with terms
set forth in this agreement, of any portion of the Project lying in the City of
Southlake.
3. The provisions of these indemnifications shall not apply to acts of
gross negligence or willful misconduct by the indemnified party.

5. Further, the indemrrification and hold harmlESS contained !�erein

IV. NOTICES
Any notice required to be given under this Agreement shall be deemed to
have been adequately given if deposited in the United States mail in an envelope
with sufficient postage and properly addressed to the other party as follows:

3. No amendment, madification ar alteration of the terms hereof shall
be binding uniess the same be in writing, dated subsequent to the date hereof and
duly executed by the parties.
4. All payments made hereunder shall be payable from funds currently
available to the City.
5. This Agreement may be executed concurrently in one or more
counterparts, each of which shall be deemed an original, but all of which together
shall constitute one and the same instrument.
6. If, in case any one or more of the provisions contained in this
- Agreement shall for any reason be held to be invalid, illegal, or unenforceaple in
any respect, such invalidity, illegality, or unenforceability shall not affect any other
provision hereof and this Agreement shall be construed as if such invalid, illegal
or unenforceable provision had never been contained herein.
7. The obligations and undertakings of each of the parties to this
Agreement are and shall be performable in Tarrant County, Texas.
8. Each party hereto warrants that it has received authority from its
governing body to enter into this Agreement.

authorized Mayor, William D. Tate, and the City of Southlake, Texas, a home rule municipality
located in Tarrant County, Texas, operating herein by and through its duly authorized Mayor,
Andy Wambsganss.
A.
DEFINITIONS
l. "Farce majeure" is an act of God or a public enemy, war, riot, civil commotion,
insurrection, terrorism, strike (unless caused by acts or omissions of the party asserting same),
governmental or de facto governmental regulatory or eminent domain action (unless caused by
acts or omissions of the party asserting same), fire, drought, explosion, flood, or other natural
catastrophe.
3. "Grapevine" is the City of Grapevine, a home-rule municipality located in Tarrant
County, Texas.
4. "Southlake" is the City of Southlake, a home-rule municipaiity located in Tarrant and
Denton Counties, Texas.
5. "The Simmons Service Area" is that area approximately 72.8 acres in size, commonly
referred to as the Simmons Forest Addition, currently consisting of the area defined by Exhibit A
attached hereto.
B.
RECITALS
WHEREAS, Southlake has permitted development of the Simmons Service Area, and
desires to support and facilitate such development through the provision of essential municipal
utility services, including sanitary sewer collection facilities; and
WHEREAS, while Southlake has constructed or will construct the sanitary sewer
collection facilities within the Simmons Service Area, the Simmons Service Area flows naturally
into Grapevine, and Southlake currently does not have the facilities necessary to transport the
sanitary sewer discharge into Southlake's wastewater processing facilities; and

WHEREAS, consideratian for Grapevine praviding such service would be �rovided by
the revenue generated from the fees for such service generated by the residential c�stomers
located in the Simmons Service Area; and
WHEREAS, Chapter 791 of the Texas Government Code (the "Inter-local Cooperation
Act") authorizes municipalities to enter into interlocal agreements for the providing of
governmental functions and services, including but not limited to, sanitary sewer collection
services; and
WHEREAS, the parties hereto deem it to be to their mutual benefit and to the benefit of
the health, safety and welfare of their respective citizens to enter into this Inter-local Cooperation
Agreement to provide for the continued provision of sanitary sewer services to the Simmons
Service Area, and the extension of such service to all of the lots in such area, under the terms and
conditions set forth herein;
NOW THEREFORE, in consideration of the foregoing, and under the terms and
conditions hereinafter set forth, Grapevine and Southlake, for good and valuable consideration,
specifically, the mutual promises and agreements contained herein, do hereby contract, covenant
and agree as follows:
C.
TERM OF AGREEMEI�TT AND CONDITIONS PRECEDENT
That Grapevine and Southlake do hereby covenant and agree as follows:
l. Purpose. The purpose of this Agreement is to provide for the efficient provision of
sanitary sewer collection services by Grapevine to defined area per attached Exhibit "A"
located in the Simmons Service Area, not to exceed 50 residential lots, to which
Southlake cannot currently provide such sanitary sewer service due to a lack of sufficient
nearby collection lines. This Interlocal Agreement takes the place of the priar Agreement
between the two cities which is attached hereto as Exhibit B.
2. Term. The term of this Agreement shall be for ninety-nine years from the effective date
of this Agreement. The Agreement shall continue thereafter indefinitely unless one of the

this Agree�nent, Grapevine agrees to accept the flow fram the sanitary sewer
system for the Simmons Service Area, on the same terms and conditions that
Grapevine provides to its residents and other customers, except as provided
herein. The flow will be accepted by Grapevine at the Dove Lift Station No. 2.
b. Repair and monitoring responsibilities. Grapevine shall be responsible for
monitoring and repairing within a reasonable time any of the sanitary sewer
system facilities located in Grapevine (Southlake has responsibility to maintain up
to where the sanitary sewer flow enters into the City of Grapevine Facility)
necessary to accept the flow from the sanitary sewer system for the Simmons
Service Area. Grapevine agrees to maintain the sanitary sewer system and
wastewater facilities located in Grapevine necessary to accept the sanitary sewer
flow from the Simmons Service Area so as to insure that quality standards
established by applicable ordinances, regulations, and statutes are met, and
Grapevine shall be liable to Southlake for any damages arising out of the
provision of the services described herein or the failure to provide such services
herein, provided, however, that nothing contained herein shall be construed as
expanding Grapevine's liability under existing law, as imposing any greater duties
on Grapevine than are otherwise imposed upon it as a municipal corporation
under applicable law, or as waiving any governmental immunity Grapevine is
accorded under applicable law, or waiving any damage limitations or caps
imposed by applicable law.
Southlake shall be responsible for monitoring and repairing within a reasonable
time any of the sanitary sewer system facilities located in Southlake necessary to
collect the sanitary sewer flow from the Simmons Service Area and discharge it
into Grapevine's sanitary sewer system facilities located in Grapevine. Southlake
agrees to maintain the sanitary sewer system facilities located in Southlake
necessary to collect the sanitary sewer flow from the Simmons Service Area and
deliver it to Grapevine so as to insure that quality standards established by
applicable ordinances, regulations, and statutes are met, and Southlake shall be
liable to Grapevine for any damages arising out of the provision of Southlake's
services described herein or the failure to provide such services herein, provided,
however, that nothing contained herein shall be construed as expanding
Southlake's liability under existing law, as imposing any greater duties on
Southlake than are otherwise imposed upon it as a municipal corporation under

customers within the Grapevine corporate limits. The rate shall apply to tap
charges, impact fees, service charges, consumption charges, deposits and a11 other
charges which a customer in Grapevine would be required to pay. Grapevine
sha11 notify the City of Southlake within a reasonable period of time (60 days)
upon a change to any of the requisite rates. Grapevine's failure to notify
Southlake does not relieve Southlake from the responsibility of paying for the
aforementioned services in accordance with the appropriate rate structure at the
time services are provided.
d. Billing and collection responsibilities. Southlake shall read the meters for the
lots located within the Simmons Service Area on a monthly basis, bill the account
holders in the Simmons Service Area the rates set by Southlake for sanitary sewer
service, and provide Grapevine with a spreadsheet indicating the dates the meters
were read and the total gallons used and the amount Southlake billed for water
and sanitary sewer services. Grapevine will then invoice Southlake for the
sanitary sewer portion only based upon Grapevine's rates, and Southlake will
promptly pay Grapevine the invoiced amount. Southlake will bear the
responsibility far collecting the amounts due from the account holders iocated
within the specified service area.
e. Impact Fees. New connections served by the City of Grapevine under this
agreement shall be charged the applicable Grapevine Wastewater Impact Fee in
effect at the time of the connection.
f. Cooperation regarding repairs. Southlake and Grapevine agree to cooperate in
any efforts to repair the sanitary sewer facilities of either Southlake or Grapevine
serving the Simmons Service Area, including providing necessary equipment,
traffic control and barricades in the respective cities.
g. Funding. Each party providing services under this agreement shall pay for those
services from current revenue available to that party.
4. Regulatory control. It is understood and agreed by the parties hereto that the
development regulations of the city in which facilities are located shall be applicable to
such facilities.

7. No waiver of immunity or defenses. This Agreement is made pursuant to Chapter 791
of the Texas Government Code. It is expressly understood and agreed that in the
execution of this Agreement, neither city waives nor shall be deemed hereby to waive
any immunity or defense that would otherwise be available to it against claims arising in
the exercise of governmental powers and functions. This section shall be liberally
construed to carry out the intent of the city councils of Southlake and Grapevine, and the
cities do hereby invoke said governmental immunity to the extent possible under the law.
S. No third party beneficiaries. It is understood by the parties that this Agreement is
entered into for the mutual convenience and purposes of the cities which are parties
hereto, and it is the parties' intent that no other parties shall be construed as beneficiaries
of this Agreement, including the owners, residents, or operators of property located in
either the Grapevine Area or the Southlake area, regardless of whether such persons are
anticipated to be customers under this Agreement.

Te�as, without reference to its chaice of law provisions, and venue far any action arising
under state law under this Agreemer�t sha11 be the District Courts af Tarrant County,
Texas. If any action relating to this Agreement is not properly brought in state court,
venue shall be the United States District Court for the Northern Bistrict of Texas.
11. Severability. In the event any section, subsection, paragraph, subparagraph, sentence,
phrase, or word herein is held invalid, illegal, or unenforceable, the balance of this
Agreement shall be enforceable, and shall be read as if the parties intended at all times to
delete said invalid section, subsection, paragraph, subparagraph, sentence, phrase, or
word. In such event there shall be substituted for such deleted provision a provision as
similar in terms and in effect to such deleted provision as may be valid, legal and
enforceable.
12. Authority. This Agreement was authorized by the Southlake City Council at its regular
meeting on the day of , 20_, authorizing the Southlake City
Manager to execute this Agreement on behalf of the City of Southlake, and by the
Grapevine City Council at its regular meeting on the day of ,
20 , authorizing the Grapevine City Manager to execute this Agreement on behalf of
the City of Grapevine.
13. Section or Other Headings. Section or other headings contained in this Agreement are
for reference purposes only and shall not affect in any way the meaning or interpretation
of this Agreement.
14. Amendment. This Agreement may only be amended, altered, or revoked by written
instrument signed by the parties to such amendment.
15. Interpretation. Regardless of the actual drafter of this Agreement, this Agreement shall,
in the event of any dispute over its meaning or application, be interpreted fairly and
reasonably, and neither more strongly for nor against any party.
16. Counterparts. This Agreement may be executed in multiple counterparts, each of which
shall be considered an original, but all of which shall constitute one instrument.
17. Force Majeure. If, by reasons of Force Majeure, any party will be rendered wholly or
partially unable to carry out its obligations under this Agreement after its effective date,
then such party will give written notice of the particulars of such Force Majeure to the
other party or parties within a reasonable time after the occurrence of such event. The

pursuant ta this Agreement.
4. Grapevine shall be responsible, at its awn cast and expertse, far billing individua!
users of Southiake's sanitan/ sewer system.

REME�IES
9. The serving city may discantinue the sanitary sewer service to the service
recipier�t city for any violaEion or breach by the pravidet af fhe terms of this
Agreement until the violafion ar breach has been cured to the satisfactinn of the
serving city.
2. Grapevine and Southlake may discantinue tF�e sanitary sewer service for any
violation by fhe service recipient city af�he provisians of the serving city untif tt�e
vioiation has been cured to the satisfaction af the serving cify.
3. Except far the failure to pay charges when due and payable, and except for any
vialafion by the service recipient city of any of the provisians, #erms or conditions
of the service city's Code of Ordinances ar any state or federai law relating ta

1. Grapevine may terminate tf�is Agreement prior ta the end of th2 te«t�1 upotl 3r1y ofi
the foilowing conditians:
A. Grapevine has discoritinued san'itary sewer service to Sauthlake on twa
(2) or mare occasions; ar
B. Sou�hiake has violated any Qf the pravisions, terms or c�nditians af Ar�icle
ll, Divisian 3, Chapter 25 of �he Grapevine Cade af Ordinances or any
state or federal iaw relating to industirial wastes which violatian has not
been cured to t�e satis�action af Grapevine within such period of time as
Gra.pevine determines is reasanab[e considering the nature anr! extent of
the violat.ion, which time period shal! be spelled ouf'in a writ�en notice �f
violatian and which time periad shali cc�mmence ta run upon the mailing of
the natice of vialatiot�to Southlake,
C. �rapevine's principle respansib'tiit� is #o provide sanitary sewer service to
its residents and �roper�y owners. !n th� event the City Gounc'tl of
Gra�evine determines that the sanitary sewer capacity that is the subject
af ti�is Agreement is required to provide the necessary requirements far its
residents and praperty awners, Grapevine reserves the right to terminate
t.his Agreement by giving written n�tice to Southlake at ieast thi�� (30}
days in advance af the terminat.ion.
2. Sauthfake may tertiminate this Agresr�tent prior to the end of the term upon any of
the fallowing conditians:
A.. Southlake has discontinued sanitary sewer service to Gr�apevine on two
(2} or more accasi�ns; or
B, Grapevine has viofated an� of fhe provisions, terms or canditions of the
Sauthlake �ode of Ordinances or any state or federal faw reiating to
industria{ wastes which vialatian �as not been cured ta the satisfaction �f
Sauthlake within such period of time as Southlake defermines is
reasanable cansidering the natur�e and extent of the violation, which time

MISCEt_L.ANE�US PROVISIC)NS
1. Tt�is Agreemen� shafl be binding upon and inure tp the benefit of the par�ies
here�a and their respecfive suGCessors, and assigns.
2. This Agreement constitu�es the sole and only agreement af the par�ies herefo
and supercedes any prior understandings or written or oral agreements between
fhe parties respecting the subject matter heret�f, �
3� No amendment, modification or a{terafian of the terms hereof shalE be binding
unless the same be in writing, dated subsequent to the date hereof an� duly
executed by the parties,
4. This Agreement may�e executed con�iirrently in one ar mare counterparts, each
of which shali be deemed an original, but a1l of which together sha(I Gonstitute
one and the same instrurnent.
5. In case any ane Qr more of the provisions cont.ained in this Agreement shai! for
an,y reason be held to be invalid, iifegai, or unenforceable in any respect, such
invalidity, illegaiity, or unenforceabiiity shali not affeGt any other provision hereofi
and this Agreement shall be construed as if such invalid, il(ega! or unenforceable
provision haci never been contained herein.
