HomeMy WebLinkAboutItem 07 - Texas Women's Open MEMO TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL FROM: BRUNO RUMBELOW, CITY MANAGER MEETING DATE: AUGUST 18, 2026 SUBJECT: CVB SPONSORSHIP OF TEXAS WOMEN'S OPEN RECOMMENDATION: City Council to consider the approval of a five-year Convention and Visitors Bureau title sponsorship of the Texas Women's Open to be played at the Grapevine Golf Course. FUNDING SOURCE: Funds are available in the CVB Incentives Fund. BACKGROUND: This item is a five-year renewal of the agreement between the Grapevine Convention and Visitors Bureau and the North Texas Professional Golfers Association (NTPGA) for hosting the Texas Women's Open. The Grapevine Convention and Visitors Bureau has sponsored the Texas Women's Open, held at the Grapevine Golf Course, for the past three years. This partnership has increased exposure of the City, the golf course and Persimmon's through players, spectators and associated media, which brings additional visitors to our hotels, restaurants and retail establishments. If this sponsorship extension is approved, the Texas Women's Open will be played June 2-4, with a pro-Am scheduled for June 1. The golf course will host as the NTPGA staff will administer the event with GGC staff assisting as needed. This event will offer our loyal course patrons an opportunity to volunteer and/or watch some of the best female golfers play our home course. The extension of this collaboration between the City and the NTPGA will serve to enhance our status in the golf world for years to come and will bring revenue to area hotels, restaurants, etc. The dates for the 2028-2031 events will be scheduled at a later time. Staff recommends approval. NORTHERN TEXAS PGA I GRAPEVINE CONVENTION&VISITORS BUREAU Sponsorship Agreement This Sponsorship Agreement is made and entered into as of the 6th day of August,2026, by and between the Northern Texas Section of the PGA of America (Section) and Grapevine Convention &Visitors Bureau (Sponsor), in accordance with the laws of the State of Texas, and under the following circumstances: Terms and Conditions Term: The term of this Agreement shall commence as of the first date written above and expire as of completion of all responsibilities contracted herein in relation to the 2031 Texas Women's Open(Event),which shall not extend more than ninety(90) days past the date of the Texas Women's Open.The parties may mutually agree in writing to extend the partnership for 2032 and beyond upon terms mutually agreed upon by the parties. Event: For the Term,the Event shall be known and referred to as the"Destination Grapevine Texas Women's Open." Sites/Dates: The 2027 Destination Grapevine Texas Women's Open is scheduled for June 2-4, with a pro-am and official practice round scheduled fortune 1 at Grapevine Golf Course. Dates for the 2028-2031 Events will be provided once scheduled. The Event is intended to remain at Grapevine Golf Course throughout the Term, subject to the continued availability and suitability of the facility. If circumstances beyond the reasonable control of the Section and / or golf course require a change in venue or dates, the parties will work collaboratively to identify a mutually acceptable alternative. Tournament Administration:The Section shall at its sole discretion conduct, administer, and promote the Event. Competition:The Section shall conduct the Event and oversee the competition in accordance with Rules of Golf and the rules and regulations governing PGA Section tournament competition. Tournament Officials:The Section shall provide tournament officials to administer the Event and make any necessary decisions regarding the Rules of Golf,and other decisions related to the management and operation of the Event. The Section will have final authority in any question or dispute involving conditions and conduct of play or the players. Field:The Section shall provide the field for the Event and be solely responsible for determining the ultimate eligibility of contestants. Tournament Sponsor Benefits:In consideration of the Sponsor's obligations under this Agreement,the Section agrees to provide the following benefits to the Sponsor during each year of the agreement: 1. Title-line sponsor of the Texas Women's Open —i.e. the Destination Grapevine Texas Women's Open. Non- compete presenting sponsors may be added to the event. 2. Grapevine Convention &Visitors Bureau will be provided five (5)teams in the Destination Grapevine Texas Women's Open Pro-Am,which includes 15 playing spots. Each team will be paired with a professional golfer competing in the championship. In 2028,there will be up to six(6)teams available; In 2029,there will be up to seven (7)teams available; In 2030,there will be up to eight (8)teams available and in 2031,there will be up to nine(9)teams available.Any unused spots have no cash value,are nonrefundable and cannot be carried forward unless mutually agreed upon. 3. Grapevine Convention&Visitors Bureau's name and logo recognition, including: a. Official entry forms. b. Event banners,signs, scoreboards, and contestant information. c. Official winner's check and champion's trophy. d. Media releases,social media, and other Event publicity. 4. Grapevine Convention &Visitors Bureau will be granted use of the Event name and logo in advertising and promotional campaigns. 5. Grapevine Convention & Visitors Bureau will be listed by name and logo as a "Platinum Sponsor" on the "Corporate Partners" page of www.ntpga.com with a link to the Grapevine Convention & Visitors Bureau website. 6. The Section will provide Grapevine Convention & Visitors Bureau opportunities to communicate with Northern Texas PGA Members through mutually agreed-upon communications distributed by the Section. 7. Grapevine Convention & Visitors Bureau will be extended four invitations to attend the Annual NTPGA President's Dinner and Awards Banquet. 8. The Northern Texas PGA will provide pro-am entertainment each year for the Grapevine Convention & Visitors Bureau at one facility in the Dallas/Fort Worth area (facility to be mutually agreed upon). Three (3) guests will enjoy lunch and a round of golf alongside a PGA Professional and/or Northern Texas PGA staff member. Examples of the types of facilities that the Grapevine Convention&Visitors Bureau may be able to play include, Brook Hollow Golf Club, Colonial Country Club, Dallas Country Club, Dallas National Golf Club, Lakewood Country Club, Maridoe Golf Club, Northwood Club and Shady Oaks Country Club.Specific facilities are subject to availability,and no particular facility is guaranteed. 9. A media advisory created in conjunction with Grapevine Convention & Visitors Bureau will be sent to all media outlets identifying the renewed partnership. 10. The Northern Texas PGA Foundation will award one $5,000 Destination Grapevine Texas Women's Open college scholarship to a Northern Texas PGA Junior Tour member. The scholarship will be designated to a Grapevine ISD high school senior each year. the Foundation has discretion to award it to another qualified NTPGA Junior Tour member, preferably from the Grapevine area, if no qualified Grapevine ISD candidate exists. 11. The Grapevine Convention &Visitors Bureau will be affiliated with the All-American Tour as a title sponsor of the Destination Grapevine Junior Texas Women's Open.The All-American Tour falls under the umbrella of the NTPGA Junior Tour, which features more than 500 tournaments each year for 5,000 area boys and girls ages 7-18. The NTPGA Junior Tour is the largest of its kind in the United States.The All-American Junior Tour is a highly competitive, elite junior tour program endorsed by and has an alliance with the Legends Junior Tour. An exemption will be awarded into the Destination Grapevine Texas Women's Open for the champion of the event.The champion must satisfy all eligibility requirements for the Texas Women's Open and comply with applicable amateur-status requirements. 12. One exemption into the Destination Grapevine Texas Women's Open will be provided annually to Grapevine Golf Course, with the recipient designated by Grapevine Golf Course, subject to the Section's eligibility requirements and final approval.The recipient will be responsible for the applicable tournament entry fee. Media Rights: The media rights from the Event shall be the property of and are expressly reserved by the Section, which shall have the right to any media income. The Section agrees that the Sponsor shall have the right to use copies of photographs and other media coverage in its business, subject to the approval of the Section, provided, however that the use of Sponsor's trademarks shall be subject to the License below. Licenses: The parties hereby grant the following licenses as set forth herein: Sponsor hereby grants to the Section during the Term of the Agreement only,a non-exclusive,non-transferable,royalty free, right and license to use the Sponsor name and trademarks for the express and sole purpose of advertising and promoting the Event and to incorporate the Sponsor name into any Event logo. The form and usage of the Sponsor name shall be subject to Sponsor's prior written approval,which shall not be unreasonably withheld. Section hereby grants to the Sponsor during the Term of the Agreement only,a non-exclusive,non-transferable,royalty free, right and license to utilize the Event name and logo on promotional, advertising and marketing materials describing the Event. The form and usage of the Event logo by the Sponsor shall be subject to the Section's prior written approval,which shall not be unreasonably withheld. All rights relating to the Section and Event logos, other than those expressly granted in this Agreement,are reserved by the Section for its own exclusive use and benefit. Sponsor Fees: The Sponsor agrees to pay the Section the following annual sponsorship fees on or before May 1 of each year during the Term:$80,000 in 2027;$82,500 in 2028;$85,000 in 2029;$87,500 in 2030;and$90,000 in 2031. In addition to the annual sponsorship fee,the Grapevine Convention &Visitors Bureau and the Northern Texas PGA will work collaboratively to secure additional sponsorship support with the goal of providing a minimum annual purse of$100,000 for the Destination Grapevine Texas Women's Open. Neither party shall be individually responsible for funding any shortfall between additional sponsorship revenue secured and the targeted$100,000 purse. Termination: If either party fails to perform its duties under this Agreement,the other party may, at its option, give written notice to the defaulting party, specifying the nature of the alleged default, and requesting the default be corrected. Upon receipt of such notice, the party claimed to be in default shall have thirty(30) days to correct any default which may exist. If the defaulting party fails to correct a default within the time allowed,the non-defaulting party may terminate this Agreement by written notice, in addition to other legal remedies which may exist. No Assignment: This Agreement and any rights herein granted are personal to the,parties hereto, and shall not be assigned, sub-licensed, encumbered or otherwise transferred by either party without the express written consent of the other party, provided, however, that Sponsor shall have the right to assign this Agreement to an affiliate or successor to substantially all of the business of the Sponsor. No Waiver: Failure by either party to complain of any act or omission on the part of the other party, no matter how long the same may continue,shall not be deemed to be a waiver by either party of its rights under this Agreement. Relationship of Parties: This Agreement shall not constitute or be considered a partnership, employer-employee relationship,joint venture,or agency between the parties hereto nor by or between any of their employees or agents. Binding Effect: Subject to provisions of this Agreement governing assignment,the Agreement shall be binding upon, and inure to the benefit of the successors of the parties hereto. Severance: If any term, covenant, condition or provision of this Agreement, or the application thereof to any person or circumstance shall to any extent be invalid or unenforceable, the remainder of this Agreement or application of such term or provision to any person or circumstance other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each term, covenant,condition or provision of this Agreement shall be enforced to the extent allowable by law. Notice: Notice by either party is deemed to have been given when mailed, postage paid,certified or registered, return receipt requested,addressed to the other party at the address appearing below: Section: Sponsor: Northern Texas PGA Grapevine Convention &Visitors Bureau 16124 Championship Dr. 636 S Main St. Frisco,TX 75033 Grapevine,TX 76051 Authority: Each of the parties hereby represents and warrants to the other party,that it has the right, power and legal authority to enter in and fully perform the Agreement in accordance with its terms, and that this agreement, when executed and delivered by the parties,will be legal,valid and binding obligation against the parties in accordance with its terms. Indemnification: Each of the parties hereby agree to indemnify and hold the other party (and its respective officers, employees, agents, members and affiliates) harmless from and against all costs, damages, claims and expenses (including, without limitation, all reasonable attorney fees and expenses, even if incident to appeal) incurred by the indemnitee as a result of or relating to a breach of any provision of this Agreement by the indemnitor, unless the act or omission had been specifically approved by the indemnitee. NOT WITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOST REVENUES OR LOST PROFITS) FOR ANY ACT OR OMISSION RELATED TO OR ARISING OUT OF THIS AGREEMENT OR THE EVENT. Modification: No modification or waiver of any provision of this Agreement shall be effective, unless in writing and signed by both parties. No Prior Agreements:This Agreement shall be deemed to supersede all prior agreements between the parties to the subject matter addressed in this Agreement. Bankruptcy or Insolvency: Either party reserves the right to terminate this Agreement effective upon ten (10) days prior written notice to the other party if such other party shall file in any court pursuant to any statute of either the United States or any state, a petition of bankruptcy or insolvency, or for reorganization, or for the appointment of a receiver or trustee of all or a substantial portion of such party's property or if such party makes an arrangement for the benefit of creditors, or a petition of bankruptcy is filed against such party. Excuse of Performance:The performance of this Agreement by either party is subject to acts of God,war,government regulation or advisory, disasters,fire, accidents or other casualty,strikes(exception: neither party may terminate the Agreement for instances involving their respective employees or agents), civil disorder, acts and/or threats or terrorism, or curtailment of transportation services or facilities, or similar cause beyond the control of either party, making it illegal, impossible or impractical to conduct the activity. Either party may terminate or suspend its obligations under this Agreement with no liability or obligation to the other party, if such obligations are delayed or prevented by any of the above event to the extent such event is beyond the reasonable control of the party whose reasonable performance is prevented. In the event the Event is postponed, shortened, relocated or canceled due to circumstances beyond the reasonable control of the parties,the Section will use commercially reasonable efforts to provide the Sponsor with substantially equivalent sponsorship benefits or other mutually agreed-upon make-good opportunities. Any determination regarding a refund or credit of sponsorship fees shall take into consideration sponsorship benefits already provided and nonrecoverable expenses incurred by the Section.
