Adams Exterminating Company is authorized by Dow AgroSciences to install and service the Sentricon Termite Colony Elimination System to control Eastern
Subterranean termites and Formosan termites for the identified structures. The Sentricon System allows for monitoring as weli as bait treatment with Recruit
termite bait, an insect growth inhibitor.
The customer appreciates that subterranean termite control is not immediate. Specifically, control and/or colony elimination may take several months. The customer
understands that the inherently "delayed" action of the insect growth inhibitor is necessary to defeat avoidance behavior by foraging subterranean termites.
I. SERVICE COMMITMENT
Adams shall provide the following termite control services to the customer under this agreement:
1. Initial inspection of applicable structures and installation of in ground Sentricon stations around the perimeter of the structure at the company's discretion.
2. Routine monitoring of stations by company service technicians. For a term of one (1) year commencing with the installation of the system.
3. The company shall install additional Sentricon stations and/or modify existing stations.at its discretion.
4. Inform the customer of any new or increased activity noted in the Sentricon stations during routine monitoring.
3. Due to ongoing research and innovation in the Sentricon System monitoring frequency may he subject to change.
II, LIMITED SERVICE AGREEMENT
During the tern of this service agreement, any areas of active subterranean termites on the structure will be treated by Recruit AG or conventional methods at
the company's discretion at no additional charge to the customer. Adams Exterminating will inspect the identified structure at any time the customer requires
it or if Adams Exterminating Co, believes it necessary. This agreement does not guarantee against, nor shall Adams Exterminating Co. be responsible for any
past, present or future damage to the property or contents, nor provide for the repairs or compensation thereof,
M. RENEWAL OF SERVICE
After the initial year of service, this agreement may be renewed annually by payment of the Sentricon service renewal fee on or before the anniversary of
the initial installation date. This fee will remain the same for a period of two (2) years at which time Adams Exterminating Co. reserves the right to adjust
the renewal fee annually. Adjustments to renewal fee not to exceed 10%. Failure of the customer to pay the.yearly monitoring fee as stated above will render
this agreement and limited warranty null and void. Sentricon components provided by Adams Exterminating Co. are and shall remain the exclusive property
of Dow AgroSciences. The customer understands that he does not acquire any ownership, interest, or title to such components and that upon termination of
this agreement for any cause whatsoever, the company and/or Dow AgroSciences are hereby authorized to remove all or some of the components as deemed
necessary by the Company.
IV. ADDITIONS, ALTERATIONS OR CHANGE OF OWNERSHIP
Any, additions or alterations to the identified property or disturbances to the Sentricon System must be made known to Adams Exterminating Ca. Such changes
may require additional service at the owners expense andfor change the yearly monitoring fee. The customer agrees not to move, open, handle or damage the
Sentricon stations, bait tubes, or any other component of the Sentricon System, Tampering with such components may compromise the efficacy of the system
and shall constitute a basis for terminating this agreement. if ownership of the identified property is transferred, this agreement may be continued upon written
request by the new owner and upon consent of Adams Exterminating Co. If the new owner fails to provide a written request; or if Adams Exterminating Co.
refuses to continue the agreement, this agreement will automatically terminate as of the date of change in ownership. Any balance still remaining will be due
in full with whom this agreement was originally made at the time of ownership transfer.

TERMS AND CONDITIONS OF 'WARRANTY
1. DAMAGE, LIMITATION OF LIABILITY. It is agreed that Adams Exterminating's liability under this Service Agreement is
limited to service only. The Customer expressly releases and holds the company harmless for repair of., or compensation for, damages
to the premises or its contents caused by any termite or wood destroying organisms. This agreement does not cover aerial infestations,
or Drywood termites, and does not guarantee that termites will not infest the premises. The sole liability of Adams Exterminating to the
purchaser, or any one claiming through the purchaser, under its guarantee or otherwise is limited to re -treatment only.
It is possible that at the time of initial inspection or installation damage may exist in areas that are inaccessible to visual inspection
or in unexposed or hidden areas of the structure. For this reason the Customer understands that Adams Exterminating cannot guarantee
that the damage discovered by a visual inspection is all the damage which exists at the date of installation.
2. EXCLUSIONS. This service and guarantee pertains to Eastern Subterranean termites and Formosan and does not apply nor is
it intended to be effective against other insect pests including but not limited to Drywood termites, Formosan termites or other wood
destroying insects and organisms. The following structural conditions or infestations are excluded from any obligation of service by
Adams Exterminating: a) wooden decks and fences; b) pier and beam structures with areas inaccessible for inspection; c) crawl spaces
that become completely or partially blocked so as to be inaccessible for inspection or treatment; d) structures with stone foundation
walls, stucco or similar material below outside grade; c) termite infestations resulting from alterations to the foundation, structures) or
landscaping after installation of the Sentricon* System unless Adams Exterminating has been notified; f) any portion of the structure(s)
or landscaping after installation or during the term of this agreement if there is termite infestation caused by (i) contact between wood
attached to the structure(s) and the ground, (ii) a high -moisture condition or water leakage in the infested area, iii soil above grade.
3. CUSTOMER COMMITMENT AS TO CONDITIONS CONDUCIVE TO INFESTATION. The Customer warrants full
cooperation with Adams Exterminating during the term of this agreement, and agrees to maintain the premises free from any factors
contributing to infestation, such as wood, trash, lumber, soil above grade, direct wood -soil contact, and standing water under crawl
space type structures. The Customer also agrees to notify Adams Exterminating of and to take all reasonable steps to eliminate faulty
plumbing, gutters, downspouts, poor drainage, dampness of drains, condensation or leaks from the roof or otherwise into, onto, or under
the premises. These conditions may destroy the effectiveness of treatments and are conducive to infestations. Re -treatment of these areas,
after repairs have been made, will be at the customers expense. At no time will Adams Exterminating be responsible for damage caused
to any portion of the structure(s) where these conditions exist, even by an active wood destroying organism, or due to faulty structural
problems. Failure of Adams Exterminating to alert the Customer of these conditions does not alter the Customer's obligation, .
4. DISCLAIMER. Adams Exterminating will not be liable under this Service Agreement or any Guarantee if the company is
prevented from fulfilling its responsibilities by reason of delays in transportation, shortages of fuel and/or materials, strikes, embargoes,
fires, floods, quarantine restrictions, earthquakes, hurricanes, or any other acts of God or circumstances or cause beyond the control of
Adams Exterminating. `
This agreement provides for re -treatment only for the control of Eastern Subterranean termites (Reticulitermes sp., Heterotermes sp.)
and Formosan termites (Coptotermes sp.), not aerial infestations, not Drywood termites (Cryptotermes sp., Incisitermes sp., Kalotermes
sp), not carpenter ants, or any other wood destroying insect or organism.
5. NO OTHERAGREEMENTS. It is agreed that there are no other representations, warranties or guarantees, expressed or implied,
except as provided in this service agreement.
6. ARBITRATION. The Customer and Adams Extenninating agree any controversy or claim relating to services provided hereunder
or to any provision of this Service Agreement shall be settled exclusively by arbitration. Such arbitration shall be conducted in accordance
with the Commercial Arbitration Rules of the American Arbitration Association before an arbitrator appointed by the American Arbitration
Association. The arbitration heard shall be final and binding on both parties. Judgment upon such arbitration award may be entered in
any court having jurisdiction. Neither party may sue the other where the basis of the suit is this agreement other than for enforcement of
the arbitrator's decision and a party violating this provision shall pay the other party's costs, including but not limited to, attorney's fees
with respect to such suit and the arbitration award shall so provide. Neither party shall be liable for special or consequential damages or
loss of anticipated rents and profits.
7. DOW AGROSCIENCES OWNERSHIP OF SENTRICON* SYSTEM COMPONENTS. The Customer understands that:
(1) All the components of the Sentricon* System are and will remain the property of Dow AgroSciences. The Customer has no rights to any
of the components, other than the right to use as installed by Adams Exterminating on the Customer's premises under this Agreement.
(2) On expiration or termination of this Agreement, Adams Exterminating and Dow AgroSciences or its representative are authorized by the
Customer to retrieve from the Customer's premises the Stations and other components contained therein for appropriate disposition.
(3) If Adams Exterminating for whatever reason, ceases to represent or be authorized to represent, the Sentricon* System, Adams
Exterminating will:
a) . so notify the Customer;
b) offer the Customer alternatives of either a different form of termite protection or discontinuing the agreement.
e) If the customer elects to discontinue the agreement after the first 12 months, refund the customer a pro rata fee for services
paid but not yet received; and
d) retrieve the Components from the Customer's premises.
