SUBJECT: ZONING CHANGE Z17-04—RELEASE OF DEED RESTRICTIONS
RECOMMENDATION:
Staff recommends the Planning and Zoning Commission and the City Council consider the
attached ordinance relative to the "release of deed restrictions" for property formerly
referred to as the H/A Grapevine Joint Venture and take any other action necessary.
BACKGROUND INFORMATION:
In August of 1995 as part of a large multi -tract rezoning request in the northeastern corner
of Grapevine bounded generally by State Highway 121, F.M 2499 and the city limit lines of
the Town of Flower Mound and the City of Coppell, approximately 220 undeveloped acres
were rezoned to "R -MF -1" and "R -MF -2" Multifamily District, "CC" Community Commercial
District, and "BP" Business Park District. Deed restrictions were included as part of the
zoning request to limit the total number of multifamily units that could be built within the
prescribed area, provide for noise reduction and require central air conditioning within any
multifamily structures. A "Master Utilities" agreement was also included establishing a cost
sharing relationship between the property owner(s) and the city relative to utility
construction/improvements within the defined area.
With the city's purchase of the 185 acres and the most recent purchase of the James
Tract, the attached deed restrictions are no longer necessary and all infrastructure
improvements relative to the original agreement have been made. See the attached
ordinance that will rescind (release) the deed restrictions as described.

RELEASE OF DEED RESTRICTIONS

THIS RELEASE OF DEED RESTRICTIONS is effective as of the 20th day of June, 2017,
and is made by the CITY OF GRAPEVINE, TEXAS and permanently and completely removes
the prior Deed Restrictions set for in the document entitled "Deed Restrictions" dated on the 151'
day of August 1995 and filed in the Tarrant County, Texas deed records at volume 12071 page
0974 (hereinafter "Deed Restrictions"), for the property situated in Dallas and Tarrant Counties as
recorded in Volume 94124, Page 2000 of the Deed Records of Dallas County, Texas.
Recitals
A. Whereas, the Deed Restrictions provided for certain restrictions, to wit:
B. Whereas, the restrictions listed in the Deed Restrictions are as follows:
"1. The Maximum number of multiple family dwelling units on the Property shall be
limited to 2,007 dwelling units.
2. Central air conditioning shall be used in the construction of the units.
3, The building shell shall provide a noise level reduction (NLR) of at least 25 dBA.
4. A noise consultant reasonably acceptable to Owner and City shall be employed by
Owner to certify that the plans for construction of the dwelling units meets the foregoing
NLR standard.
5. The City and the owner agree to construct H/A Grapevine Master Utilities Project
(the "Utilities Project") in accordance with the plans and specifications prepared by
Kimley-Horn and Associates, Inc. dated August 1, 1995 approved by the City. The Owner
agrees to place the sum of $500,000 in a special account established by the City to offset a
portion of the City's participation in construction of the Utilities Project. The timing of
such deposit as well as the details of the cost sharing provision of the owner and the City
to construct the Utilities Project are contained in a separate Contract and Agreement
between the parties. The funds placed in the account shall be used solely to pay for the
cost of construction said Utilities Project."
C. Whereas, said restrictions, as set forth in the Deed Restrictions document were and are for
the sole and exclusive benefit of the City of Grapevine, Texas and the City of Grapevine,
Texas has the sole and exclusive ability to enforce said restrictions.
D. Whereas, the Deed Restrictions provide the sole and exclusive method for altering,
amending or terminating the restrictions and sets forth those requirements as follows:
"These restrictions shall not be altered, amended or terminated without a public hearing
before the City Plan Commission and the City Council of the City of Grapevine. Notice
of such public hearing shall be given as would be required by law for a zoning change on
the property described herein. The City Manager, or designee, through authorization by
majority vote of the City Council of the City of Grapevine, Texas, and H/A Grapevine Joint
Venture, its successors or assigns must sign a document to be filed in the Deed Records of
Tarrant County, Texas approving the amendment or termination of these Deed
Restrictions."
E. Whereas, a "Release of Obligations Under Deed Restrictions and Letter Agreement"
("Release") was filed in the Tarrant County, Texas Deed Records at Volume 0014834 Page
00386, said Release providing that all requirements and obligations under paragraph 5 of
the Restrictions had been satisfied.
F. Whereas, the City of Grapevine held public hearings before the City Plan Commission
(also referred to as the Planning and Zoning Commission) and the City Council on June
20, 2017, after providing notice for said public hearings as would be required by law for a
zoning change on the property.
G. Whereas, after said hearings, the City Council of the City of Grapevine voted to terminate
restrictions 1-4 set forth above, and ordered that this Deed of Release be filed in the Deed
Records of Tarrant County, Texas providing full notice of the complete termination and
removal of restrictions 1-4 as set forth above.
NOW, THEREFORE:
SECTION ONE: That all of the above is found to be true and correct.
SECTION TWO: That the City of Grapevine has full complete authority to alter,
Amend, or terminate the restrictions in the manner set forth in the Deed Restrictions document,
and that the City of Grapevine followed said procedures and the City Council voted to remove
restrictions 1-4 as set forth above.
SECTION THREE: That said restrictions 1-4 are hereby terminated, removed, and released,
and that this release pertains to all the real property affected by the Restrictions and as more fully
described in Exhibit "A-1" attached hereto and incorporated herein for all purposes.

That HVA GRAPEVME JORTr VENTURE, a Texas joint venture ("Owner"), is the owner
of certain .property ("Property") situated in Dallas and Tarrant Counties, Texas, as evidenced by
a Deed dated June 24, 1994 and recorded in Volume 94124, Page 2000 in the Deed Records of
Dallas County, Texas, and more particularly described in field notes marked Exhibit "A" attached
hereto and made a part hereof for all purposes.
That the undersigned does hereby impress the Property with the following deed
restrictions, to -wit:
1. The maximum number of multiple -family dwelling units on the Property shall be
limited to 2,007 dwelling units.
2. Central air conditioning shall be used in the construction of the units.
3. The building shell shall provide a noise level reduction (NLR) of at least 25 dBA.
4. A noise consultant reasonably acceptable to Owner and City shall be employed by
Owner to certify that the plans for construction of the dwelling units meets the
foregoing NLR standard.
5. The City and the owner Agree to construct HVA Grapevine Master Utilities Project
(the "Utilities Project") in accordance with the plans and specifications prepared by

These restrictions shall continue in full force and effect for a period of twenty-five (25)
years from the date of execution, and shall automatically be extended for additional periods of
ten (10) years unless terminated in the manner specified herein.

These restrictions shall not be altered, amended or terminated without a public hearing
before the City Plan Commission and the City Council of the City of Grapevine. Notice of such
public hearings shall be given as would be required by law for a zoning change on the property
described herein. The City Manager, or designee, through authorization by majority vote of the
City Council of the City of Grapevine, Texas, and HIA Grapevine Joint Venture, its successors
or assigns must sign a document to be filed in the Deed Records of Tarrant County, Texas,
approving the amendment or termination of these Deed Restrictions.
The restrictions contained herein are not in any manner intended to restrict the right of
the City Council of the City of Grapevine to exercise its legislative duties and powers insofar as
zoning of the property is concerned.
These restrictions inure to the benefit of the City of Grapevine, and the City of Grapevine
does hereby reserve the right to prosecute, at law and in equity, against the person violating or
attempting to violate such restrictions, either to prevent him from so doing and to correct such
violation and for further remedy, the City of Grapevine may withhold the Certificate of
Occupancy necessary for the lawful use of the property until such restrictions described herein
are fully complied with.
These restrictions are hereby declared covenants running with the land shall be fully
binding upon all persons acquiring property within the above-described tract, and any person by
acceptance of title to any of the above-described property shall thereby agree and covenant to
abide by and fully perform the foregoing restrictions and covenants.

Re: That certain real Property located in the City of Grapevine, Dallas, and Tarrant
Counties, Texas, consisting of approximately 223 acres and being more particularly
described on Exhibit "A" attached hereto and made a part hereof for all purposes (the
"Property").
Honorable Mayor and Members of the Grapevine City Council:
In connection with its proposed ownership and development of the above -captioned
Property, HIA GRAPEVINE JOINT VENTURE, a Texas joint venture (the "Owner") and THE
CITY OF GRAPEVINE, TEXAS (the "City") each desire to enter into this Letter Agreement
regarding certain aspects relating to the Property and the proposed development thereof for multi-
use purposes. The Owner and the City hereby agree as follows:
Subject to the termination of the Existing Restrictions and Agreement described
below, Owner agrees to:
(i) execute and file for record deed restrictions providing for (a) the
construction of not more than 2,007 multiple -family dwelling units (the "Units") in the
areas of the Property zoned for such use, (b) the use of central air conditioning in the
construction of the Units; (c) each Unit to be constructed with a noise level reduction
(NLR) of at least 25 dBA, and (d) Owner's use of a noise consultant reasonably
acceptable to Owner and City to certify that the plans for construction of the Units
meets the foregoing NLR standard; and
(ii) dedicate to the City a jogging and hiking trail to be constructed in
compliance with City specifications. The jogging and hiking trail shall be located
generally as reflected in Exhibit W. The construction may be completed in phases
with each phase being at least one-fourth of the total. The construction shall be
continuous and contiguous not piecemeal, with voids or leave outs. All of the
construction shall be completed in its entirety on or before the owner completes 75%
or more of the multifamily units. The first phase of construction shall be
simultaneous with the first phase of construction of any of the multifamily units. The
dedication shall constitute an irrevocable offer to the City and the City shall not be
deemed to have accepted such dedication until the construction within the phase or
phases of the trail has been completed.

Owner's obligation to record the deed restrictions described in the foregoing paragraph
shall be subject to and contingent upon the termination of (i) all recorded deed
restrictions ("Existing Restrictions") affecting the Property (including, without
limitation, those recorded in Volume 1738, mage 565, Deed Records, Denton County;
Volume 85195, Page 5292, Deed Records, Dallas County; and in Volume 8338, Page
2007, Deed Records, Tarrant County, Texas) and (ii) that certain Agreement (the
"Agreement") between 519 Grapevine Joint Venture to Public, dated as of October 11,
1985, filed of record in Volume 8338, Page 1993, Deed Records, Tarrant, and in
Volume 1738, Page 551, Deed Records, Denton County, and in Volume 85195, Page
5278, Deed Records, Dallas County. The City hereby consents to the termination of
the Existing Restrictions and the Agreement and agrees to take all action on its part
required to terminate of record the Existing Restrictions and the Agreement.
2. Owner agrees to execute new and restated deeds in lieu of the quit claim deed for a
proposed park site and a second quit claim deed for a fire station which new and
restated deeds shall eliminate the Agreement for the City to maintain the property as
a park and to maintain the swale adjacent to the park and to eliminate the requirement
that the City construct a fire station within ten (10) years, The form of such deeds
begin attached hereto as exhibits B 1 and B2.
3. The City and the owner Agree to construct HIA Grapevine Master Utilities Project
(the "Utilities Project") in accordance with the plans and specifications prepared by
Kimley-Horn and Associates, Inc. dated August 1, 1995 approved by the City. The
Owner agrees to place the sum of $500,400 in a special account established by the
City to offset a portion of the City's participation in construction of the Utilities
Project. The timing of such deposit as well as the details of the cost sharing provision
of the owner and the City to construct the Utilities Project are contained in a separate
Contract and Agreement between the parties. The funds placed in the account shall
be used solely to pay for the cost of constructing said Utilities Project.
4. This Letter Agreement shall be binding upon the City, its successors and assigns and
Owner, its successors and assigns to the Property, and shall be construed in
accordance with the laws of the State of Texas.
5. Owner and City recognize and agree that said agreement is legal, binding and
enforceable in the county of this state where the Property is located by suit, for
specific performance and all other lawful remedies.

On Tuesday evening, June 20, 2017 at 7:30 P.M. in the City Council Chambers, 2nd Floor,
200 South Main Street, Grapevine, Texas, the City Council and Planning and Zoning
Commission of the City of Grapevine will hold a public hearing to consider the following

Z17-04 — City of Grapevine — submitted by City of Grapevine for property formally known
as H/A Grapevine Joint Venture generally bound by West Grapevine Mills Circle,
Grapevine Mills Boulevard North, Grapevine Mills Parkway and State Highway 121. The
applicant is requesting to release the deed restrictions established in 1995.
HL17-02 — 518 Estill Street — submitted by Copper Street Homes for property located at
518 East Texas Street and platted as Lot 6, Block 102, College Heights. The applicant is
requesting designation as a historical landmark sub -district. Such sub -district may include
buildings, land, areas, or districts of historical, architectural, archaeological or cultural
importance or value that merit protection, enhancement, and preservation in the interest of
the culture, prosperity, education, and welfare of the people. The property is zoned R-7.5
Single Family District and is owned by Kevin & Rebecca Goss.
