FUNDING SOURCE: Upon approval of the attached ordinance, funds in the amount of $58,500 will be available in the grant fund 113. BACKGROUND: Several areas throughout the DFW Connector corridor were not included in TXDOT's landscape plan for the project.These are highly visible areas where supplemental landscaping will enhance the look of Grapevine. Staff presented the idea to Council at the July 16, 2013 meeting to hire a landscape architect to design several areas of the Connector project. Council asked staff to broaden the landscape scope and incorporate entry signage/features. Staff sent out RFQ's with the scope change to include a landscape and signage master plan. The following firms submitted proposals: Dunaway & Associates, David C. Baldwin, Shrickel Rollins and Associates (since merged with Parkhill, Smith & Cooper, Inc.), Mesa Design Group and la terra studio. A staff commitee selected Shrickel Rollins and Associates, Inc. to reccomend to Council. On December 3, 2013 Shrickel Rollins and Associates, Inc. presented the early concepts and design pallet to City Council. This project will be the first implementation of the entry signage component of the gateway and landscape enhancement master plan. ' J41i L Lli•L:ll,f+11 f1:,) ' . , 4e APRIL 2018 PARKS AND RECREATION PROFESSIONAL SERVICES CONTRACT CITY OF GRAPEVINE STATE OF TEXAS § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF TARRANT § THIS Parks and Recreation Professional Services Contract (" the "CONTRACT" or "Contract"') is made and entered into this date by and between the CITY OF GRAPEVINE, a Texas home rule municipal corporation and political subdivision of the State of Texas (hereinafter referred to as the "CITY") and SCHRICKEL, ROLLINS, PARKHILL, SMITH & COOPER, INC., a Texas for-profit corporation (hereinafter referred to as "PROFESSIONAL"). CITY and PROFESSIONAL may be referred to herein individually as party and collective as the parties. CITY and PROFESSIONAL are the only parties to this Contract. This Contract evidences the following: I. PURPOSE PROFESSIONAL shall provide civil, architectural, structural, electrical engineering, and landscape architectural services for the City Gateways Signage Project. II. DESCRIPTION OF SERVICES The services which PROFESSIONAL shall provide for the CITY shall include the following: A. PROFESSIONAL hereby covenants and agrees that PROFESSIONAL shall work closely with the CITY's Parks and Recreation Director, or his or her chosen agent, and other appropriate officials of the CITY, and that PROFESSIONAL shall perform any and all tasks required of PROFESSIONAL to fulfill the purposes of this Contract. B. PROFESSIONAL and the CITY covenant and agree that PROFESSIONAL shall perform all of the services and work contained in PROFESSIONAL's proposal to the CITY, which is attached hereto as "Exhibit A"; said document being part of this Contract and incorporated herein in its entirety as though set forth word for word. The parties agree that should there be any conflict between the terms of the incorporated document and this Contract, the provisions of this Contract shall control. C. PROFESSIONAL expressly covenants and agrees to provide the CITY with such written reports as may be required by the scope of the proposal in "Exhibit A." 1 Northwest Hwy/State Hwy 114 - Gateway Signage Project 2019 Professional Services Contract between City of Grapevine & Schrickel, Rollins, Parkhill, Smith & Cooper, Inc. D. Before the Bidding phase in Section 7 of Exhibit A begins, PROFESSIONAL will provide the CITY a copy of the preliminary design in Section 5 of Exhibit A and a complete copy of the Construction Documents in Section 6 of Exhibit A. III. PERFORMANCE OF WORK PROFESSIONAL or PROFESSIONAL's associates and employees shall perform all the work called for in this Contract. PROFESSIONAL hereby covenants and agrees that all of PROFESSIONAL's associates and employees who work on this project shall be fully qualified to undertake same and competent to do the work described in this Contract. IV. PAYMENT The CITY shall pay to PROFESSIONAL a sum not to exceed FIFTY-EIGHT THOUSAND FIVE HUNDRED DOLLARS ($58,500) for the services including permissible expenses. PROFESSIONAL shall bill CITY on a monthly basis for services rendered, based up on percentage of work completed. City shall make prompt monthly payments in the amount shown by the PROFESSIONAL' S approved monthly statements and other documentation submitted. No interest shall ever be due on late payments. Within 30 days after the final completion and acceptance by the CITY of all work under this Contract, and demonstration of payment of all suppliers and sub -contractors final payment shall be due. V. TERM OF THE CONTRACT This Contract shall commence and be in full force and effect upon the signing of the Contract and observance of the appropriate formalities. This Contract shall terminate upon completion of construction, at which time all of the work called for under this Contract must be completed unless the parties mutually agree in writing to extend the term of the Contract, or, unless otherwise terminated as provided in Paragraph XVI herein. Throughout the project the PROFESSIONAL must establish and maintain procedures for tracking and reporting progress. On Projects lasting over two months and exceeding $15,000, the PROFESSIONAL shall submit to the City written progress reports on a monthly basis. The reports shall include a brief summary of progress relative to each phase of work of the project. Reports shall include minutes of review meetings, documentation of any changes, and shall address issues and 2 Northwest Hwy/State Hwy 114 - Gateway Signage Project 2019 Professional Services Contract between City of Grapevine & Schrickel, Rollins, Parkhill, Smith & Cooper, Inc. challenges encountered as well as anticipated project milestones according to the schedule, and anticipated solztions to keep the project on schedule. VI. CONTRACT PERSONAL PROFESSIONAL and the CITY hereby covenant and agree that this Contract provides for personal services and that these services shall not be assigned or sublet in whole or part without the prior written consent of the CITY. VII. CONFLICT OF INTEREST PROFESSIONAL hereby covenants and agrees that during the Contract period that PROFESSIONAL and any of PROFESSIONAL' s associates and employees will have no interest nor acquire any interest, either direct or indirect, which will conflict in any manner with the performance of the services called for under this Contract. All activities, investigations, and other efforts made by PROFESSIONAL pursuant to this Contract will be conducted by employees or associates of PROFESSIONAL. PROFESSIONAL further covenants and agrees that it understands that the Code of Ordinances of the City of GRAPEVINE prohibits any officer or employee of the CITY from having any financial interest, either direct or indirect, in any business transaction with the C ITY. Any violation of this paragraph, which occurred with the actual or constructive knowledge of PROFESSIONAL, will render this Contract voidable by the CITY. VIII. CHANGE IN WORK The CITY, through its Parks and Recreation Director, may request changes in the scope and focus of the activities and studies called for under this Contract. Any such change which, in the opinion of PROFESSIONAL or the CITY varies significantly from the scope and focus of the work set out herein or entails a significant increase in cost or expense to PROFESSIONAL must be mutually agreed upon by PROFESSIONAL and the CITY. The parties herein acknowledge that any change in the scope or focus of the work which results in the increase in compensation to PROFESSIONAL of the fee stated in Paragraph IV above must first be approved by the CITY's City Manager or City Council, where applicable. 3 Northwest Hwy/State Hwy 114 - Gateway Signage Project 2019 Professional Services Contract between City of Grapevine & Schrickel, Rollins, Parkhill, Smith & Cooper, Inc. IX. CONFIDENTIAL WORK Any reports, designs, plan, information, project evaluations, data, or any other documentation given to or prepared or assembled by PROFESSIONAL under this Contract shall be kept confidential and shall not be made available to any individual or organization by PROFESSIONAL without the prior written approval of the CITY, except as such disclosure is expressly required by applicable State or Federal law. X. CMiWl �Ii.Z�T PROFESSIONAL acknowledges that CITY owns all notes, reports, or other documents, intellectual property, or documentation produced by the PROFESSIONAL pursuant to this agreement or in connection with its work. PROFESSIONAL acknowledges that CITY shall have copyright privileges to those notes, reports, documents, processes, and information. Furthermore, PROFESSIONAL acknowledges that the finished product, the report and/or documents and plans prepared for the CITY, as well as city documents reviewed in the preparation of the report, are the property of the CITY. PROFESSIONAL shall provide CITY a copy of all such notes, reports, documents, and information (except to the extent that they contain confidential information about third parties) at CITY's reasonable expense upon written request. CITY agrees to keep all such information in the strictest of confidence and not to disclose such material to any third party or allow any third party access to such material except as such disclosure is expressly required by applicable State or Federal law. PROFESSIONAL shall notify CITY in writing for each note, report, document, or information that that is withheld because PROFESSIONAL reasonably believes that they contain confidential information about third parties. XI. NONDISCRIMINATION As a condition of this Contract, PROFESSIONAL covenants and agrees that PROFESSIONAL shall take all necessary actions to insure, in connection with any work under this Contract that PROFESSIONAL or PROFESSIONAL's associates, sub -contractors, or employees, will not discriminate in the treatment or employment of any individual or groups of individuals on the grounds of race, color, religion, national origin, age, sex, or physical handicap unrelated to job performance, either directly or indirectly, or through contractual or other arrangements. In this regard, PROFESSIONAL shall keep, retain, and safeguard all records relating to this Contract for work 4 Northwest Hwy/State Hwy 114 - Gateway Signage Project 2019 Professional Services Contract between City of Grapevine & Schrickel, Rollins, Parkhill, Smith & Cooper, Inc. performed hereunder for a minimum period of three (3) years from final contract completion, with full access allowed to authorized representatives of the CITY upon request, for purposes of evaluating compliance with this and other provisions of the Contract. XII. INDEPENDENT CONTRACTOR By the execution of this Contract, the CITY and PROFESSIONAL do not change the independent contractor status of PROFESSIONAL or PROFESSIONAL's associates or employees. No term or provision of this Contractor any act of PROFESSIONAL, or PROFESSIONAL's associates or employees, in the performance of this Contract may be construed as making PROFESSIONAL or PROFESSIONAL's associates or employees, the agent, employee, or representative of the CITY. XIII. INSURANCE PROFESSIONAL shall, prior to the commencement of work under this Contract, obtain and shall continue to maintain at no cost to the CITY, in full force and effect during the term of this Contract, a comprehensive liability insurance policy which shall include bodily, death, automobile liability, and property damage insurance coverage. The minimum limit for this insurance coverage shall be one million ($ 1,000,000) dollars combined single limit for liability and for property damage. The PROFESSIONAL shall also obtain and shall continue to maintain, at no cost to the CITY and in full force and effect during the entire term of this Contract, a professional liability (errors and omissions) insurance policy placed with a company rated at least A — by A.M. Best's Key Rating Guide and authorized to do business in the State of Texas, in an amount not less than one million ($1,000,000) dollars. The CITY shall be named as an additional insured under such comprehensive liability policy and provisions and PROFESSIONAL shall give the CITY at least thirty (30) days prior, written notice of any material change in insurance coverage, non -renewal, or of cancellation of such insurance policy, evidenced by return receipt of United States Certified Mail. PROFESSIONAL shall furnish the CITY with complete copies of said insurance policies evidencing such coverage prior to commencement of any work under this Contract. XIV. HOLD HARMLESS PROFESSIONAL SHALL DEFEND, INDEMNIFY AND HOLD THE CITY WHOLE AND HARMLESS AGAINST ANY AND ALL CLAIMS FOR DAMAGES, COSTS, AND EXPENSES TO Northwest Hwy/State Hwy 114 - Gateway Signage Project 2019 Professional Services Contract between City of Grapevine & Schrickel, Rollins, Parkhill, Smith & Cooper, Inc. PERSONS OR PROPERTY TO THE EXTENT THAT THEY ARISE OUT OF, OR ARE OCCASSIONED BY THE PROFESSIONAL's NEGLIGENCE, GROSS NEGLIGENCE, OR INTENTIONAL TORTUOUS ACTS, ERRORS OR OMISSIONS IN THE PERFORMANCE OF THIS CONTRACT, OR ANY ACT OF PROFESSIONAL's NEGLIGENCE, GROSS NEGLIGENCE, or INTENTIONAL TORTUOUS ACTS OF COMMISSION OR OMISSION IN THE EXECUTION OR PERFORMANCE OF THIS CONTRACT OF ANY REPRESENTATIVE, AGENT, CUSTOMER, EMPLOYEE, SUBCONTRACTOR, OR INVITEE OF PROFESSIONAL. XV. NO VERBAL AGREEMENT This Contract contains the entire commitments and agreements of the parties to the Contract. Any verbal or written commitment not contained in this Contract or expressly referred to in this Contract and incorporated by reference shall have no force or effect. XVI. TERMINATION The CITY may, at its option and without prejudice to any other remedy to which it may be entitled at law or in equity, terminate further work under this Contract, in whole or in part, by giving at least ten (10) days prior written notice thereof to PROFESSIONAL with the understanding that all services being terminated shall cease upon the date specified in such notice. The CITY shall equitably compensate PROFESSIONAL, in accordance with the terms of this Contract for the services properly performed prior to the date specified in such notice following inspection and acceptance of same by the CITY. PROFESSIONAL shall not, however, be entitled to lost or anticipated profits should the CITY choose to exercise its option to terminate. XVII. VENUE The parties to this Contract agree and covenant that this Contract will be performable in GRAPEVINE, Texas, and that if legal action is necessary to enforce this Contract, exclusive venue will lie in Tarrant County, Texas. CAPTIONS The captions to the various clauses of this Contract are for in formational purposes only and in no way alter the substance of the terms and conditions of this Contract. XXV. WAIVER OF ATTORNEYS' FEES PROFESSIONAL and CITY expressly covenant and agree that in the event of any litigation arising between the parties to this contract, each party shall be solely responsible for payment of its attorneys and that in no event shall either party be responsible for the other party' s attorney's fees regardless of the outcome of the litigation. This project consists of developing construction documents for the Grapevine Gateway Monument Signage at the corner of Northwest Highway and West State Highway 114 frontage road. The combined basic professional services + subconsultant costs that have been established for the project are: Grapevine Gateway Monument Signage $58,500 B. The Consultant shall perform for the City the Basic Professional Services and Special Services as described below. Services include, but are not limited to, professional consultation and advice and furnishing civil, architectural, structural, electrical engineering, and landscape architectural services. C. For purposes of this Service Agreement and its Sections, the term Engineer, where appropriate, shall be interchangeable with the terms Landscape Architect, Architect or Consultant. Schrickel, Rollins/PSC is a firm composed of practicing Planners, Registered Engineers, Registered Landscape Architects and Registered Architects. The firm does not represent itself solely as an engineer nor solely as a practitioner of architecture/ landscape architecture as defined in the applicable State of Texas registration laws. D. The following consumer information is required by the Landscape Architects Registration Law, Article 249c, VTCS: The Texas Board of Architectural Examiners has jurisdiction over individuals licensed under the above-named Act. Submit plans and construction opinions of probable costs to the City and TXDOT as required, for review at completion intervals of 30%, 60%, 90% and Final Bid Set. d. Prepare final bid documents, bid proposal forms, construction plans, and special conditions. e. File bid documents for review by the Texas Department of Licensing and Regulation if required. f. Construction Document deliverables shall include: (1) Plan sheets illustrating plans, elevations, sections and details of construction. Sections where appropriate. The number of copies shall be as requested by the Owner. Printing cost shall be a reimbursable expense. (2) Standard City & TXDOT details incorporated into the plans, as required. (3) Project manual containing technical specifications and bidding documents including City forms such as bid proposal, form of agreement between City and Contractor, and conditions of the contract. (4) Provide graphic products in electronic file format (.pdf). (5) Provide project manual as one complete Microsoft Word (.doc) file. (6) All electronic file transfers shall be by email or in CD -Rom format. 2. Bidding Services. Consultant will provide/perform the following Bidding Phase Services: a. Review "or -equal" submittals and product substitution requests from bidders. b. Respond to Requests for Information. c. Provide bid tabulation and bid analysis as required by TxDOT. 3. Construction Administration. Consultant will provide/perform the following Construction Administration Phase Services: a. Provide site observation visits appropriate to the stage and quality of the Contractor's works in progress. Site observation visits shall be provided for the purpose of ascertaining for the City that the work is in substantial or general conformance with the contract documents and design intent. (1) Should nonconforming or defective work be observed, the Consultant will endeavor to immediately inform the City's representative that conforming or remedial action is required. Conduct on-site coordination meetings with contractors, inspection personnel, and City representative to discuss strategy, problem areas, progress, and any required coordination as well as preconstruction coordination meeting. Prepare a summary of these meetings and distribute them to both the City and the contractor). (1)The number of on-site coordination meetings shall not exceed an aggregate total of 4 visits over the period of the Contractor's construction contract. c. Review shop drawings and other submittal information for the purpose of ascertaining conformance with the design intent and construction documents. d. Provide written responses to requests for information or clarification. e. Review and Certify Contractor's Monthly Applications for Payment. f. Recommend change orders, if needed. g. Assist the City in conducting the substantial completion and final completion observations. h. When complete, recommend final acceptance of work. i. Site visits - two (2) total (substantial completion, final completion). Deliverables shall include copies of RFI's, ASI's, field change directives, meeting notes, site observation reports and punch lists. PART II - OTHER RELATED SERVICES A. Base Map and Topographic Surveying. Topographic survey of the existing features within the project area will be required for preparation of Construction Documents. The survey will identify one -foot contours, existing structures, utilities, any existing vegetation, adjacent public streets and utilities. Deed or boundary research will not be provided. R.O.W. lines will be provided by the City. PART III - REIMBURSABLE EXPENSES A. The City will reimburse the consultant for the actual cost of the following: 1. Printing and reproductions of Construction Documents. 2. Postage/delivery services. 3. Texas Department of Licensing and Regulation (TDLR) review and/or inspection fees. PART IV - ADDITIONAL SERVICES A. The following services are not included in this Agreement but are available to the City upon written authorized approval and mutual agreement: 1. If the budget or the scope is increased beyond that established in the Professional Services required to include said changes shall be considered Additional Services, and compensation for the Consultant's services shall be adjusted appropriately according to the magnitude of the change. All changes in service shall be agreed to in writing by both the City and the Consultant prior to any additional services being provided. Services related to property acquisition, easements, boundary survey, permitting, platting or re - platting required by the City or required by other governmental authorities for the construction of the Project, will be provided by the City, or provided bythe Consultant by separate agreement or amendment, as provided for herein, to this Agreement. 4. Field surveying or production of related maps for purposes of determining off-site utility locations, or construction control and layout. 5. Design of off-site utility services or drainage facilities to more than a distance of 500 feet from any boundary of the project site as described above in Part IIA, Topographic Survey. 6. The intent of this Scope of Services is to include only the services specifically listed herein for this Project. Services specifically excluded from this scope of services include, but are not necessarily limited to the following: 1. Environmental permitting or impact statements, categorical exclusions, assessments, permits, and surveys. 2. Full-time or otherwise frequent and detailed inspection of the Contractor's works in progress. 3. Designs for trench safety. 4. Quality control and testing services during construction. 5. TXDOT facilitation meetings. 6. LEED or SITES Certification. 7. SWPPP Plans (SWPPP Plans provided by Contractor based on erosion control plans and specifications). ADDITIONAL SERVICES COMPENSATION Additional services expressly authorized pursuant to the Contract will be compensated based upon the attached rate schedule. The Consultant is to be reimbursed for all direct non -labor and other subcontract expenses at Consultant's invoice cost times a multiplier of 15%. Additional services shall not be performed without first obtaining approval from the City. PART VII — SCOPE OF SERVICES TO BE PROVIDED BY THE OWNER The City will provide the following services in the performance of the Project upon request. A. Provide any existing data and property boundaries the City has on file concerning the project, if available. B. Assist the Consultant, as necessary, in obtaining any required data and information from local utility companies. C. Provide standard details and specifications in digital format. D. Assist the Consultant by requiring appropriate utility companies to expose underground utilities within the right-of-way or easements, when required. E. Give prompt written notice to Consultant whenever City observes or otherwise becomes aware of any development that affects the scope or timing of the Consultant's services. F. The City will secure the services of an independent laboratory for Construction Phase Testing. G. The City will coordinate Stakeholder participation communications, invitations, and facilities. H. All fees and permits shall be paid by the City if the plans are required to be submitted to a Registered Accessibility Specialist (RAS) for review and to inspect the new facilities. Consultants, soils engineers, surveyors, contractors, and other outside services. 3. Rented vehicles, local public transportation and taxis, road toll fees, travel, and subsistence. 4. Special or job -specific fees, insurance, permits, and licenses applicable to work services. 5. Mileage at IRS -approved rate. Rate for professional staff for legal proceedings or as expert witnesses will be a rate one -and -a -half times these Hourly Rates. Excise and gross receipt taxes, if any, will be added as an expense. Foregoing Schedule of Charges is incorporated into the Agreement for Services provided, effective January 1, 2019 through December 31, 2019. After December 31, 2019, invoices will reflect the Schedule of Charges currently in effect. hsz- ` � ' . ` ,•\ } - — - - _ ,off ��es :, r, a � T a ` fey ,S�y,,•, rhea` � + L dl A71 a f GRAPEVINE _GRAPEVINE_ T -FAX SATS � I ORDINANCE NO. 2019-010 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS, AUTHORIZING THE APPROPRIATION OF $58,500 FROM THE QUALITY OF LIFE FUND AND TRANSFER OF FUNDS TO THE GRANT FUND AND THE APPROPRIATION OF $58,500 IN THE GRANT FUND FOR PROFESSIONAL SERVICES FOR THE CITY GATEWAYS SIGNAGE PROJECT WHEREAS, the City desires to appropriate funds for the City Gateways Signage Project; and WHEREAS, the landscape architecture firm of Schrickel Rollins, Parkhill, Smith & Cooper, Inc. (formerly Schrickel Rollins and Associates, Inc.) has designed Phases I thru V and signage concepts of this project; and WHEREAS, all constitutional and statutory prerequisites for the approval of this ordinance have been met, including but not limited to the Open Meetings Act; and WHEREAS, the City Council deems the adoption of this ordinance to be in the best interests of the health, safety, and welfare of the public. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS: Section 1. That all matters stated hereinabove are found to be true and correct and are incorporated herein by reference as if copied in their entirety. Section 2. That the City Council of the City of Grapevine approves the appropriation of $58,500 in the Quality of Life Fund, the transfer of $58,500 to the Grant Fund and the appropriation of $58,500 in the Grant Fund for landscape and signage master plan and construction documents for the City Gateways Signage Project. Section 3. That this ordinance shall become effective from and after the date of its passage.
