SUBJECT: CONSIDER APPROVAL OF A CONTRACT WITH GWC
ENGINEERING, LP FOR PROFESSIONAL SERVICES RELATING
TO THE DESIGN OF EROSION CONTROL ALONG DENTON
CREEK
RECOMMENDATION:
Staff recommends the City Council approve a contract with GWC Engineering, LP for
professional services relating to the design of erosion control along Denton Creek. The
amount of the contract is $75,310. The cost of the professional services will be split
between the City of Grapevine and Silver Oaks Apartments. The City's share is $37,655.
A copy of the contract and scope of work are attached for review.
FUNDING SOURCE:
Funds appropriated from Storm Water Fund Balance by Council on February 12, 2012.
BACKGROUND:
Highpoint Development Corporation deeded 65 acres of land along Denton Creek to the
City of Grapevine in 1985 for a linear park and trail. A requirement of the developer was to
either escrow funds to build the trail or to build the trail themselves according to the
standards set by the City. The developer, Duke Incorporated, elected to build the trail and
the trail was accepted by the City and opened to the public in 2003.
The trail is built along Denton Creek which is the outflow of Lake Grapevine. Rise and fall
of the creek level over the last several years has eroded the stream bank and undercut the
trail in several areas. Without repairs to the eroded areas, the trail and ultimately the
adjacent parking lots for the Silver Oaks Apartments will fail.
Officials at Silver Oaks Apartments have agreed to split the cost of design and repairs
necessary to fix the erosion problem along Denton Creek.
A total of five engineering consulting firms responded to a Request for Qualifications for
the design of the erosion control along Denton Creek, which is the outflow of Lake
Grapevine. Four firms were interviewed on October 6, 2011 by a team of six city
employees from the Public Works Department and Parks & Recreation Department. The
firms were evaluated based upon professional reputation, experience with similar projects,
understanding of the project and familiarity of federal, state and local rules and regulations.
At the end of the interviews, the interview team discussed the strengths and weaknesses of
each of the consulting firms. The team then did a blind vote ranking the firms. GWC
Engineering scored the highest among the four firms. Staff recommends approval.

Grapevine Denton Creek Erosion Control Analysis and Preparation of Construction Documents
Dear Mr.Evans:
Submitted herewith is our proposed scope of structural engineering services for the above referenced project. This
proposal is based upon our Phase 1 Civil and Structural Engineering Investigation Report of the existing erosion
along the southern bank of Denton Creek parallel to the existing Mills Run Hike and Bike Trail and Marquis at Silver
Oaks Apartment Homes complex(hereafter referred to as Apartment Complex), west of Grapevine Mills Parkway in
Grapevine, TX.,dated December 22,2011.
The project locations and various services are outlined below:
PROJECT LOCATIONS
Site 1: Approximately 1000 linear feet upstream from the intersection of Denton Creek and Grapevine Mills
Parkway. Site includes an approximately 120 linear foot stream bank failure which undercuts the
existing trail.
Site 2: Approximately 300 linear feet upstream of Site 1. Site includes an approximately 30 linear foot scour
hole which undercuts the existing trail, with an approximately 30 linear foot eroded drainage channel
caused by runoff from the scour hale to the existing creek.
Site 3: Approximately 100 linear feet upstream of Site 2. Site includes an approximately 30 linear foot scour
hole which undercuts the existing trail, with an approximately 20 linear foot eroded drainage channel
caused by runoff from the scour hole to the existing creek.
SITE 1 -BASIC SERVICES SCOPE OF WORK
The project includes an erosion control site along the southern bank of Denton Creek, approximately 1000 linear feet
upstream from the intersection of Denton Creek and Grapevine Mills Parkway. The site includes approximately 120
LF of erosion control structures design, varying in height from 21' to 27' tall, approximately 75 LF of relocated 10'
Wide hike and bike trail, the relocation of adjacent storm-water facilities, and the re-configuration of adjacent green
space and parking areas for the existing apartment complex.
Surveying Services
• Perform a topographic survey of the project site establishing the shoulder and toe of the embankment
relative to the City of Grapevine monuments.The topographic survey shall include the following items:
• All existing visible improvements on and immediately adjacent to the subject creek channel to
include drainage structures, utilities,top,toe, and flow line of the stream.
• Trees larger 6"in diameter will be located and represented on the survey.
• Additional spot shots will be taken as practical showing major grade breaks,erosion lines,etc....
• Elevations on-site on a 50'linear cross section grid or sufficient to provide 1 foot contours.
• Location of visible on-site utilities including tops and flow lines of inlets and manholes in the project
area.
• Boundary or property lines will be shown if supplied by the client or their representative.
• If provided to us,easements and encumbrances indicated in a recent title search prepared by a title
company will be reviewed and shown graphically where applicable.
• The approximate location of the 100 year flood plain, as scaled from the Federal Emergency
Management Agency Map on which this property is located,will be shown.

Hydraulic Analysis, FEMA Map Revision USACE Coordination and Permit Submittal
• Prepare FEMA Hydraulic Model:
• Meet with all applicable Certified Floodplain Managers
• Insert the surveyed section into the existing model (HEC-RAS Only — See Special Services for
scope to convert older models to HEC-RAS)
• Create baseline model for comparison with existing FEMA model
• Insert proposed gabion erosion protection structure into FEMA model(Max.Three iterations)
• Compare proposed hydraulic model to existing hydraulics, meet all applicable regulations
• USACE 404 Permitting:
o Initial meeting with the Corps of Engineers to determine necessity of Permit submittal—See basic
services for additional permitting scope of services)
Geotechnical Engineering Slope-Stability Analysis
• Perform a geotechnical engineering slope stability analysis based upon One (1) section of the proposed
anchored gabion erosion control structure.
Civil and Structural Design, Construction Documents, and Specifications Phase
• Develop Civil and Structural Engineering Construction Documents for Submittal to the City of Grapevine,TX,
and Apartment Complex Owners for review and approval. The Civil and Structural documents set shall
include:
• Structural Engineering design of approximately 120 Linear Foot x 21-27' Tall Anchored Gabion
Erosion Control Structure founded on concrete piers.
• Civil Engineering design of relocated approximately 75 Linear Foot x 10'wide Hike and Bike Trail
running parallel along the shoulder of the proposed gabion erosion control structure.
• Civil Engineering design for relocated storm sewer pipe and curb inlet directly adjacent to the
relocated hike and bike trail noted above(as necessary/required)
• Civil Engineering design for re-grading and paving of the existing multi-family parking area to
accommodate the proposed Hike and Bike Trail and Storm-Water facilities noted above.
• Develop final specifications for the proposed slope stability/erosion control structure(s).
• Prepare an opinion of probable construction costs for the proposed project.
• Address comments from the City of Grapevine, the USACE, and Apartment Complex Owners and
Re-submit FINAL construction documents to the City of Grapevine for approval and advertising for
Bids.
Bid Phase(Applies to Sites 1, 2 and 3)
• Attend one(1)pre-bid meeting.
• Respond to Contractor Questions/Prepare Addenda
• Answer questions from prospective bidders and suppliers.
• Prepare and distribute addendum as necessary/required.
• Prepare Conformed Set of Construction Documents
• Incorporate addendum items into the drawings and specifications for the project.
• Reproduce plans and conformed specifications/documents and submit to the City of Grapevine,
TX,and the Apartment Complex Owners for review and distribution.
Construction Administration
• Attend One (1) Pre-Construction Meeting with representatives of the City of Grapevine, the Apartment
Complex Owners, and the General Contractor and its sub-contractors.
• Answer questions from the General Contractor and the contractors suppliers, and respond to request for
substitutions and requests for information (as necessary/required). We shall respond to a maximum of Ten
(10) Contractors requests for information and/or substitutions for the duration of the construction phase of
the project.

• Perform shop drawing review of all components within the civil and structural engineering design as
necessary/required for the duration of the construction phase of the project.We shall respond to a maximum
of Ten(10)Shop Drawings submittals for the duration of the construction phase of the project.
• Perform a maximum of Five(5)construction phase site visits to monitor the installation of the structural and
civil components outlined in the construction documents noted above. We shall prepare photographic logs
and site visits memorandums at the City's request.
• Attend One(1)Post-Construction Meeting with representatives of City of Grapevine,the Apartment Complex
Owners, and the General Contractor its sub-contractors to review the substantial completion of the proposed
project.
• Coordinate with representatives of City of Grapevine, the Apartment Complex Owners, and the General
Contractor its sub-contractors to prepare the final project punch-list(as necessarytrequired).
• Prepare post-construction record drawings(as-built) of the proposed improvements for submittal to the City
of Grapevine, the Apartment Complex Owners, and any other governmental agencles/munici pal ities as
neoessary/required.
SITE 1 -SPECIAL SERVICES SCOPE OF WORK
Surveying Services
• As necessary/required by USACE-to complete the FEMA HEC-RAS study of the existing channel we will
extend 3 cross sections to include the extents of the 576' elevation contour. There is some discrepancy
between the existing FEMA maps and the apparent 576 contours and therefore we have included one day of
additional field time per cross section and approximately 350 linear feet per cross section.
Hydraulic Analysis, FEMA Map Revision, USACE Coordination and Permit Submittal
• FEMA Hydraulic Model:
o Conversion of HEC-2 FEMA model to HEC-RAS
• USACE 404 Permitting:
• Compile 404 Permit and submit to USACE for Review.
• Additional Meetings with the USACE to coordinate permit submittal(Three Max.).
• Answer comments and provide permit clarifications to the USACE.
• Submit Final Permit for USACE Review and Approval
Reimbursable Expenses
• Perform miscellaneous reprographics duties pertaining to the dissemination of the construction documents
outlined above, after the receipt and approval of FINAL approved construction documents.
• Travel expenses to and from the job site(s).
SITES 2 AND 3-BASIC SERVICES SCOPE OF WORK
The project includes two erosion control sites along the southern bank of Denton Creek. Site 2 is approximately 300
linear feet upstream from Site 1 (above), and Site 3 is approximately 100 linear feet upstream from Site 2. Both of the
project sites include the installation of storm water facilities beneath and adjacent to the existing hike and bike trail,
the re-installation of fill material to fill existing scour holes, and the re-construction of the removed portions of the trail
and adjacent green space.The scope of services below applies to both project sites.
Surveying Services
• Perform a topographic survey of the project site establishing the shoulder and toe of the embankment

• If provided to us, easements and encumbrances indicated in a recent title search prepared by a title
company will be reviewed and shown graphically where applicable.
• The approximate location of the 100 year flood plain, as scaled from the Federal Emergency
Management Agency Map on which this property is located,will be shown.
Civil and Structural Design, Construction Documents, and Specifications Phase
• Develop Civil and Structural Engineering Construction Documents for Submittal to the City of Grapevine,TX,
and the Apartment Complex Owners, and for review and approval. The Civil and Structural documents set
shall include:
• Structural Engineering design of approximately 60 Linear Foot of 24" RCP storm-drain pipe with
concrete headwalls at the hike and bike trail and outfall into Denton Creek.
• Civil Engineering design for the re-construction of approximately 30 linear feet of 10'wide Hike and
Bike Trail running parallel to Denton Creek, and the placement of fill material in the existing scour
hole.
• Civil Engineering design for re-grading of the existing multi-family green/common area(s) to
accommodate the proposed Hike and Bike Trail and Storm-Water facilities noted above.
• Develop final specifications for the proposed storm-drainage facilities and hike and bike trail
construction
• Prepare an opinion of probable construction costs for the proposed project.
o Address comments from the City of Grapevine, and the Apartment Complex Owners, and Re-
submit FINAL construction documents to the City of Grapevine for approval and advertising for
Bids.
Bid Phase
• See Site 1 Bid Phase scope of services(Sites 1,2, and 3 will be bid as a single construction project).
Construction Administration
• Attend One (1) Pre-Construction Meeting with representatives of the City of Grapevine, the Apartment
Complex Owners,the General Contractor and its sub-contractors.
• Answer questions from the General Contractor and the contractors suppliers, and respond to request for
substitutions and requests for information (as necessary/required). We shall respond to a maximum of Five
(5)Contractors requests for information and/or substitutions for the duration of the construction phase of the
project.

ASSUMPTIONS
• All project status, review, and design meetings will be held at GWC Engineering, LP, the City of Grapevine,
the Marquis at Silver Oaks Management Office, or the USACE offices.
• No coordination will be required to combine plans or specifications prepared by GWC Engineering, LP or its
sub-consultants into plans or specifications by consultants other than GWC Engineering, LP.
EXCLUSIONS
• Reprographics related to Contractor Bid Sets of Construction Documents.
• Services for materials testing during construction.
• Construction staking.
• Evaluation or design of other slope stability/erosion control structure(s)beyond those stated in this Scope of
Services.
• Coordination or meeting with electrical utility companies.
• Any work related to hazardous materials including asbestos.
• Preparation of a Storm Water Pollution Prevention Plan(SWPPP).
• Review on contactor's means and methods,such as formwork,shoring, or trench safety plan.
• Additional site visits or meetings beyond the number listed above.
PROJECT TIMELINE
We anticipate the engineering and surveying scope of services as outlined in the above proposal to require a
production period of approximately 100 business days (S days per week) to complete. Variables that may affect this
timeline include(but are not limited to) USACE Permit review and approval processes, and weather related delays.
The anticipated construction timeline to complete the construction of the elements outlined above on Sites 1,2, and 3
is approximately 180 working days (6 days per week). As with the engineering project timeline, weather related
delays are not factored into this estimate.

TERMS AND CONDITIONS
These Standard Terms and Conditions shall continue in full force and effect during,and after the completion or termination of,Glenn
W. Campbell Engineering, GWC Engineering, LP, or GWC General Partner LLC employment. These Standard Terms and
Conditions shall control any conflicting term or condition unless GWC ENGINEERING,LP agrees otherwise in writing.
PERFORMANCE
GWC ENGINEERING, LP and its employees will exercise the degree of skill and care expected by customarily accepted practices
and procedures. No warranties, expressed or implied, are made with respect to GWC ENGINEERING, LP's performance, unless
agreed to in writing. GWC ENGINEERING, LP is not a guarantor of the project to which its services are directed, and its
responsibility is limited to work performed for the client. GWC ENGINEERING, LP is not responsible for acts or omissions of the
client, nor for third parties not under its direct control.GWC ENGINEERING, LP shall not be liable for any reason for any special,
indirect or consequential damages including loss of use and loss of profit. GWC ENGINEERING, LP will take reasonable
precautions to minimize any damage to the client's property during conduct of any GWC ENGINEERING, LP field work and testing.
The client understands that in the normal course of this type of work some damage may occur,liability for which damage is not part
of this agreement. GWC ENGINEERING, LP may rely upon information supplied by the client engaging GWC ENGINEERING, LP,
or the contractors or consultants involved,or information available from generally accepted reputable sources,without independent
verification. GWC ENGINEERING, LP services are being performed solely for client's benefit and no contractor, subcontractor,
supplier, fabricator, manufacturer, tenant, occupant, consultant, or other third party shall have any claim against GWC
ENGINEERING, LP as a result of its services.GWC ENGINEERING, LP shall not have control over or charge of and shall not be
responsible for construction means,methods,techniques,sequences or procedures,or for safety precautions and safety programs
in connection with the project,since these are solely the responsibility of others.GWC ENGINEERING,LP shall not be responsible
for the contractor's schedules or failure to carry out the project in accordance with contract documents. GWC ENGINEERING, LP
shall not have control over or charge of acts or omissions of the contractor,subcontractor, or their agents or employees, or of any
other non-GWC ENGINEERING,LP persons performing portions of the project.
USE OF REPORTS,DRAWINGS AND ELECTRONIC MEDIA
GWC ENGINEERING, LP retains ownership of letters, reports, drawings, specifications, photographs, test data, notes and other
work product it has created. These documents or parts thereof may not be reproduced in advertisements, brochures, or sales
material, nor used by the client for any purpose other than the purpose for which they were prepared, nor by third parties,without
the written permission of GWC ENGINEERING, LP. Conclusions by GWC ENGINEERING, LP based on test results are limited to
the specific conditions for which the tests were performed. In the event that GWC ENGINEERING, LP work product is stored or
transmitted by some form of electronic media, the client agrees that GWC ENGINEERING, LP shall not be held liable for the
completeness,transmission,accuracy or longevity of these materials,nor for misuse thereof.
PROPOSALS
Proposals expire 120 days after submission to a client unless a different expiration limit is included in the proposal, GWC
ENGINEERING, LP may withdraw or modify a proposal at any time prior to acceptance by the client.GWC ENGINEERING, LP will
notify the client in a timely manner of any changes or modifications made to a proposal prior to submission.
CLIENT DUTIES
In order for GWC ENGINEERING, LP to perform the services requested,the client shall,at no expense to GWC ENGINEERING,
LP,(1)provide all necessary information regarding client's requirements as necessary for orderly progress of the work,(2)designate
in writing a person to act as client's representafive for services to be rendered under this Agreement, which person shall have
authority to transmit instructions, receive instructions and information, interpret and define client's policies and requests for GWC
ENGINEERING, LP's services, and (3) provide access to and make all provisions for GWC ENGINEERING, LP to enter,without
cost, limitation or burden to GWC ENGINEERING, LP, publicly or privately owned property as required to perform the work,
including the use of scaffolds or similar mechanical contrivances.
SAFETY
Field work of GWC ENGINEERING, LP will be performed only under conditions deemed safe by GWC ENGINEERING, LP
personnel.Charges may be made for safely or security measures required by hazardous job conditions.GWC ENGINEERING, LP
is not responsible for the safety of other persons or property.
HAZARDOUS MATERIALS
If GWC ENGINEERING, LP encounters, or reasonably suspects that it has encountered, hazardous materials in the project, GWC
ENGINEERING, LP shall cease activity on the project and promptly notify the client. The client shall initiate action, where
appropriate,to identify and investigate the nature and extent of hazardous materials in the project and to abate andlor remove the
same as may be required by federal,state or local statute,ordinance,code,rule,or regulation now existing or hereinafter enacted or
amended. Unless otherwise specially provided in writing, the services to be provided by GWC ENGINEERING, LP do not include
identification of hazardous materials,and GWC ENGINEERING,LP has no duty to identify or attempt to identify the same within the
area of the project. It is further understood and agreed that services GWC ENGINEERING, LP will undertake for the client may be
uninsurable obligations involving the presence or potential presence of hazardous materials.Therefore,the client agrees,except(1)
such liability as may arise out of GWC ENGINEERING,LP's sole negligence in the performance of services under this agreement or
(2)to the extent of insurance coverage available for the claim,to hold harmless, indemnify and defend GWC ENGINEERING, LP
and its employees,subcontractors and agents from and against any and all claims, lawsuits,damages, liability and costs,including
but not limited to, costs of defense, arising out of or in any way connected with the presence, discharge, release, or escape of
hazardous materials. This indemnification applies only to existing conditions and not to conditions caused or created by GWC
ENGINEERING, LP. "Hazardous materials" includes, but is not limited to, any substance, waste, pollutant (including mold and

mildew) or contaminant, in whatever form, now or hereafter included with such terms under any federal, state or local statute,
ordinance,code,rule or regulation now existing or hereinafter enacted or amended.
SUSPENSION OF SERVICES
If the client fails to make payment when due for GWC ENGINEERING,LP's services and expenses,GWC ENGINEERING,LP may,
upon seven days'written notice to the client, suspend performance of services under this Agreement. Unless payment in full is
received by GWC ENGINEERING, LP within seven days of the date of the notice,the suspension shall take effect without further
notice. In the event of a suspension of services, GWC ENGINEERING, LP shall have no liability to the client for delay or damage
caused the client because of such suspension of services.
FIXED PRICE CONTRACTS
Where GWC ENGINEERING, LP and the client have agreed to a fixed price contract, the following GWC ENGINEERING, LP
Standard Terms and Conditions are specifically excluded: Additional Hourly Time Charges (see below), Expenses, Equipment
Usage,Affiliated Consultants, and Subcontracted Services. Progress payments will be made monthly as a percent of completion
unless otherwise arranged with the client. Other GWC ENGINEERING, LP Standard Terms and Conditions staled herein remain in
effect.
HOURLY TIME CHARGES
Additional time charges, as accrued at the request of the client or clients agent, are accrued on an hourly basis, unless other
arrangements are established. Minimum time charges for personnel at a job site are 2 hours per day.Hourly rates are not increased
for overtime.Billing rates may be increased annually.
EXPENSES
Public transportation, subsistence and out-of-pocket expenses incurred during travel, communications, reproduction and shipping
charges will be billed at cost plus 5%(invoiced as an expense service fee.) Use of company or personal vehicles is billed at$0.50
per mile outside of the Dallas/Fort Worth Metroplex. Expended materials for field and laboratory investigations, rental equipment,
and fees advanced on client's behalf will be billed at cost plus 10%(involoed as an expense service fee.)Clients may be charged for
the cost of providing copies of receipts or detailed"back-up"information concerning expenses.
AFFILIATED CONSULTANTS
GWC ENGINEERING, LP retains certain affiliated consultants as independent sub-consultants/contractors. These affiliated
consultants are billed at rates equivalent to GWC ENGINEERING,LP employees of similar education and professional experience.
SUBPOENAS AND COURT ORDERS
The client is responsible,after notification,for payment of time charges,attorney fees and other expenses resulting from a required
response to subpoenas or court orders issued at the request of any party concerning any part of GWC ENGINEERING,LP's work.
Charges are based on billing rates in effect at the time of GWC ENGINEERING,LP's response.
DISPUTE RESOLUTION
Any dispute that should arise between the client and GWC ENGINEERING, LP shall first try to be resolved through mediation.The
mediator shall be mutually agreed upon and chosen from a list provided by the American Arbitration Association or other source of
experienced professional mediators.
INSURANCE
GWC ENGINEERING, LP is protected for general, automobile, workers' compensation and employers' liability coverage. The
primary limits are $1,000,000 with a $2,000,000 aggregate on general liability. Excess coverage applies to exposures over
$1,000,000. Endorsements are not allowed.Coverage is subject to annual renewal. Increased coverage will be sought if requested.
Charges for additional coverage will be billed to the client.
BILLING TERMS
The firm or individual engaging GWC ENGINEERING,LP is responsible for payment of charges unless GWC ENGINEERING,LP is
notified in writing, prior to the time that the charges are incurred, that the engagement is on behalf of another party.Accumulated
charges will be billed in approximately weekly intervals.State and local sales and use tax will be included in the billing if applicable.
Payment in full(in US dollars)is due within 15 days of the receipt of the invoice. Invoices which are unpaid 30 days from the invoice
date are considered past due and subject to an interest charge at the rate of 1%per month(or at a lower maximum legal rate)plus
related attorneys'fees and collection expenses.The client is responsible for payment of all charges.Agents acting on behalf of and
with legal consent of the client who engage GWC ENGINEERING, LP are also responsible for payment of all charges unless GWC
ENGINEERING,LP agrees otherwise in writing prior to the time that the charges are incurred.
