HomeMy WebLinkAboutRES 2012-090 RESOLUTION NO. 2012-90 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS, REPEALING THE TRINITY RIVER AUTHORITY OF TEXAS - CITY OF GRAPEVINE WATER FACILITIES CONTRACT (TARRANT COUNTY WATER PROJECT) AND PROVIDING AN EFFECT DATE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GRAPEVINE, TEXAS: Section 1. That, pursuant to a resolution of the City Council of the City of Grapevine, Texas (the "City") adopted on November 15, 2005, the Mayor of the City and the City Secretary heretofore executed and delivered the "Trinity River Authority of Texas - City of Grapevine Water Facilities Contract (Tarrant County Water Project)" (the "Contract"). Section 2. That the Trinity River Authority of Texas (the "Authority"), the other party to the Contract, likewise duly authorized, executed and delivered the Contract. Section 3. That circumstances and conditions have changed in such material ways that the City and the Authority have determined that the Contract no longer meets any of their needs and purposes as originally contemplated. The City and the Authority have each independently determined that the Contract should be repealed, revoked and rendered of no effect as between the City and the Authority. Section 4. That, therefore, the Contract, by mutual agreement of the City and the Authority, is hereby terminated and repealed and shall be of no further force and effect between the City and the Authority. In connection therewith, the Mayor and the City Secretary shall be authorized to execute, deliver and file all deeds and documentation, and take all actions, deemed necessary or appropriate to accomplish the purpose. Section 5. That this resolution shall take effect and be in full force and effect from and after the date which is the later of (1) its adoption or (2) adoption of a similar resolution of the Authority to take such action, and it is so resolved; and all resolutions of the City Council of the City in conflict herewith are hereby amended or repealed to the extent of such conflict.
